Non-disclosureAgreementofCommercialSecrets為保護雙方的商業(yè)隱秘，本著公正合理、公平互利的原則，雙方經(jīng)友好協(xié)商達(dá)成如下保密協(xié)議：ToprotectcommercialsecretesofPartyAandPartyBhereof，followingtheprincipleoffairness,equityandmutualbenefit,thetwopartiesinvolvedherebyreachthisnon-disclosureagreement:1、甲方供給應(yīng)乙方的任何資料均屬于甲方的商業(yè)隱秘，乙方負(fù)有保密義務(wù)。乙方負(fù)有保密義務(wù)的甲方商業(yè)隱秘的范圍包括但不僅限于如下陳述對象：AlltheinformationprovidedbyPartyAtoPartyBareinthescopeofcommercialsecrets,andPartyBhastheobligationtokeepthemconfidential.ThescopeofcommercialsecretsofPartyAthatPartyBhastheobligationstokeepconfidentialincludesbutisnotlimitedtothefollowings:模具合同〔包含品種，規(guī)格，數(shù)量、價格因素，交期等信息〕模具檢驗標(biāo)準(zhǔn)及產(chǎn)品檢驗標(biāo)準(zhǔn)；Moldcontract(includingvariety,specification,quantityandpricefactor,deliverydate,etc.),moldinspectionstandardandproductinspectionstandard;與產(chǎn)品零件有關(guān)的任何資料、參數(shù)、圖紙、夾具、工裝等；Allinformation,parameters,drawings,fixturesandtoolsconcerningpartsoftheproduct;涉及甲方產(chǎn)品的外觀、功能等方面的模型、樣機；ModelsandsamplesofproductsconcerningappearanceandfunctionofPartyA;OPPOIC卡，LCD說明書、手提袋、廣告制品、外殼等；Anyproductmarkedwith“OPPO”orequivalentsignsincludingICcard,LCDdisplay,packingmaterialsuchascolordispenser,productmanual,handbag,advertisingproductandcasing;甲方供給的模具技術(shù)、模具專利、產(chǎn)品專利、開發(fā)的系統(tǒng)流程；Moldtechnology,moldpatent,productpatentandsystemflowofdevelopmentprovidedbyPartyA;在乙方正在生產(chǎn)的甲方的模具狀況、生產(chǎn)機型、訂單明細(xì)〔包括顏色、數(shù)量、交期等〕等細(xì)節(jié)；InformationofmoldproducedbyPartyB,productmodel,detailedinformationofpurchaseorder(includingcolor,quantityanddateofdelivery)ofPartyA,etc.;甲方未上市機型的外形、造型、配色、試模樣品〔包括試模的素材、涂裝樣品〕等原始技術(shù)資料、實物；OriginaltechnicaldataandactualproductofPartyAconcerningappearance,industrialdesign,colormatching,trialproductofmold(includingelementsoftrialmoldandsampleofcoating)ofthemodelthathavenotenteredmarketyet;其他甲方擁有學(xué)問產(chǎn)權(quán)構(gòu)造設(shè)計方案及帶有甲方專屬LOGO的資料、實物。OtherstructuredesignschemestowhichPartyAownsintellectualpropertyrights,andinformationandactualproductwithexclusiveLOGOofPartyA;2、對甲方上述商業(yè)隱秘，乙方擔(dān)當(dāng)以下保密義務(wù)：PartyBhasthefollowingobligationstokeeptheabovementionedcommercialsecretesofPartyAconfidential:主動實行加密措施對上述所列及之商業(yè)隱秘進展保護，防止任何第三者知悉及使用；Takeactivemeasurestoprotecttheabovementionedcommercialsecretesincasetheyarelearntorusedbyathirdparty;保證接觸甲方商業(yè)隱秘的員工不泄露知悉的甲方商業(yè)隱秘，保證非接觸甲方商業(yè)隱秘的員工不得刺探或者以其他不正值手段〔包括利用計算機進展檢索、掃瞄、復(fù)制等〕獵取甲方的商業(yè)隱秘；EnsurethatalltheemployeesofPartyBtowhomdisclosureofcommercialsecretsofPartyAistobemadewillnothavethecommercialsecretsdisclosed,andensurethatalltheemployeesofPartyBforwhomthecommercialsecretsofPartyAareinaccessibleshallnotdetectorobtaininillegalmethod(includingbutnotlimitedtosearching,browsingandcopyingoncomputer);不得向任何第三者披露甲方的商業(yè)隱秘；DonotdisclosethecommercialsecretesofPartyAtoathirdparty;乙方除為履行義務(wù)且經(jīng)甲方事先同意外，均不得為自己或他人之利益直接或間接使用上述機密資料及學(xué)問產(chǎn)權(quán)；UnlessforperformingobligationsspecifiedintheagreementandwithpriorconsentfromPartyA,PartyBshallnotdirectlyorindirectlyusetheabovementionedconfidentialinformationandintellectualpropertyrightsforbenefitsofPartyBoranyoneelse;不得允許〔包括出借、贈予、出租、轉(zhuǎn)讓等行為〕或幫助任何第三方使用甲方的商業(yè)隱秘；Donotpermit(includinglending,presenting,releasing,transferring,etc.)orassistathirdpartyinusingthecommercialsecretsofPartyA;乙方了解甲方設(shè)有特地的對外發(fā)言及訊息披露制度，也承諾嚴(yán)格遵守該發(fā)言及訊息披露制度；PartyBacknowledgesthatPartyAhassetupspecialsystemofpublicstatementandinformationdisclosure,andpromisestostrictlyabidebythissystem;不管因何種緣由終止與甲方合作后，都不得利用甲方的商業(yè)隱秘為其他與甲方有競爭關(guān)系的企業(yè)〔包括自辦企業(yè)〕效勞；IncaseofterminationofcooperationwithPartyAduetoanyreason,PartyBshallnotusethecommercialsecretesofPartyAtoprovideservicetotheenterpriseincompetitionwithPartyA(includingself-investedenterprises);應(yīng)于合作結(jié)束時悉數(shù)交還甲方，未經(jīng)許可不得自行復(fù)制、、利用網(wǎng)絡(luò)對外傳送等。AlltherelatedinformationandalltheconfidentialinformationconcerningintellectualpropertyrightsofPartyApossessed,used,supervisedorcontrolledbyPartyB,areunderownershipofPartyA,andshallallbereturnedtoPartyAatterminationofcooperation.Alltheinformationareprohibitedtobecopied,faxedandtransmittedthroughnetworkincaseofnoauthorization;乙方同意甲方商業(yè)隱秘之界定范圍，無論有意或過失、無論以任何形式泄露甲方商業(yè)隱秘均屬違法行為，甲方有權(quán)視違法情節(jié)和危害程度，實行向警方報案、實行強制措施、追究刑事責(zé)任等格外手段。PartyBagreesonthescopeofcommercialsecretesspecifiedbyPartyA.DisclosureofthecommercialsecretesofPartyAinanyformpurposelyorbyfaultisillegal.PartyAhastherighttoreporttothepolice,takecompulsorymeasuresandclaimforcriminalresponsibilitybasedonillegalconditionandharmextent.乙方如覺察甲方的商業(yè)隱秘被泄露或者自己過失泄露隱秘進一步擴大，并準(zhǔn)時向甲方報告。WhenPartyBfindsthatthecommercialsecretesofPartyAaredisclosedordivulgedforfaultofPartyB,PartyBshalltakeeffectivemeasurestostopfurtherdisclosureandtimelyreporttoPartyA;本協(xié)議規(guī)定的商業(yè)隱秘全部權(quán)始終全部歸屬甲方密資料的不同程度的了解申請學(xué)問產(chǎn)權(quán)AllthecommercialsecretesspecifiedinthisagreementareundertheownershipofPartyA,andPartyBshallnotapplyforintellectualpropertyrightsbymakinguseoflearningaboutthecommercialsecretesofPartyAithaslearnttoanyextent,thoselegallyownedbyPartyBbeforesigningthisagreementexcluded.3Non-disclosureobligationsofPartyA:對于乙方供給甲方的樣品、DEMO板，測試檢驗工裝/軟件、圖紙、規(guī)格書等，甲方亦有責(zé)任依據(jù)乙方的要求，對等地遵守保密協(xié)議。BasedonrequirementsofPartyBonthesample,DEMOpanel,testandinspectiontool/software,drawing,videdbyPartyBtoPartyA,PartyAaccordinglyhastheobligationtokeepthemconfidentialasperthisnon-disclosureagreement.4Termofnon-disclosure乙方是否連續(xù)與甲方合作，不影響保密義務(wù)的履行。PartyAandPartyBhereofconfirmthatnon-disclosureobligationsofPartyBcomeintoforceonsigningofthisagreementtilltheconfidentialinformationisvoluntarilydisclosedbyPartyA.WhetherPartyBwillcontinuefurthercooperationwithPartyAornotwillnotaffecttheperformanceofnon-disclosureobligationsbyPartyB;5Responsibilityforbreachofcontract如乙方未履行本協(xié)議規(guī)定的保密義務(wù)，乙方需支付人民幣伍拾萬元的違約金，違約金缺乏以彌補甲方損失的，甲方有權(quán)要求乙方賠償損失。ProvidedPartyBfailstoperformnon-disclosureobligationsstipulatedinthisagreement,PartyBshallpayRMB500,000ascompensationforbreachofcontract.IncasethatthecompensationforbreachofcontractisnotsufficienttocompensateforthelossesofPartyA,PartyAhastherighttoclaimagainstPartyBfortheinsufficiency.乙方違反保密協(xié)議，甲方有權(quán)實行包括扣款、停頓支付貨款、取消供給商資格、依法追究全部損失等一切合法行動維護甲方的全部權(quán)益。IfPartyBviolatesthisnon-disclosureagreement,PartyAhastherighttotakealllegalactionsincludingdeductingpayment,suspendingpayment,cancellingsupplierqualification,legallyclaimingforallthelossesetc.todefendalltherightsandinterestsofPartyA.6SpecialProvisions對于甲方專用物料〔如塑膠外殼，五金外殼，按鍵，鏡片，電池，觸摸屏，耳機，充電器，數(shù)據(jù)線、彩盒、說明書、手提袋、廣告制品等的供給商資格，同時追究乙方法律責(zé)任。PartyBshallproperlykeepthespecialmaterialsofPartyA(e.g.plasticcasing,hardwarecasing,key,lens,battery,touchscreen,earphone,charger,datacable,colordispenser,productmanual,handbagandadvertisingproduct),andshallnothavethemflowintofalseproductmarketorotherplacesharmfultoPartyA.IfitisverifiedthatmaterialshaveflownoutfromPartyB,PartyBshallpayPartyARMB500,000foreachoutflowascompensationforbreachofcontract;incaseofseriousoutflow,PartyAhastherighttomakenopaymentforthepaidbalanceofPartyBandcancelthequalificationofPartyBasasupplier,andPartyBshallbeinvestigatedforlegalresponsibility.對于上述甲方專用物料，乙方不得以何形式供給應(yīng)其他個人〔甲方樣品階段乙方供給應(yīng)甲方工程師簽樣除外。如甲方查證物料確實從乙方流出，乙方應(yīng)向甲方支付每次伍萬圓人民幣的違約金，情節(jié)嚴(yán)峻者，甲方有權(quán)利取消乙方的供給商資格。PartyBshallnotprovidetheabovementionedspecialmaterialsofPartyAtoanyindividualsinanyform(AtsamplephaseofPartyA,thesampleprovidedbyPartyBtoengineerofPartyAforapprovalisexcluded.).IfthematerialsareproventobeoutflowfromPartyB,PartyBshallpayPartyARMB50,000foreachoutflowascompensationfor
