5.付款Payment

可撤銷的即期信用證。乙方開出信用證后，應(yīng)立即通知甲方，以便甲方準備交貨。

累計總金額付給乙方*%的傭金。

7.市場情況報告ReportsonMarketConditions

乙方每3個月向甲方提供一次有關(guān)當時市場情況和用戶意見的詳細報告。同時'乙方應(yīng)

隨時向甲方提供其他供應(yīng)商的類似商品樣品及其價格、銷售情況和廣告資料

PartyBshallforwardonceeverythreemonthstopartyAdetailedreportsoncurrentmarket

conditionsandofconsumers*comments.Meanwhile,PartyBshall,fromtimetotime,sendto

partyAsamplesofsimilarcommoditiesofferedbyothersuppliers,togetherwiththeirprices,sales

informationandadvertisingmaterials.

8.宣傳廣告費用Advertising&PublicityExpenses

在本協(xié)議有效期內(nèi)，乙方在上述經(jīng)銷地區(qū)所作廣告宣傳的一切費用，由乙方自理。乙方

須事先向甲方提供宣傳廣告的圖案及文字說明，由甲方審閱同意。

PartyBshallbearallexpensesforadvertisingandpublicitywithintheaforementioned

territoryinthedurationofthisAgreementandsubmittoPartyAallpatternsand/ordrawingsand

descriptionforpriorapproval.

9.協(xié)議有效期ValidityofAgreement

本協(xié)議經(jīng)雙方簽字后生效，有效期為**天，自**至**.若一方希望延長本協(xié)議，則須在

本協(xié)議期滿前1個月書面通知另一方，經(jīng)雙方協(xié)商決定。

若協(xié)議一方未履行協(xié)議條款，另一方有權(quán)終止協(xié)議。

10.仲裁Arbitration

在履行協(xié)議過程中，如產(chǎn)生爭議，雙方應(yīng)友好協(xié)商解決。若通過友好協(xié)商達不成協(xié)議，

則提交中國國際貿(mào)易促進委員會對外貿(mào)易仲裁委員會，根據(jù)該會仲裁程序暫行規(guī)定進行仲

裁。該委員會的決定是終局的，對雙方均具有約束力。仲裁費用，除另有規(guī)定外，由敗訴一

方負擔。

AlldisputesarisingfromtheexecutionofthisAgreementshallbesettledthroughfriendly

consultations.Incasenosettlementcanbereached,thecaseindisputeshallthenbesubmittedto

theForeignTradeArbitrationCommissionoftheChinaCouncilforthePromotionofInternational

Tradeforarbitrationinaccordancewithitsprovisionalrulesofprocedure.Thedecisionmadeby

thisCommissionshallberegardedasfinalandbindinguponbothparties.Arbitrationfeesshallbe

bornebythelosingparty,unlessotherwiseawarded.

11.其他條款OtherTerms&Conditions

(1)甲方不得向經(jīng)銷地區(qū)其他買主供應(yīng)本協(xié)議所規(guī)定的商品。如有詢價，當轉(zhuǎn)達給乙

方洽辦。若有買主希望從甲方直接訂購，甲方可以供貨，但甲方須將有關(guān)銷售確認書副本寄

給乙方，并按所達成交易的發(fā)票金額給予乙方*%的傭金。

PartyAshallnotsupplythecontractedcommoditytoanyotherbuyer(s)intheabove

mentionedterritory.Directenquiries,ifany,willbereferredtoPartyB.However,shouldany

otherbuyerswishtodealwithPartyAdirectly,PartyAmaydoso.ButpartyAshallsendtoParty

BacopyofSalesConfirmationandgivePartyB.......%commissiononthebasisofthenet

invoicevalueofthetransaction(s)concluded.

(2)若乙方在*月內(nèi)未能向甲方提供至少**訂貨，甲方不承擔本協(xié)議的義務(wù)。

(3)對雙方政府間的貿(mào)易，甲方有權(quán)按其政府的授權(quán)進行有關(guān)的直接貿(mào)易，而不受本

協(xié)議約束。乙方不得干涉此種直接貿(mào)易，也無權(quán)向甲方提出任何補償或傭金要求。

directdealingsasauthorizedbyPartyA'sgovernmentwithoutbindinghimselftothisAgreement.

PartyBshallnotinterfereinsuchdirectdealingsnorshallPartyBbringforwardanydemandfor

（4）本協(xié)議受簽約雙方所簽訂的銷售確認條款的制約。

ARTICLE3INTERESTRATEANDCALCULATIONOFINTEREST:

shalldeducttheinterestfromthebankaccountoftheBoiTower.

IntheeventthattheBorrowerfailstopaytheinterestsontimeandthebalanceoftheaccount

oftheBorrowerisnotenoughforthepaymentofinterest,theLendershallhaverightstocollecta

ARTICLE4OVERDUEINTERESTSANDMISUSINGINTERESTS

3.TheBorrowershallnotdrawtheloanlessthan1million.

ARTICLE7CONDITIONSFORDRAW-DOWN

Thefollowingconditionsshallbesatisfiedinadvanceofthedraw-downdate:

1.TheBorrowerhasopenedforeignaccountandReiminbiaccountattheofficeoftheLender

orthebranchoftheLender;

2.Thiscontractandtheappendiceshavebeeneffective;

3.TheBorrowerhasprovidedtherecognitionoftheinvestmentorcertificateofthe

investmenttotheLender;

4.TheBorrowerhasprovidedtheboardresolutionandpowerofattorneyregardingthisloan

contract;

5.TheBorrowerhasprovidedthelistandthesignaturesampleoftheauthorizedpersonwho

empowertosignthiscontractanddocuments;

6.TheGuarantyunderthiscontracthasbeeneffective;

7.TheBorrowerhasbeensatisfiedthewarrantsunderArticle11ofthiscontract;

8.Theotherrequirementforthedraw-downhavebeensatisfied.

ARTICLE8REPAYMENTPLANANDPREPAYMENT

1.TheBorrowershallrepaytheloaninaccordancewiththestatusofitscash.TheBorrower

shallinformtheLenderthepaymentamountanddate[***]priortomakethepayment.The

Borrowershallbeobligedtorepaytheprincipalandrelatedinterestsonduedatewithoutany

condition.

2.ThepaymentmadebytheBorrowerandthedeductionfromtheaccountoftheBorrower

shallbeusedforrepayingtheinterestatfirstandthenforrepayingtheprincipal.

3.IntheeventtheBorrowerfailstorepaytheloan,theLendershallhaverightstodeductthe

debtfromthebankaccountoftheBorrowerattheLenderorempowerthebranchesoftheLender

4.Theinstallmentofrepaymentshallnotlessthan1million.

ARTICLE9DEBTCERTIFICATE

TheLendershallkeeprecordintheLendersaccountfortheprincipal,interestsandfeesand

otherfeesoftheBorrowerunderthiscontract;Theabovementionedrecordandthe

documentationforthedraw-down,repaymentandpaymentofinterestisthecertificatesofthe

debtsbetweentheBorrowerandtheLender.

ARTICLE10GUARANTY

1.(the"Guarantor")shallbetheguarantorfortheloanunderthiscontractandtakejointly

liabilities.

2.Duringthetermofthiscontract,iftheguarantorsfinancialstatusbecomedeterioratedor

theliabilitiesforrepaymentofdebtsbecomeweak,theLendershallhaverighttorequestthe

Borrowerchangesguarantororprovidemortgageandpawnsecuredforthisloanunderthis

contract.

ARTICLE11REPRESENTATIONSANDWARRANTIES

I.TheBorrowersrepresentsandwarrantsasfollows:

1.TheBorrowerisacompanydulyorganizedandvalidlyexistingunderthelawofthe

PeoplesRepublicofChinaandhasthepowerandauthoritytoownitspropertytoconsummatethe

transactionscontemplatedinthiscontractandjointhelitigation.TheBorrowerhasthepowerto

handleitassetsusedinoperation.

2.TheBorrowerisatitsoptiontosignandperformthiscontract.ltistheBorrowerstrue

meaningandhasthepowertosignthiscontractanditisnotbreachitarticleofassociationor

regulationsorcontracts.Theprocedureforsignatureandperformanceofthiscontracthasbeen

gonethroughandfullyeffectiveness.

3.Thealldocuments,materials,reportsandcertificatesprovidedtotheLenderbythe

borrowerforconsummationofthiscontractistrue,real,competeandeffective

4.TheBorrowershallnotconcealthefollowingeventswhichisbeinghappenedorhavebeen

happenedwhichwillcausetheLenderrefusetoextendtheloan:

(1)TheBorrowerortheprincipalexecutivesoftheBorrowerinvolveinmaterialevents

whichbreachregulations,lawsorcompensationtoothers;

(2)Pendingactionsandarbitration;

(3)TheBorrowersdebtsorproposeddebtsorliensandotherencumbrances;

(4)Theothermatterswillimpactthefinancialstatusorabilitiesofrepaymentforthedebts;

(5)TheBorrowerbreachedcontractwhichisbetweentheBorrowerandothercreditors.

ILTheBorrowerherebywarrantsasfollows:

1.Usingthecapitaloftheloanasusagesetforthinthiscontract,theBorrowerwillnotuse

theloanasEquityinvestment;TheBorrowerwillnotusethecapitaloftheloaninvestinsecurity,

future,realestateetc.TheBorrowerwillnotlendtotheothersprivatelyorinvolvingothermaters

whichisprohibitedbythecountry.TheBorrowerwillnotmisusingorappropriationoftheloan.

2.Makingpaymentandrelatedexpensesinaccordancewiththeprovisionssetforthinthis

contract;

3.Providingupdatedfinancialstatementorfinancialbulletineveryquarter;Providingthe

auditedfinancialreportatthefirstquartofeachyear;Providingoperationreport,financialreport

orotherfilesandmaterialsandshallwarrantthereality,coiTectandeffectivenessforthefilesand

materials;

4.Anyanti-guarantyorothersimilardocumentswillnotmakeanyimpactontherightsand

benefitsoftheLenders;

5.AcceptingthesupervisionoftheLender,providesassistanceandcooperationforthe

Lenderssupervisions;

6.Willnotreducetheregistrationcapital;Priorapprovalfromthelendershallberequired

whentheBorrowerchangesofshareholdersandoperationmanner(includingbutnotlimitedto

jointventure,cooperation,jointlycooperation;dissolution,closedown,liquidation,transformation;

merger;changetosharecompany,usethehousing,machineryorotherrealassetsortrademark,

intellectualproperty,Knowhow,landingusingrightsorotherintangibleassetstoinvestinshare

companyorinvestmentcompany,tradingofoperationrightorownrightbycontracting,joint

operation,trusteeship)

7.TheBorrowershallinformtheLenderandwarrantstheliabilityunderitssecuritywillnot

morethannetassetsoftheBorrowerwhentheBorrowerguaranteeforotherpartyormortgageits

assets.TheBorrowerwarrantsthatwillnotdisposetheassetswhichwillmakeadverseimpacton

itsabilityofpayingdebts.

8.TheBorrowerwillnotpaytheothersimilarloanspriortotheLender;

9.TheBorrowerwarrantstoinformtheLenderimmediatelywhenthefollowingevents

occurred:

(1)Theeventofbreachofcontractunderthiscontractorotherloanorguarantycontracts

betweentheBorrowerandanybranchesofBankofChinaorotherbanks,non-bankfinancial

organization;

(2)TheBorrowerchangesshareholdersorrevisethearticleofassociation;

(3)TheBorrowersufferdifficultiesandbadresultinfinancialandoperation;

(4)TheBorrowerinvolvesinmaterialactionsorarbitration;

10.TheBorrowershallkeepsufficientbalanceforrepaymentprior[***]totheduedate.

11.TheBorrowershallkeepitsbanktransactionsregardingincomecollection,sellforeign

currencyorbuyforeigncurrencyect.ShallbeconductedattheLenderorotherbranchesofthe

Lender.Theturn-overforthecapitalshallsatisfythedemandoftheLender;

III.TheBorrowersrepresentationsandwarrantshereunderthiscontractshallbeeffective

eventhoughanymendment,supplementsorrevisedtobemadetothiscontract.

ARTICLE12REPRESENTATIONSANDWARRANTSOFTHELENDER

I.TheLenderrepresentsandwarrantsasfollows:

1.TheLenderisastate-ownedcommercialbankorbranchdulyorganizedandvalidly

existingunderthelawofP.R.CandapprovedbytheIndustryandCommercialAdministrationand

holdsthefinancialinstitutionslegalpersonlicensesandfinancialinstitutionsoperationlicenseto

bequalifiedtooperatefinancialbusiness.

2.TheLenderhastakenallnecessaryactiontoauthorizetheexecutionofthiscontractand

performanceofitsobligationsunderthiscontract.TheLenderisdulyauthorizedtoextendthis

loan.

II.TheLenderwarrantsasfollows:

1.TheLendershallextendtheloaninaccordancewiththeprovisionssetforthinthis

Contract.

2.CollectinterestsinaccordancewiththeregulationsofthePeoplesBank.

ARTICLE13EVENTSOFBREACHCONTRACTANDSETTLEMENT:

I.SettlementoftheBorrowerbreachofcontract

1.Eventofbreachofcontract:

(1)TheBorrowerfailstousetheloaninaccordancewiththeagreedusageoftheLoan;

(2)TheBorrowerfailstorepaythedueprincipalandpaytheinterests,expensesorother

payableinaccordancewiththeagreedtermofthiscontract;

(3)TheBorrowerbreachestherepresentationandwarrantssetforthinArticle11.

(4)TheBonowerbreachesotherloanagreementsorguarantyagreementsortheGuarantor

breachtheguarantyagreementwhichmaymakeimpacttheBorrowertoperformtheobligations

underthiscontract.

(5)ConclusiveevidencetoshowthattheBorrowerlosethecapacityofcreditorduring

performanceoftheobligationunderthiscontract,thefinancialconditionsoftheGuarantorare

seriouslydeterioratingorotherreasonscausedtheGuarantorthecapacityofcreditdecline.

(6)TheBorrowerbreachestheotherobligationsunderthiscontract.

2.Undertheabovecircumstances,theLendershallhaverightto:

(1)RequesttheBorrowertorectifywithintheperioddesignedbytheLender;

(2)Ceaseinextendingtheloanorcancelthecredit;

(3)DeclaretheloanunderthiscontractisdueandtheLendershallhaverighttodeductthe

outstandingamountfromtheaccountoftheBorrower.TheBorrowershallnotappealagainstthe

Lender.

(4)DeclaretheloanisdueunderotherloanagreementsbetweentheLenderandthe

Borrower,requesttheBorrowertorepaytheloanprincipals,interests,andotherexpenses.

ILThesettlementfortheLenderbreachofthecontract

1.TheLenderfailstoextendtheloanasagreedinthiscontractwithoutanyreasons;

2.TheLenderbreachestheagreedinterestrateandcollectionaddinterestsorotherfees;

3.TheLenderbreachestheprovisionssetforthinArticle12;

4.Undertheabovecircumstances,theBorrowershallhaverightto:

(1)RequesttheLendertorectify;

(2)Repaytheloanaheadoftimeandrefusetopayanycompensationforprepayment.

ARTICLE14DEDUCTION

TheBorrowershallpayinfullforthepaymentwithoutanycounteractionoranycondition.

ARTICLE15ASSIGNMENTOFTHEDEBTANDCREDIT

1.TheBorrowershallnotassignitsrightandliabilityunderthiscontracttootherthirdparty

withoutanywrittenapprovaloftheLender;

2.IntheeventtheBorrowerassignitsrightandliabilityunderthiscontracttootherthird

partyunderthewrittenconsentoftheLender,thethirdpartyshallabidethiscontractwithoutany

condition.

ARTICLE16PERFORMANCEOFOBLIGATIONANDWAIVEROFRIGHTS

1.TheBorrowerisindependentcontractorunderthiscontract,itwillnotimpactbyanyother

relationsbetweentheBorrowerwithotherpartyexcepttheotherprovisionssetforthinthis

contract.

2.TheLendergiveanyextension,toleration,favortotheBorrowerorpermittheBorrowerto

delayofperformanceanyobligationunderthiscontractshallnotimpairanyrightsoftheLender

inaccordancewiththiscontractandlaws,regulation,itshallbedeemedtohavewaiveditsrights

underthiscontractandtheobligationshallbeperformedbytheBorrowerunderthiscontract.

ARTICLE17AMENDMENT,SUPPLEMENTANDINTERPRETATIONOFTHE

CONTRACT

1.Thiscontractcouldbeamendedandsupplementeduponthewrittenagreementsconclude

bytheparties.Anyaamendmentandsupplementshallbeintegralpartyofthiscontract.

2.Intheeventchangeoflaws,regulationsorlegalpracticewhichwillcauseanyterms

containedinthisContractbecomeillegal,invalidorlossofpractice,theotherpartofthiscontract

shallnotbeimpairedbyit.Thebothpartiesshallmakeeffortstochangetheillegal,invalidorloss

ofpracticepart.

3.Forthemattersnotreferredinthiscontractshallbeconstruedinaccordancewiththe

provisionsofthePeoplesBankofChina.

ARTICLE18DISPUTERESOLUTION,GOVERNINGLAWANDWAIVEROF

EXEMPTION

1.Theconclusion,interpretationanddisputeresolutionshallbesubjecttotheLawsofthe

PeoplesRepublicofChin.Thedisputesarisingfromtheexecutionofthiscontractshallbesettled

throughfriendlyconsultationbybothparties.Incasenosettlementcanbereached,thedisputes

shallbesubmittedtothePeoplesCourtofthelocationoftheLenderforjudgment.

2.TheBorrowershallnotrejectanyobligationduringthesettlementofdisputes.

3.Theexecutionandperformanceofthiscontractandtherelatedtransactioniscivilbehavior.

TheBorrowershallnotappealtotakeactiontoexemptfromtheobligationunderthiscontract.

1.Theconclusion,interpretationanddisputeresolutionshallbesubjecttotheLawsofthe

PeoplesRepublicofChin.Thedisputearisingfromtheexecutionofthiscontractshallbesettled

throughfriendlyconsultationbybothparties.Incasenosettlementcanbereached,thedisputes

shallbesubmittedtoChinaInternationalEconomicandtradearbitrationcommissionfor

arbitration.

2.ThearbitrationshallbeconductedinaccordancewiththeArbitrationLawofPeoples

RepublicofChinaandProvisionalRulesofProcedureofChinainternationaleconomicandtrade

arbitrationcommission.

3.DuringtheArbitration,thiscontractshallbeeffectiveandtheBorrowershallnotdisclaim

theanyobligationsunderthiscontract.

4.Theexecutionandperformanceofthiscontractandtherelatedtransactioniscivilbehavior.

TheBorrowershallnotappealtotakeactiontoexemptfromtheobligationunderthiscontract.
