Articletechnicalinformation,drawingssuppliedbyway1.委托方在依照定做方的要求進(jìn)行工作期間，發(fā)現(xiàn)提供的圖紙或技術(shù)要求不合理，應(yīng)當(dāng)及時(shí)通知定做方；定做方應(yīng)當(dāng)在規(guī)定的時(shí)間內(nèi)回復(fù)，提出修改意見(jiàn)。委托方在規(guī)定的時(shí)間內(nèi)未得到答復(fù)，有權(quán)停止工作，并及時(shí)通知定做方，因此造成的損失，由定做方賠償。2.委托方對(duì)于委托的工作，如果定做方要求保密，應(yīng)當(dāng)嚴(yán)格遵守，未經(jīng)定做方許可不得留存技術(shù)資料的復(fù)制品。3.定做方應(yīng)當(dāng)按規(guī)定日期提供技術(shù)資料、圖紙等。1Principalpartiesinaccordancewiththerequirementsofcustomwork,foundthedrawingsortechnicaldemandsareunreasonable,itshallpromptlynotifythecustomside;custompartyshallreplywithintheprescribedtime,proposeamendments.Principalwithintheprescribedtimehasnotbeenanswered,therighttostopworkandnotifythecustomside,theresultingloss,damagesbythecustomside.

First,thecontractfailstodelivercustomizedmaterialsorthequalityofworkdone,custompartyagreedtouse,itshouldbeaccordingtoquality,reduceitremunerationorprice;donotagreewiththeuseof,andshallberesponsibleforrepairorreplacement,andtakedeliveryofoverdueresponsibility;trimmedorexchange,thestillnotmeetthecontractrequirements,custompartytherighttoreject,theresultinglossofcompensationbythecommissioningparty.二、交付定做物或完成工作的數(shù)量少于合同規(guī)定，定做方仍然需要的，應(yīng)當(dāng)照數(shù)補(bǔ)齊，補(bǔ)交部分按逾期交付處理；少交、遲交部分定做方不再需要的，委托方應(yīng)賠償定做方因此造成的損失。三、未按合同規(guī)包裝定做物，需返修或重新包裝的，應(yīng)當(dāng)負(fù)責(zé)返修或重新包裝，并承擔(dān)因此而支付的費(fèi)用。定做方不要求返修或重新包裝而要求賠償損失的，委托方應(yīng)當(dāng)償付定做方該不合格包裝物低于合格包裝物的價(jià)值部分。因包裝不符合同規(guī)定造成定做物毀損、滅失的，由委托方賠償損失。Second,thedeliveryofcustomobjects,orlessthanthenumberofworkdoneunderthecontract,customsidearestillneededandshouldbefilledaccordingtothenumber,paypartofthedealbylatedelivery;payless,latepartofthecustomsideisnolongerneeded,thecommissionshallcompensatetheresultinglossofcustom-madeside.

Third,thefailuretoregulatethecontractcustompackagingmaterialsrequiredtorepairorre-packaging,shallberesponsibleforrepairingorre-packaging,andthusbearthefeespaid.Custompartydoesnotrequirerepairorre-packagingfordamages,thecommissioningpartyshallfailtopaycustompackagingsideofthelowerpartofthevalueofqualifiedpackaging.Inconsistentwiththecontractcausedbycustompackagingmaterialisdamagedorlost,bythecommissioningpartyfordamages.

四、逾期交付定做物(包括返修、更換、補(bǔ)交等)，應(yīng)當(dāng)向定做方償付違約金____元；(合同中無(wú)具體規(guī)定的，應(yīng)當(dāng)比照中國(guó)人民銀行有關(guān)延期付款的規(guī)定，按逾期交付部分的價(jià)款總額計(jì)算，向定做方償付違約金)以酬金計(jì)算的，每逾期一天，按逾期交付部分的酬金總額的千分之一償付違約金。未經(jīng)定做方同意，提前交付定做物，定做方有權(quán)拒收。Fourth,thelatedeliveryofcustomobjects(includingrepair,replacement,pay,etc.)shouldbemade??toorderpartiestopayliquidateddamagesof$____;(nospecificprovisionsinthecontract,thePeople'sBankofChinashallbemutatismutandistheprovisionsofthedeferredpayment,bylatedeliveryofpartofthetotalpricecalculation,custom-madepartytopayliquidateddamages)toremunerationcalculatedforeachoverdueday,accordingtothelatedeliveryofone-thousandthpartoftheremunerationofthetotalpayliquidateddamages.

Custompartywithoutconsent,earlydeliveryofcustomobjects,custompartytherighttoreject.五、不能交付定做物或不能完成工作的，應(yīng)當(dāng)償付不能交付定做物或不能完成工作部分價(jià)款總值的____%(10%～30%)或酬金總額的____%(20%～60%)的違約金。六、異地交付的定做物不符合合同規(guī)定，暫由定做方代保管時(shí)，應(yīng)當(dāng)償付定做方實(shí)際支付的保管、保養(yǎng)費(fèi)。七、實(shí)行代運(yùn)或送貨的定做物，錯(cuò)發(fā)到達(dá)地點(diǎn)或接收單位(人)，除按合同規(guī)定負(fù)責(zé)運(yùn)到指定地點(diǎn)或接收單位(人)外，并承擔(dān)因此多付的運(yùn)雜費(fèi)和逾期交付定做物的責(zé)任。Fifth,notmatterorcannotcompletedeliveryofcustomwork,custom-madeobjectsshouldbepaidcannotbedeliveredorcannotcompletetheworkpartofthepricevalueof____%(10%to30%)or20%oftotalremuneration____%(~60%)ofliquidateddamages.

Sixoff-sitedeliveryofcustom-madematerialsdonotmeetcontract,temporarycustodybythecustomsideonbehalfof,thepartiesshallbepaidtheactualpaymentofcustom-madestorage,maintenance.

Seven,theimplementationoftransportationofordeliveryofcustom-madematerials,made??toreachthewrongplaceorreceiveunits(people),inadditiontothecontractisresponsibletothedesignatedplaceorreceiveunits(people)outside,andtakesomuchandpaytransportfeesresponsibilityforlatedeliveryofcustomobjects.八、由于保管不善致使定做方提供的原材料、設(shè)備、包裝物及其他物品毀損、滅失的，應(yīng)當(dāng)償付定做方因此造成的損失。九、未按合同規(guī)定的辦法和期限對(duì)定做方提供的原材料進(jìn)行檢驗(yàn)，或經(jīng)檢驗(yàn)發(fā)現(xiàn)原材料不符合要求而未按合同規(guī)定的期限通知定做方調(diào)換、補(bǔ)齊的，由委托方對(duì)工作質(zhì)量、數(shù)量承擔(dān)責(zé)任。十、擅自調(diào)換定做方提供的原材料或修理物的零部件，定做方有權(quán)拒收，委托方應(yīng)賠償定做方因此造成的損失。如定做方要求重作或重新修理，應(yīng)當(dāng)按定做方要求辦理，并承擔(dān)逾期交付的責(zé)任。Eight,theresultinglackofgoodcareprovidedbycustom-maderawmaterials,equipment,packagingandotheritemsdamagedorlost,shouldbemade??toorderpartiestopaytheresultinglosses.

Ten,withoutexchangeofrawmaterialsprovidedbycustomorrepairmaterialparts,customsidetherighttoreject,thecommissionshallcompensatetheresultinglossofcustom-madeside.Suchascustom'srequesttoredoorre-repair,itshouldbehandledaccordingtocustom'srequest,andassumeresponsibilityforlatedelivery.

第十三條定做方的違約責(zé)任一、中途變更定做物的數(shù)量、規(guī)格、質(zhì)量或設(shè)計(jì)等，應(yīng)當(dāng)賠償委托方因此造成的損失。二、中途廢止合同，屬委托方提供原村料的，償付委托方的未履行部分價(jià)款總值的____%(10%～30%幅度)的違約金；不屬委托方提供原材料的，償付委托方以未履行部分酬金總額的____%(20%～60%的幅度)違約金。ArticleXIIIofcustom-madepartyliabilityforbreachof

Second,thehalf-wayannullingacontract,providedtheoriginalvillageiscommissionedmaterial,topaythePrincipal'sfailuretofulfillpartofthepricevalueof____%(rateof10%to30%)ofliquidateddamages;donotbelongtothecommissioningpartytoproviderawmaterials,paycommissionsidetotheunperformedportionofthetotalremuneration____%(20%to60%oftheamplitude)ofliquidateddamages未按合同規(guī)定的時(shí)間和要求向委托方提供原材料、技術(shù)資料、包裝物等或未完成必要的輔助工作和準(zhǔn)備工作，委托方有權(quán)解除合同，定做方應(yīng)當(dāng)賠償委托方因此而造成的損失；委托方不要求解除合同的，除交付定做物的日期得以順延外，定做方應(yīng)當(dāng)償付委托方停工待料的損失。Third,thefailuretimeandrequirementsstipulatedinthecontractprovidedtothecommissioningofrawmaterials,technicaldata,packagingandotherauxiliaryworkortocompletethenecessaryworkandpreparation,thecommissioningpartytherighttoterminatethecontract,custompartyshallindemnifythecommissioningpartytheresultantloss;thecommissioningpartydoesnotrequireterminationofthecontract,otherthanthedeliverydatebepostponedcustomobjects,thecustom-madepartyshallpaythePrincipaldowntimetobeexpectedlosses超過(guò)合同規(guī)定期限領(lǐng)取定做物的，除按本條第五款規(guī)定償付違約金外，還應(yīng)當(dāng)承擔(dān)委托方實(shí)際支付的保管、保養(yǎng)費(fèi)。定做方超過(guò)領(lǐng)取期限6個(gè)月不領(lǐng)取定做物的，委托方有權(quán)將定做物變賣，所得價(jià)款在扣除報(bào)酬、保管、保養(yǎng)費(fèi)后，退還給定做方；變賣定做物所得少于報(bào)酬、保管、保養(yǎng)費(fèi)時(shí)，定做方還應(yīng)補(bǔ)償不足部分；如定做物不能變賣，應(yīng)當(dāng)賠償委托方的損失。Fourth,overthecontractperiodtoreceivecustom-madeobjects,inadditiontopayliquidateddamagesprovisioninparagraph5,shouldalsoundertaketopaythecommission,theactualcustody,maintenancecosts.Custom-madepartytoreceivemorethansixmonthsdurationdonotreceivecustomobjects,customobjectsentrustedpartyisentitledtosell,proceedsfromthenetpay,storage,maintenancefee,returnedtothecustomside;sellcustom-madefromlessmaterialincompensation,custody,maintenanceandtime-consuming,custom-madesideshouldalsocompensateforlackofparts;suchascustomobjectscannotbesold,thecommissioningpartyshouldcompensatethelosses.五、超過(guò)合同規(guī)定日期付款，應(yīng)當(dāng)比照中國(guó)人民銀行有關(guān)延期付款的規(guī)定向委托方償付違約金；以酬金計(jì)算的，每逾期一天，按酬金總額的千分之一償付違約金。六、無(wú)故拒絕接收定做物，應(yīng)當(dāng)賠償委托方因此造成的損失及運(yùn)輸部門的罰款。七、變更交付定做物地點(diǎn)或接收單位(人)，承擔(dān)因此而多支出的費(fèi)用。Fifth,morethanthecontractpaymentdate,People'sBankofChinashallbemutatismutandistheprovisionsofthedeferredpaymenttopayliquidateddamagestothecommissioningparty;toremunerationcalculatedforeachoverdueday,accordingtoonethousandthofthetotalremunerationtopayliquidateddamages.

Sixth,fornoreasonrefusetoacceptcustom-madeobjects,thecommissioningpartyshallcompensatetheresultinglossoffineandtransportsectors.

Seven,custom-madematerialchangestothedeliverylocationorthereceivingunit(person),sotaketheextraexpenses第十四條不可抗力在合同規(guī)定的履行期限內(nèi)，由于不可抗力致使定做物或原材料毀損、滅失的，委托方在取得合法證明后，可免予承擔(dān)違約責(zé)任，在定做方遲延接受或無(wú)故拒收期間發(fā)生的，定做方應(yīng)當(dāng)承擔(dān)責(zé)任，并賠償委托方由此造成的損失。ArticleXIVForceMajeure
