PARTNERSHIPFORMATION

4.3DecisionsaffectingthePartnershipshallbemadebyamajorityvoteofthePartners.

4.4ThePartnersshallkeepdetailedrecordsofallPartnershiptransactions,includingbutnotlimitedtofinancialstatements,invoices,andcontracts.

4.5ThePartnersshallprovidefulldisclosureofallPartnershipmatterstoeachother,andshallnotengageinanyactivitythatmaybedetrimentaltothePartnership.

利分配

5.1ThenetprofitsofthePartnershipshallbedistributedamongthePartnersinproportiontotheircapitalcontributions,unlessotherwiseagreeduponbythePartners.
