WHEREAS,PartyAandPartyBaredesirousofenteringintoajointventurerelationship(hereinafterreferredtoasthe"JointVenture")toengageinthebusinessof__________(hereinafterreferredtoasthe"Business")intheterritoryof__________(hereinafterreferredtoasthe"Territory");
WHEREAS,thePartiesagreethatitisintheirmutualinteresttoformajointventureforthepurposeofexploitingtheBusinessopportunitiesandadvantagesintheTerritory;
NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementssetforthherein,thePartiesagreeasfollows:
1.FormationoftheJointVenture
1.1ThePartiesherebyagreetoestablishajointventure(hereinafterreferredtoasthe"JointVentureCompany")forthepurposeofconductingtheBusinessintheTerritory.ThenameoftheJointVentureCompanyshallbe__________(hereinafterreferredtoasthe"Company").
1.2ThePartiesshallcontributetheirshareofcapitaltotheCompanyasstipulatedinArticle3ofthisAgreement.TheCompanyshallbealegallyincorporatedentityunderthelawsof__________.

2.ContributionstotheJointVenture

2.2PartyBshallcontribute__________(intermsofcash,equipment,technology,etc.)totheCompanyasitsshareofcapital.Thecontributedcapitalshallbesubjecttotheevaluationofathird-partyappraisalagencyagreeduponbybothParties.
2.3Thevaluationofthecontributedcapitalshallbebasedontheappraisedvalueofthethird-partyappraisalagencyandagreeduponbybothParties.
3.ShareholdingProvisions
3.1ThePartiesagreetoholdthefollowingshareholdingsintheCompany:
-PartyAshallhold__________%oftheCompany'sshares.
-PartyBshallhold__________%oftheCompany'sshares.
3.2TheshareholdingpercentageofeachPartymaynotbetransferred,assigned,orencumberedwithoutthepriorwrittenconsentoftheotherParty.
3.3ThePartiesshallbejointlyandseverallyliablefortheobligationsandliabilitiesoftheCompany.
4.ManagementandOperation
4.1TheCompanyshallbemanagedandoperatedinaccordancewiththelawsandregulationsoftheTerritory.
4.2TheBoardofDirectors(hereinafterreferredtoasthe"Board")shallbethegoverningbodyoftheCompany.TheBoardshallconsistof__________members,withPartyAandPartyBappointing__________memberseach.
4.3TheBoardshallmakedecisionsontheimportantmattersconcerningtheCompany'soperation,includingbutnotlimitedto:
-Approvaloftheannualbusinessplan;
-Appointmentandremovalofseniormanagementpersonnel;
-Approvaloffinancialstatements;
-Authorizationofborrowingandloan;
4.4DecisionsmadebytheBoardshallrequiretheapprovalofamajorityoftheBoardmembers.
5.ProfitandLossDistribution
5.1TheCompanyshalldistributeitsprofitsandlossestothePartiesinaccordancewiththeirrespectiveshareholdingsintheCompany.
5.2TheprofitandlossdistributionshallbedeterminedonayearlybasisandshallbesubjecttothereviewandapprovaloftheBoard.
5.3AnyremainingprofitsafterthedistributionshallberetainedintheCompanyforthepurposeofreinvestmentorotherlegitimateuses.
6.DissolutionoftheJointVenture
6.1TheJointVentureshallbedissolvedinaccordancewiththeprovisionsofthisAgreementorunderthefollowingcircumstances:
-TheterminationofthisAgreement;
-ThebreachofthisAgreementbyeitherParty;
-TheimpossibilityoffulfillingtheobjectivesoftheJointVenture;
-TheoccurrenceofeventsthatrenderthecontinuationoftheJointVentureunfeasible.
6.2UponthedissolutionoftheJointVenture,thePartiesshallproceedwiththeliquidationoftheCompanyanddistributetheremainingassetsaccordingtotheirshareholdingsintheCompany.
7.ForceMajeure
7.1NeitherPartyshallbeheldliableforanyfailureordelayintheperformanceofitsobligationsunderthisAgreementduetoforcemajeureeventsbeyonditsreasonablecontrol,suchasnaturaldisasters,war,governmentregulations,etc.
8.GoverningLawandDisputeResolution
8.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof__________.
8.2AnydisputesarisingfromorinconnectionwiththisAgreementshallbesubmittedtothecourtsof__________forresolution.

-Approvaloftheannualbusinessplan;
-Appointmentandremovalofseniormanagementpersonnel;
-Approvaloffinancialstatements;
-Authorizationofborrowingandloan.
4.ProfitandLossDistribution
4.1TheCompanyshalldistributeitsprofitsandlossestothePartiesinaccordancewiththeirrespectiveshareholdingsintheCompany.
4.2PartyAshallreceive__________%ofthenetprofits,PartyBshallreceive__________%,andPartyCshallreceive__________%ascompensationforitsservicesandsupport.
5.PartyC'sObligationsandRights
5.1PartyCshallprovidethefollowingservicesandsupporttotheCompany:

6.3PartyBshallbeliableforanybreachofitsobligationsunderthisAgreement,includingbutnotlimitedtothefailuretoprovidetherequiredcapitalcontribution.
7.DissolutionoftheJointVenture
7.1TheJointVentureshallbedissolvedinaccordancewiththeprovisionsofthisAgreementorunderthefollowingcircumstances:
-TheterminationofthisAgreement;
-ThebreachofthisAgreementbyeitherParty;
-TheimpossibilityoffulfillingtheobjectivesoftheJointVenture;
-TheoccurrenceofeventsthatrenderthecontinuationoftheJointVentureunfeasible.
8.GoverningLawandDisputeResolution
8.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof__________.

-Accesstoitsnetworkofindustrycontactsandpotentialbusinesspartners.
-Adviceonmarkettrendsandcompetitiveanalysis.
6.2PartyCshallhavetherighttoreceiveashareoftheCompany'sprofitsinproportiontoitsinvestment.
7.DissolutionoftheJointVenture
7.1TheJointVentureshallbedissolvedinaccordancewiththeprovisionsofthisAgreementorunderthefollowingcircumstances:
-TheterminationofthisAgreement;
-ThebreachofthisAgreementbyeitherParty;
-TheimpossibilityoffulfillingtheobjectivesoftheJointVenture;
-TheoccurrenceofeventsthatrenderthecontinuationoftheJointVentureunfeasible.
8.GoverningLawandDisputeResolution
