模具使用協(xié)議合同英文?ThisMoldUseAgreementContract(the"Contract")ismadeandenteredintoasof[date]byandbetween:PartyA:[CompanyNameA]Apanyincorporatedunderthelawsof[country],withitsregisteredaddressat[addressA],anditsbusinesslicensenumberis[licensenumberA].ContactPerson:[nameA]ContactInformation:[phonenumberA]/[emailaddressA]PartyB:[CompanyNameB]Apanyincorporatedunderthelawsof[country],withitsregisteredaddressat[addressB],anditsbusinesslicensenumberis[licensenumberB].ContactPerson:[nameB]ContactInformation:[phonenumberB]/[emailaddressB]I.SubjectMatteroftheContractPartyAherebyagreestoprovidePartyBwiththeuserightsofcertainmolds(the"Molds"),andPartyBagreestousetheMoldsinaccordancewiththetermsandconditionsofthisContract.ThedetaileddescriptionoftheMoldsisasfollows:1.MoldSpecificationsTheMoldsaredesignedandmanufacturedfortheproductionof[productname].ThespecificdimensionsoftheMoldsare[length]x[width]x[height]centimeters,andtheweightisapproximately[weight]kilograms.TheMoldsaremadeof[materialname],withasurfacefinishof[finishtype].2.MoldComponentsTheMoldsconsistofthefollowingmainponents:[listponentnamesandfunctions].EachponentiscarefullyengineeredandassembledtoensuretheproperfunctioningoftheMoldsduringtheproductionprocess.3.MoldSerialNumbersTheMoldsareassignedthefollowingserialnumbers:[listserialnumbers].TheseserialnumbersareusedforidentificationandtrackingpurposesthroughoutthetermofthisContract.II.RightsandObligationsofthePartiesA.RightsofPartyA1.OwnershipRetentionPartyAshallretainfullownershipoftheMolds.PartyBshallhavenorighttosell,transfer,lease,sublicense,orotherwisedisposeoftheMoldswithoutthepriorwrittenconsentofPartyA.2.InspectionandAuditRightsPartyAhastherighttoinspecttheMoldsatanyreasonabletimeduringthetermofthisContracttoensurethatPartyBisusingtheMoldsinaccordancewiththetermshereof.PartyBshallprovidePartyAwithreasonableaccessandassistanceforsuchinspections.3.IntellectualPropertyRightsPartyAshallretainallintellectualpropertyrightsassociatedwiththeMolds,includingbutnotlimitedtopatents,trademarks,copyrights,andtradesecrets.PartyBshallnotinfringeuponPartyA'sintellectualpropertyrightsduringtheuseoftheMolds.B.ObligationsofPartyA1.DeliveryandInstallationPartyAshalldelivertheMoldstoPartyB'sdesignatedlocationwithin[deliveryperiod]daysaftertheexecutionofthisContract.PartyAshallberesponsiblefortheproperinstallationand調(diào)試oftheMoldstoensurethattheyareinworkingconditionupondelivery.2.TechnicalSupportPartyAshallprovidePartyBwithtechnicalsupportduringthetermofthisContract.Thisincludesbutisnotlimitedtoansweringtechnicalquestions,providingtroubleshootingassistance,andmakingnecessaryrepairsormodificationstotheMoldsinatimelymanner.3.WarrantyPartyAwarrantsthattheMoldsshallbefreefromdefectsinmaterialsandworkmanshipforaperiodof[warrantyperiod]monthsfromthedateofdelivery.Intheeventofanydefectsduringthewarrantyperiod,PartyAshall,atitsoption,repair,replace,orrefundthecostoftheMoldsinaccordancewiththetermsofthisContract.C.RightsofPartyB1.UseRightsPartyBhastherighttousetheMoldssolelyforthepurposeofmanufacturing[productname]atitsdesignatedproductionfacilitylocatedat[address].PartyBshallnotusetheMoldsforanyotherpurposewithoutthepriorwrittenconsentofPartyA.2.ConfidentialityPartyBshalltreattheMoldsandallrelatedtechnicalinformationandknowhowasconfidential.PartyBshallnotdisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentofPartyA.D.ObligationsofPartyB1.ProperUseandMaintenancePartyBshallusetheMoldsinaproperandreasonablemannerinaccordancewiththeoperatinginstructionsprovidedbyPartyA.PartyBshallberesponsiblefortheregularmaintenanceandcleaningoftheMoldstoensuretheircontinuedproperfunctioning.2.StorageandSecurityPartyBshallstoretheMoldsinasafeandsecurelocationatitsproductionfacility.PartyBshalltakeallnecessaryprecautionstopreventdamage,theft,orunauthorizedaccesstotheMolds.3.ReportingofDefectsIntheeventthatPartyBdiscoversanydefectsormalfunctionsintheMolds,PartyBshallimmediatelynotifyPartyAinwriting.PartyBshallcooperatefullywithPartyAintheinvestigationandresolutionofsuchissues.4.ReturnofMoldsUpontheexpirationorearlyterminationofthisContract,PartyBshallreturntheMoldstoPartyAinthesameconditionasreceived,reasonablewearandtearexcepted.PartyBshallberesponsibleforthecostofreturningtheMoldstoPartyA.III.PaymentTerms1.InitialPaymentPartyBshallpayPartyAaninitialpaymentof[amount]within[paymentduedate1]daysaftertheexecutionofthisContract.Thisinitialpaymentshallbenonrefundable.2.UsageFeesPartyBshallpayPartyAusagefeesona[usagefeepaymentbasis,e.g.,monthly/quarterly/annually]basis.Theusagefeeshallbecalculatedbasedonthenumberof[unitsproduced/workinghoursofthemolds]duringeachperiod.Theusagefeerateis[rateperunit/rateperhour],andthetotalusagefeeforeachperiodshallbe[usagefeeamount].PartyBshallpaytheusagefeeswithin[paymentduedate2]daysaftertheendofeachperiod.3.LatePaymentChargesIntheeventthatPartyBfailstopayanyamountdueunderthisContractwithinthespecifiedpaymentterms,PartyBshallbeliabletopaylatepaymentchargesatarateof[latepaymentchargepercentage]perannumontheoutstandingamountfromtheduedateuntilthedateofactualpayment.IV.TermandTermination1.TermThetermofthisContractshallmenceonthedateofexecutionandshallcontinueforaperiodof[contractterm]months/years,unlessearlierterminatedinaccordancewiththeprovisionshereof.2.TerminationbyAgreementThisContractmaybeterminatedbymutualwrittenagreementofthePartiesatanytime.3.TerminationforBreachEitherPartymayterminatethisContractimmediatelyuponwrittennoticetotheotherPartyiftheotherPartymateriallybreachesanyprovisionofthisContractandfailstocuresuchbreachwithin[cureperiod]daysafterreceiptofwrittennotice.4.ConsequencesofTerminationUponterminationofthisContract,PartyBshallimmediatelyceaseusingtheMoldsandreturnthemtoPartyAinaccordancewiththetermsofSectionII.D.4above.AlloutstandingpaymentsduetoPartyAshallbeimmediatelydueandpayable.V.Confidentiality1.ConfidentialInformationDefinedForthepurposesofthisContract,"ConfidentialInformation"shallincludeallinformationrelatedtotheMolds,includingbutnotlimitedtotechnicalspecifications,designs,manufacturingprocesses,andanyotherinformationdisclosedbyPartyAtoPartyBinconnectionwiththeuseoftheMolds.2.ObligationtoMaintainConfidentialityEachPartyshallkeeptheConfidentialInformationconfidentialandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherParty.EachPartyshalltakeallreasonablemeasurestoprotecttheconfidentialityoftheConfidentialInformation,includingbutnotlimitedtoimplementingsecurityproceduresandrestrictingaccesstotheConfidentialInformationtoitsemployeesandagentswhoneedtoknowsuchinformationforthepurposesofthisContract.3.ExceptionstoConfidentialityTheobligationofconfidentialityshallnotapplytoanyinformationthat:isalreadyinthepublicdomainatthetimeofdisclosure;bespubliclyavailablethroughnofaultofthereceivingParty;isrequiredtobedisclosedbylaworbyacourtorothergovernmentauthority;orisdisclosedtoathirdpartywiththepriorwrittenconsentofthedisclosingParty.VI.LiabilityandIndemnification1.LimitedLiabilityInnoeventshalleitherPartybeliabletotheotherPartyforanyindirect,special,consequential,orpunitivedamages,includingbutnotlimitedtolostprofits,lostbusinessopportunities,ordamagetoreputation,arisingoutoforinconnectionwiththisContract,evenifsuchPartyhasbeenadvisedofthepossibilityofsuchdamages.2.IndemnificationPartyBshallindemnifyandholdPartyAharmlessfromandagainstanyandallclaims,losses,damages,liabilities,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwithPartyB'suseoftheMolds,includingbutnotlimitedtoanyclaimsforinfringementofintellectualpropertyrights,productliability,orbreachofanyapplicablelawsorregulations.3.PartyA'sIndemnificationPartyAshallindemnifyandholdPartyBharmlessfromandagainstanyandallclaims,losses,damages,liabilities,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwithPartyA'sbreachofitsobligationsunderthisContract,includingbutnotlimitedtoanydefectsintheMoldsoranyfailuretoprovidetheagreedupontechnicalsupport.VII.GoverningLawandJurisdiction1.GoverningLawThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[governinglawcountry].2.JurisdictionAnydisputesarisingoutoforinconnectionwiththisContractshallbesubjecttotheexclus
