I.Recitals

II.ScopeofWork

V.Confidentiality

2.TheReceivingPartyshallnotdisclose,use,orpermitanythirdpartytousesuchconfidentialinformation,exceptasrequiredbylaworwiththepriorwrittenconsentoftheDisclosingParty.

VI.IntellectualProperty

1.AllintellectualpropertyrightsarisingoutoforinconnectionwiththeservicesrenderedorgoodsprovidedunderthisAgreementshallbeownedby[Specifytheowneroftheintellectualpropertyrights].

2.Eachpartyshallindemnifyandholdtheotherpartyharmlessfromanyclaims,losses,damages,orliabilitiesarisingoutoforinconnectionwithanyallegedinfringementofintellectualpropertyrights.

VII.RepresentationsandWarranties

1.EachpartyrepresentsandwarrantsthatithasthelegalrightandauthoritytoenterintothisAgreementandtoperformitsobligationshereunder.

2.EachpartyfurtherrepresentsandwarrantsthattheinformationprovidedtotheotherpartyinconnectionwiththisAgreementistrue,accurate,andcomplete.

VIII.Termination

1.EitherpartymayterminatethisAgreementupon[Noticeperiod]writtennoticetotheotherpartyintheeventofamaterialbreachofthisAgreementbytheotherparty.

2.Intheeventoftermination,bothpartiesshallceaseallactivitiesrelatedtothisAgreementandshallreturnanyconfidentialinformationorpropertyoftheotherpartyintheirpossession.

IX.Liability

1.EachpartyshallbeliableforitsownactsandomissionsinconnectionwiththisAgreementandshallindemnifyandholdtheotherpartyharmlessfromanyclaims,losses,damages,orliabilitiesarisingoutoforinconnectionwithsuchactsandomissions.

2.Undernocircumstancesshalleitherpartybeliabletotheotherpartyforanyindirect,consequential,special,orpunitivedamagesarisingoutoforinconnectionwiththisAgreement.

X.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

XI.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.
