2025版股權(quán)質(zhì)押融資協(xié)議英文合同ThisAgreement("Agreement")ismadeandenteredintoasof_______________,2025,andbetweenthefollowingparties:_________________________("Lender"),acorporationorganizedandexistingunderthelawsof_______________,withitsprincipalplaceofbusinessat_______________________,and_________________________("Borrower"),acorporationorganizedandexistingunderthelawsof_______________,withitsprincipalplaceofbusinessat_______________________,(collectivelyreferredtoasthe"Parties").WHEREAS,theBorrowerisinneedoffinancingto_______________;andWHEREAS,theLenderiswillingtoprovidesuchfinancingtotheBorrower;andWHEREAS,theBorrowerdesirestosecuretheobligationsoftheLenderunderthisAgreementwayofpledgeofitsequityinterestintheBorrower'scapitalstock("PledgedEquity");andWHEREAS,theLenderdesirestohavethePledgedEquitysubjecttoapledgeagreement("PledgeAgreement")andasecurityagreement("SecurityAgreement").NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereinaftersetforth,thePartiesagreeasfollows:1.PledgeAgreement1.1PledgeofEquity.TheBorrowerherepledges,assigns,andtransferstotheLender,assecurityfortheobligationsoftheBorrowerunderthisAgreementandanyotherobligationsoftheBorrowertotheLender,alloftheBorrower'sright,,andinterestinandtothePledgedEquity.1.2PledgeAgreement.ThePledgedEquityshallbesubjecttothetermsandconditionsofthisPledgeAgreement,whichisincorporatedhereinreference.2.SecurityAgreement2.1SecurityInterest.TheLendershallhaveasecurityinterestinthePledgedEquity,whichshallbegovernedtheprovisionsoftheUniformCommercialCode("UCC")asineffectinthejurisdictionwheretheBorrowerisorganizedandexisting.2.2SecurityAgreement.ThePledgedEquityshallbesubjecttothetermsandconditionsofthisSecurityAgreement,whichisincorporatedhereinreference.3.Borrower'sRepresentationsandWarranties3.1GeneralRepresentationsandWarranties.TheBorrowerrepresentsandwarrantstotheLenderthat:(a)TheBorrowerisacorporationorganizedandexistingunderthelawsof_______________,withitsprincipalplaceofbusinessat_______________________;and(b)TheBorrowerhasfullpowerandauthoritytoenterintothisAgreementandtopledge,assign,andtransferthePledgedEquitytotheLender.4.Lender'sRepresentationsandWarranties4.1GeneralRepresentationsandWarranties.TheLenderrepresentsandwarrantstotheBorrowerthat:(a)TheLenderisacorporationorganizedandexistingunderthelawsof_______________,withitsprincipalplaceofbusinessat_______________________;and(b)TheLenderhasfullpowerandauthoritytoenterintothisAgreementandtoprovidefinancingtotheBorrower.5.TermsofFinancing5.1AmountofFinancing.TheLendershallprovidefinancingtotheBorrowerinanamountnottoexceed$_____________(USD).5.3RepaymentTerms.TheBorrowershallrepaythefinancingprovidedtheLenderinaccordancewiththefollowingschedule:(a)PrincipalRepayment:TheBorrowershallmakemonthlyprincipalpaymentsof$_____________(USD)beginningon_______________,2025,andcontinuinguntiltheentireprincipalamounthasbeenrepaid.(b)InterestPayments:TheBorrowershallmakemonthlyinterestpaymentsof$_____________(USD)beginningon_______________,2025,andcontinuinguntiltheentireprincipalamounthasbeenrepaid.6.EventsofDefault6.1GeneralEventsofDefault.ThefollowingeventsshallconstituteeventsofdefaultunderthisAgreement:(a)FailureoftheBorrowertomakeanypaymentwhendueunderthisAgreement;(b)BreachofanyrepresentationorwarrantymadetheBorrowerunderthisAgreement;(c)Anybankruptcy,receivership,orsimilarproceedinginvolvingtheBorrower;(d)AnymaterialadversechangeinthefinancialconditionoftheBorrower;(e)AnymaterialbreachofanyagreementorinstrumenttowhichtheBorrowerisaparty;6.2ConsequencesofDefault.Upontheoccurrenceofanyeventofdefault,theLendershallhavetherighttodeclarealloranypartofthefinancingprovidedtheLendertobeimmediatelydueandpayable,withoutnoticeordemand.7.RightsandRemediesoftheLender7.1GeneralRightsandRemedies.TheLendershallhaveallrightsandremediesavailabletoitatlaworinequity,whetherornotprovidedforinthisAgreement,toenforcetheobligationsoftheBorrowerunderthisAgreement.7.2LienonPledgedEquity.TheLendershallhaveaperfectedlienonthePledgedEquity,whichshallsecuretheobligationsoftheBorrowerunderthisAgreementandanyotherobligationsoftheBorrowertotheLender.8.Indemnification8.1IndemnificationBorrower.TheBorrowershallindemnify,defend,andholdharmlesstheLender,itsofficers,directors,employees,agents,andsuccessorsininterestfromandagainstanyandalllosses,claims,demands,liabilities,expenses,andcostsincurredtheLenderinconnectionwithanyclaim,action,suit,orproceedingarisingoutoforrelatedtothePledgedEquityorthisAgreement.8.2IndemnificationLender.TheLendershallindemnify,defend,andholdharmlesstheBorrower,itsofficers,directors,employees,agents,andsuccessorsininterestfromandagainstanyandalllosses,claims,demands,liabilities,expenses,andcostsincurredtheBorrowerinconnectionwithanyclaim,action,suit,orproceedingarisingoutoforrelatedtothefinancingprovidedtheLenderunderthisAgreement.9.GoverningLawandJurisdiction9.1GoverningLaw.ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof_______________,withoutregardtoitsconflictoflawsprinciples.9.2
