2025商務(wù)英語高效談判技巧:成功簽訂合同口語實(shí)訓(xùn)Contractfor2025BusinessEnglishAdvancedNegotiationSkills:SuccessfulContractSigningOralTrainingContractNo.:DateofSigning:PlaceofSigning:ThisContractisenteredintoonthisdayof2025,byandbetweenthefollowingparties:PartyA:NameofPartyA:TypeofPartyA:Address:ContactInformation:PartyB:NameofPartyB:TypeofPartyB:Address:ContactInformation:Recitals:WHEREAS,PartyAdesirestoengagePartyBtoprovidetrainingservicesrelatingtothe"2025BusinessEnglishAdvancedNegotiationSkills:SuccessfulContractSigningOralTraining"(hereinafterreferredtoasthe"TrainingProgram");ANDWHEREAS,PartyBiswillingandcapableofprovidingtheaforementionedtrainingservicesinaccordancewiththetermsandconditionssetforthherein;NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisescontainedherein,thepartiesheretoagreeasfollows:1.ServiceDescription1.1ScopeofServices:PartyBshallprovideprofessionaltrainingservicestoPartyA'semployees,focusingonenhancingtheirbusinessEnglishproficiencyandnegotiationskills,withaparticularemphasisonoraltrainingforsuccessfulcontractsigning.Thetrainingprogramwillcoverkeyareasincluding,butnotlimitedto:AdvancedbusinessEnglishcommunicationtechniques;Effectivenegotiationstrategiesforcontractsigning;Culturalcompetenceininternationalbusinessinteractions;Practicalrole-playingscenariostosimulatereal-worldcontractnegotiations;Post-trainingevaluationandfeedback.1.2TrainingDuration:TheTrainingProgramshallbeconductedoveraperiodof(specificduration,e.g.,12weeks)withatotaloftrainingsessions.Eachsessionshallbeofhoursinduration,unlessotherwiseagreeduponinwritingbybothparties.1.3DeliveryMethod:Thetrainingsessionsshallbedeliveredthroughacombinationofin-personandvirtual(online)formats,asmutuallyagreeduponintheattached"TrainingSchedule."2.FeesandPaymentTerms2.1TotalFee:ThetotalfeefortheTrainingProgramshallbe人民幣(RMB),inclusiveofalltaxes,fees,andotherexpensesdirectlyrelatedtotheprovisionofthetrainingservices.2.2PaymentSchedule:PaymentshallbemadebyPartyAinaccordancewiththefollowingschedule:%ofthetotalfee,i.e.,人民幣(RMB),shallbepaidupontheexecutionofthisContract;Theremaining%ofthetotalfee,i.e.,人民幣(RMB),shallbepaidwithin(specificnumberofdays,e.g.,30)daysofthecompletionoftheTrainingProgram.2.3LatePaymentCharges:IfPartyAfailstomakepaymentinaccordancewiththetermsherein,PartyBshallbeentitledtochargealatepaymentfeeof%permonthontheoutstandingamount.2.4Invoices:PartyBshallissuevalidinvoicestoPartyAinaccordancewithapplicablelawsandregulations.PartyAshallberesponsibleforverifyingtheaccuracyoftheinvoiceswithindaysofreceipt.FailuretonotifyPartyBofanydiscrepancieswithinthisperiodshallbedeemedasacceptanceoftheinvoice.3.TermsandConditions3.1Confidentiality:BothpartiesagreetomaintaintheconfidentialityofallinformationexchangedduringthecourseoftheTrainingProgram.Exceptasrequiredbylaworwiththepriorwrittenconsentofthedisclosingparty,noconfidentialinformationshallbedisclosedtoanythirdparty.3.2IntellectualProperty:Allmaterials,content,andintellectualpropertyrightsrelatedtotheTrainingProgramshallremainthesolepropertyofPartyB.PartyAshallnotreproduce,distribute,orusesuchmaterialsforanypurposeotherthantheTrainingProgramwithoutthepriorwrittenconsentofPartyB.3.3IndependentContractor:ItisexplicitlyunderstoodandagreedthatPartyBshallactasanindependentcontractorandshallnotbeconsideredanemployee,agent,orrepresentativeofPartyA.Neitherpartyshallbeliableforanyactsoromissionsoftheotherparty,unlessotherwisespecifiedherein.3.4Modifications:AnyamendmentsormodificationstothisContractshallbemadeinwritingandsignedbybothparties.Noverbalagreementsorrepresentationsshallbebindinguponeitherparty.3.5Termination:EitherpartymayterminatethisContractwithdays'writtennoticeiftheotherpartybreachesanyofitsobligationsunderthisContractandfailstocuresuchbreachwithindaysofreceivingnoticethereof.3.6ForceMajeure:NeitherpartyshallbeliableforanydelayorfailuretoperformitsobligationsunderthisContractifsuchdelayorfailureisduetocausesbeyonditsreasonablecontrol,including,butnotlimitedto,actsofGod,naturaldisasters,war,orgovernmentactions.3.7GoverningLaw:ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina.AnydisputesarisingoutoforinconnectionwiththisContractshallfirstberesolvedthrough友好協(xié)商(friendlynegotiations).Ifsuchnegotiationsfail,thedisputesshallbe提交至(submittedto)thecourtofChinaforresolution.3.8CompliancewithLaws:Bothpartiesshallcomplywithallapplicablelaws,regulations,andstandardsintheperformanceofthisContract.4.Miscellaneous4.1Notices:Allnotices,requests,demands,orothercommunicationsrequiredorpermittedunderthisContractshallbeinwritinganddeliveredpersonally,byregisteredorcertifiedmail,returnreceiptrequested,orbytelecopy,totherespectiveaddressesofthepartiesassetforthinthisContract.4.2EntireAgreement:ThisContractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereof.Anyprioragreements,representations,orunderstandings,whetheroralorwritten,areherebysupersededandcanceled.4.3Waiver:AnywaiverofaprovisionofthisContractshallnotoperateasawaiverofanyotherprovision,norshallanypartialwaiveroperateasacompletewaiverofsuchprovisionorawaiverofthesameprovisiononanyotheroccasion.4.4.SEVERABILITY:Ifanyprov
