國(guó)際空運(yùn)合同范本2025年版THISAGREEMENTOFAIRTRANSPORTATION,effectiveasofthedateofsigningbelow,ismadeandenteredintobyandbetween[CARRIERNAME],acompanyorganizedandexistingunderthelawsof[CARRIER'SJURISDICTION]withitsprincipalplaceofbusinessat[CARRIER'SADDRESS]("Carrier"),and[SHIPPERNAME],acompanyorganizedandexistingunderthelawsof[SHIPPER'SJURISDICTION]withitsprincipalplaceofbusinessat[SHIPPER'SADDRESS]("Shipper").NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromiseshereincontained,thepartiesagreeasfollows:1.AIRTRANSPORTATIONCarrierherebyagreestotransportthegoodsdescribedherein,subjecttothetermsandconditionssetforthinthisAgreement,byairfrom[LOADINGPOINTNAMEANDADDRESS],[LOADINGPOINTCOUNTRY](the"LoadingPoint")to[UNLOADINGPOINTNAMEANDADDRESS],[UNLOADINGPOINTCOUNTRY](the"UnloadingPoint"),includinganynecessaryconnectionsat[TRANSFERPOINTNAMEANDADDRESS],[TRANSFERPOINTCOUNTRY](the"TransferPoint"),ifapplicable.2.GOODSDESCRIPTIONThegoodstobetransportedconsistof[DetailedDescriptionofGoodsincludingquantity,weight(gross),volume(dimensions),andpackaging].ThevolumeweightofthegoodsshallbecalculatedaspertherulesadoptedbyCarrier,whichis[Specifymethod,e.g.,1cubicmeter=167kilogramsor1cubicmeter=6,000kilograms,orthegreaterofactualgrossweightorvolumeweight].Thechargeableweightforthisshipmentis[SpecifyChargeableWeight]kilograms.Thegoodsaredeclaredatavalueof[SpecifyDeclaredValue,ifany].Ifdeclared,ShippershallberesponsibleforanyadditionalchargesforvaluationandanylossinexcessofthedeclaredvalueshallbebornebyShipper.3.MARKINGANDLABELINGShippershallensurethatthegoodsareproperlymarkedandlabeledinaccordancewithCarrier'srequirementsandapplicableregulations.Themarkingshallinclude,butnotbelimitedto,Shipper'snameandaddress,Consignee'snameandaddress(ifdifferentfromShipper),packagenumber,anddestinationdetails.Ifthegoodsaredangerousgoods,theyshallbemarkedandlabeledinstrictaccordancewiththeInternationalAirTransportAssociation(IATA)DangerousGoodsRegulations(DGR).AllnecessaryoperatinglabelsrequiredforthesafehandlingandtransportationofthegoodsshallbeprovidedbyShipper.4.AIRWAYBILLCarriershallissueanAirWaybill(AWB)inoneormoreoriginalcopies,asrequestedbyShipper,uponloadingofthegoods.TheAWBshallserveasevidenceofthecontractofcarriage,thereceiptforthegoods,and,subjecttoapplicablelawandregulations,anon-negotiabledocumentoftitle.ShippershallsigntheAWBorauthorizeCarriertodoso,confirmingthedetailsprovided.ShouldanelectronicAWBbeused,itshallhavethesamelegaleffectasapaperAWBissuedinaccordancewiththeregulationsoftheapplicablebodygoverningelectronicdocumentationinairtransport.5.FREIGHTANDCHARGESShipperagreestopayCarrierthefreightandallchargesapplicabletothetransportationofthegoods,assetforthintheAWBorasagreeduponseparatelyinwriting.Thefreightrateis[SpecifyRateType,e.g.,publishedrateorcontractrate]basedon[SpecifyBasis,e.g.,chargeableweight,volume,piececount].Allcharges,includingbutnotlimitedto,handlingfees,storagecharges(ifapplicable),airporttaxes,securityfees,fuelsurcharges,andotherchargesasperCarrier'spublishedfeescheduleorapplicabletariffs,shallbetheresponsibilityofShipper.PaymentshallbemadetoCarrierinthecurrencyspecifiedontheAWBwithin[SpecifyNumber]daysafterthedateoftheAWBorasotherwiseagreed.6.CONTRACTOFCarriageThisAgreementconstitutestheentirecontractbetweentheCarrierandShipperfortheairtransportationofthegoodsdescribedhereinandsupersedesallpriororalorwrittenagreements,understandings,orarrangementsbetweenthepartiesrelatingtothesubjectmatterhereof.7.LIABILITYFORLOSSORDAMAGECarrier'sliabilityforthelossordamageofthegoodsshallbegovernedbytheConventiononInternationalCivilAviationof12October1999,doneatMontreal(the"MontrealConvention"),andtheapplicablenationallaws.Theliabilityshallbelimitedto[SpecifyLimitationAmount,e.g.,thegreaterof22SDRsperkilogramofthechargeableweightortheactualvalueofthegoods,whicheverisapplicable]foreachpieceorunitofgoods.ThislimitationdoesnotapplyifthelossordamageiscausedbythenegligenceorwillfulmisconductofCarrieroritsemployeesoragents.Carriershallbeexoneratedfromallorpartofitsliabilityifthelossordamagearisesfromcausesbeyonditsreasonablecontrol,includingbutnotlimitedtoactofGod,war,terrorism,actsofpublicauthorities,aircraft故障notoriginatingfromthenegligenceofCarrier,orthenatureandqualityofthegoods.Carrier'sliabilityfordelayindeliveryshallbe[SpecifyDelayLiability,e.g.,anamountcalculatedperdaybasedonthechargeableweightorvalueofthegoods,uptoamaximumlimit].ShippershallhavetherighttoclaimsuchliabilityifthegoodsarenotdeliveredattheUnloadingPointwithinthetimereasonablyexpectedfortheirarrivaltherefrom.8.NOTIFICATIONIntheeventofloss,damage,ordelayinthedeliveryofthegoods,ShippershallnotifyCarrieroritsagentattheUnloadingPointwithin[SpecifyNumber,e.g.,15]daysofthedateofdeliveryorthedateofdiscoveryoflossordamage,whicheverislater.ShippershallprovideCarrierwithallnecessarydocumentsandinformationtoenableCarriertoprocessanyclaim.9.DELIVERYThegoodsshallbedeliveredattheUnloadingPointtotheConsigneenamedontheAWBor,ifnoconsigneeisnamed,tothepersonpresentingavalidoriginalAWBoravalidelectronicequivalent.DeliveryshallbedeemedcompleteduponthegoodsbeinghandedovertotheConsigneeortheirauthorizedrepresentative.10.RELEASEOFGOODSCarriershallreleasethegoodsonlyuponproductionofavalidoriginalAWBoravalidelectronicequivalentandcompliancewithalltermsandconditionsofthisAgreementandapplicablelawsandregulations.Ifacargoreceiptisused,releaseshallbesubjecttoitsterms.11.INDEMNIFICATIONShipperagreestoindemnify,defend,andholdharmlessCarrier,itsemployees,agents,andaffiliatesfromandagainstanyandallclaims,losses,damages,liabilities,costs,andexpensesarisingoutoforinconnectionwiththeshipmentofthegoods,includingbutnotlimitedtoclaimsrelatedtothefitnessfortransport,dangerousnature,orillegalcontentofthegoods,oranybreachofShipper'srepresentationsorwarrantiesherein.12.APPLICABLELAWANDDISPUTERESOLUTIONThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[SpecifyGoverningLaw,e.g.,theStateofNewYork].Anydispute,controversy,orclaimarisingoutoforrelatingtothisAgreement,includinganyquestionregardingitsexistence,validity,ortermination,shallbefinallysettledbyarbitrationadministeredbythe[SpecifyArbitrationInstitution,e.g.,InternationalChamberofCommerce(ICC)]inaccordancewiththeRulesofArbitrationofthe[SpecifyInstitution]forthetimebeinginforce,whichshallbedeemedtobe
