ithsuchProducts(EULAS),asamendedbythisAgreement.TheapplicableLicenseGranttermsinthecurrentEULAaresetforthinthisAgreement.IntheeventofaninconsistencybetweenthisAgreementandanythencurrentEULAwithrespecttoasubjectmatterotherthantheLicenseGrantterms,thetermsofthisAgreementshallgovern.3.RELATIONALDATABASEANDAAACLIENTPRODUCTS.IftheProductlicensedhereunderincludesanInformixdatabaseproduct,thennotwithstandingSection2above,LicenseemayonlyinstallonecopyofthedatabaseproductonasinglecomputeruponwhichtheProductisinstalled.ExceptfortheEnterpriseServerProandLiveWirePro,LicenseemayonlyusethedatabaseasarepositoryfortheProduct’sdataandmaynotbeusedforanyotherpurpose.ThedatabasemaybeaccessedonlybytoolsintendedforusewiththeProduct.TheInformixdatabasemaybeusedonly(i)forthepurposeofdevelopingAAAwebserverapplications(WebServerApplications);and(ii)toreproduceanddistributeasinglecopyoftheruntimeversionoftheInformixdatabaseforusesolelyasacomponentofaWebServerApplicationandonlyonasinglecomputerforuptothirtytwo(32)connections(theDeploymentSystem).AconnectionmeansacomputerprocessgeneratedbythedesignatedcomputertoserviceonlineusersoftheWebServerApplications.Asingleconnectionmaysupportamultitudeofusers,theexactnumberofwhichdependsontheparticularcircumstances.MultipleWebServerApplicationsmayresideontheDeploymentSystem,providedthatallsuchapplicationsaccessonlythesinglecopyoftheInformixDeveloperDatabaseandallWebServerApplicationstogetherusenomorethanthirtytwo(32)connections.LicenseemayusetheInformixdatabasetodevelopanynumberofWebServerApplications,butonceLicenseehasdistributedasingleruntimeversionoftheInformixdatabaseinanyoneWebServerApplication,LicenseemaynotdistributetheInformixdatabaseinanothercopyofthatWebServerApplicationoraspartofanysubsequentWebServerApplication.InordertoprovideadatabaseproductaspartofLicensee’sWebServerApplicationeitherLicenseemustpurchaseaseparateLiveWireProlicenseforeachrecipient,oreachrecipienttowhomLicenseedistributesaWebServerApplicationmustlicenseitsowncopyofadatabaseproduct.LicenseemaynotestablishdirectconnectionswiththeInformixdatabaseotherthanthroughtheEnterpriseProorLiveWireProsoftwareorusetheInformixdatabaseforanypurposeotherthandevelopingandexecutingWebServerApplications.LicenseemayusetheVisigenicVisiBrokerdevelopmentcomponentoftheProductonnomorethanonecomputerbynomorethanonedeveloper.ThesinglealloweddevelopermayusebothVisiBrokerforC++andVisiBrokerforJava.LicenseemayusetheVisigenicruntimecomponentoftheSoftwaretoinvokeobjectimplementations,providedthattheinvokingapplication(i)isoneormorecomponentsoftheProductor(ii)interoperateswithandrunsonthesamecomputerastheProduct.IftheProductisEnterprisePro,LicenseemayruntheserversideJavaScriptcompileronanunlimitednumberofcomputers.IftheProductcontainsheaderfiles,LicenseemaycopyandusetheheaderfilessolelytocreateanddistributeprogramstointerfacewiththeserverApplicationProgramInterfaces.Licenseemaynotmodifytheheaderfiles.IftheProductcontainsJavaclassesotherthanclasseswhichareapartoftheProduct’sprogramminginterface(SampleJavaClasses),LicenseemaycopyandusetheSampleJavaClassessolelytocreateanddistributeprogramstointerfacewiththeProducts.ThestandardAAAclientproduct(SNCP)orthepremiumAAAclientproduct(PNCP)isbundledwiththeServerProductorderedhereunder.LicenseemaymakecopiesofsuchSNCPand/orPNCPonlyinthesamequantitiesasitcopiestheServerProduct(s)withwhichsuchSNCPorPNCParebundled,andallsuchcopiesmustbemadeforthesolepurposeofusingtheapplicableServerProduct(s)inaccordancewiththisAgreementandnottoobtainadditionalcopiesoftheSNCPorPNCP.4.LICENSERESTRICTIONS.LicenseemaymakeasinglecopyoftheProductsforarchivalpurposes,providedsuchcopycontainsalloftheoriginalProducts’proprietarynotices.Licenseeshallnotmodify,translate,reverseengineer,decompile,disassemble(exceptsolelytotheextentanapplicablestatuteexpresslyandspecificallyprohibitssuchrestrictions),orcreatederivativeworksbasedontheProducts.LicenseemaynotcopytheProductsotherthanasspecifiedinthisAgreement.LicenseeshallnotpublishorprovideanyresultsofbenchmarktestsrunontheProductstoathirdpartywithoutAAA’spriorwrittenconsent;rent,lease,grantasecurityinterestin,orotherwisetransferrightstotheProducts;orremoveanyproprietarynoticesorlabelsontheProducts.5.TITLE.Title,ownershiprightsandintellectualpropertyrightsintheProductsshallremaininAAAand/oritssuppliers.TheProductsareprotectedbycopyrightandotherintellectualpropertylawsandbyinternationaltreaties.TitleandrelatedrightsinthecontentaccessedthroughtheProductsisthepropertyoftheapplicablecontentownerandisprotectedbyapplicablelaw.6.RECORDS;REPORTING;AUDIT.LicenseeshallmaintainaccuraterecordsreflectingthenumberofCustomersandUsers,thequantityofcopiesmadeoftheProducts,adescriptionoftheProducts,theversionnumberoftheProducts,theplatformsandthelanguageoftheProducts.InadditiontothereportsrequiredundertheCoMarketingAgreement,Licenseeagrees,subjecttothefirstsentenceinSection1ofthisAttachmentB,toprovideAAAwithmonthlyreportswhichincludethenumberofUsersandnumberofsubscriptionstherefor.SuchreportsshallbereceivedbyAAAwithin15daysaftertheendofanymonthduringanycalendarquarter.Withrespecttothethirdmonthinanycalendarquarter,LicenseeagreestoprovideAAAwithanestimateofthenumberofUsersandnumberofsubscriptionsthereforinthelastweekofsuchthirdmonth,and,within15daysaftertheendofsuchthirdmonth,provideAAAwithamonthlyreportstatingthefinalnumberofUsersandnumberofsubscriptionstherefor.AAAmayconductanaudittoverifycompliancewiththetermsofthisAgreement,whichshallbeconductedatAAA’sexpenseunlesstheresultsestablishthatinaccuraciesinLicensee’sreportshaveresultedinunderpaymenttoAAAofmorethan5%oftheamountactuallydue,inwhichcaseLicenseeshallpayallamountsdueandbeartheexpenseoftheaudit.7.SUPPORT.AAAwillprovidesupporttoLicenseeinaccordancewithAAA’sthencurrentsupporttermsandconditionsforthesupportprogramselectedbyLicenseeonAttachmentA,forthenumberofUserssetforthinAttachmentAfortheperiodforwhichAAAhasreceivedpaymenttherefor.8.SOFTWARESUBSCRIPTION.Licenseeshallbeentitledtosoftwaresubscription(SOFTWARESUBSCRIPTION)forthenumberofUsersreportedinLicensee’smonthlyreportunderSection6providedLicenseepurchasessubscriptionconcurrentwithpurchaseofaUserlicense.SoftwareSubscriptionentitlesLicenseetothebenefitssetforthinAAA’sthencurrentSoftwareSubscriptionprogram,includingmajorandminorupdatesandtheabilitytoswitchoperatingsystemplatformsatnoadditionalcharge.SubscriptionsnotpurchasedconcurrentwithpurchaseofaUserlicenseandsubscriptionfeesforsubsequentyearsshallbeatAAA’sthencurrentcharges.9.INDEMNITY.(a)AAAshalldefendorsettle,atitsoption,anyactionbroughtagainstLicenseetotheextentitisbasedonaclaimthatuseorreproductionbyLicenseeoftheAAAownedportionoftheProducthereunderdirectlyinfringesanyvalidpatentasoftheEffectiveDate,copyrightortradesecretinthe_________and/or_________(IntellectualPropertyRights).AAAwillpayresultingcosts,damagesandlegalfeesfinallyawardedagainstLicenseeinsuchactionwhichareattributabletosuchclaimprovidedthat:(i)LicenseepromptlynotifiesAAAinwritingofanysuchclaim;(ii)AAAhassolecontrolofthedefenseandallrelatedsettlementnegotiations;and(iii)LicenseecooperateswithAAA,atAAA’sexpense,indefendingorsettlingsuchclaim.ShouldaProductbecome,orbelikelytobecomeinAAA’sopinion,thesubjectofinfringementofsuchcopyrightortradesecret,AAAmay(I)procureforLicenseetherighttocontinueusingthesameor(II)replaceormodifyittomakeitnoninfringing.ShouldLicensee’suseoftheProductunderthisAgreementbeenjoinedasaresultofanyallegedinfringementofanIntellectualPropertyRight,AAAwill(x)procureforLicenseetherighttocontinueusingthesame,(y)replaceormodifytomakeitnoninfringing,orif(x)and(y)arenotcommerciallyreasonableforAAA,(z)creditLicenseeasumequaltotheunamortizedamountofthelicensefeesreceivedbyAAAunderthisAgreementfortheinfringingProductamortizedonastraightlinebasisonamonthlybasisoverthreeyearsfromthedatesuchfeeisaccruedunderSection1ofthisAttachmentB.AAAshallhavenoobligationorliabilityfor,andLicenseeshalldefend,indemnifyandholdAAAharmlessfromandagainst,anyclaimbasedupon:(A)useofotherthanthethencurrent,unalteredversionoftheProduct,unlesstheinfringingportionisalsointhethencurrent,unalteredrelease;(B)use,operationorcombinationoftheProductwithnonAAAprograms,data,equipmentordocumentationifsuchinfringementwouldhavebeenavoidedbutforsuchuse,operationorcombination;(C)Licensee’soritsagent’sactivitiesafterAAAhasnotifiedLicenseethatAAAbelievessuchactivitiesmayresultinsuchinfringement;(D)compliancewithLicensee’sdesigns,specificationsorinstructionsfortheProduct;(E)anymodificationsormarkingoftheProductnotspecificallyauthorizedinwritingbyAAA;(F)anyunauthorizeduseofanyAAAintellectualproperty;(G)anycontentprovidedbyLicenseeand/oranymaterialtowhichUserscanlinkthroughsuchcontent;or(H)thirdpartysoftware.TheforegoingstatestheentireliabilityofAAAandtheexclusiveremedyofLicenseewithrespecttoinfringementofanyintellectualpropertyright,whetherundertheoryofwarranty,indemnityorotherwise.(b)Licenseeshallindemnify,holdharmlessand,atAAA’srequest,defendAAAand/oritssuppliersfromandagainstanyandallclaims,liabilities,losses,damages,expensesandcosts(includingattorneys’feesandcosts)relatingtoLicensee’suseorreproductionoftheProductorDocumentation,excepttotheextentthatAAAisresponsibleunderSection9(a)above.10.LIMITATIONOFLIABILITY.(a)TOTHEEXTENTALLOWEDBYAPPLICABLELAW,INNOEVENTSHALLAAAORITSSUPPLIERSBELIABLEFORANYLOSSOFPROFITS,LOSSOFBUSINESS,LOSSOFUSEORDATA,INTERRUPTIONOFBUSINESS,ORFORANYINDIRECT,SPECIAL,INCIDENTALORCONSEQUENTIALDAMAGESOFANYKIND,EVENIFAAAHASBEENADVISEDOFTHEPOSSIBILITYOFSUCHDAMAGESANDNOTWITHSTANDINGANYFAILUREOFESSENTIALPURPOSEOFANYLIMITEDREMEDY.(b)EXCEPTASSPECIFIEDINTHEINDEMNITYSECTIONSETFORTHABOVE,INNOEVENTWILLAAAORITSSUPPLIERSBELIABLEFORANYCLAIMAGAINSTLICENSEEBYANYENDUSERORTHIRDPARTY.(c)INNOEVENTSHALLAAAORITSSUPPLIERSBELIABLEFOR(I)ANYREPRESENTATIONORWARRANTYMADETOANYTHIRDPARTYBYLICENSEEORANYOFTHEIRRESPECTIVEAGENTS;(II)FAILUREOFTHEPRODUCTTOPERFORMEXCEPTAS,ANDTOTHEEXTENT,OTHERWISEEXPRESSLYPROVIDEDHEREIN;(III)FAILUREOFTHEPRODUCTTOPROVIDESECURITY;(IV)ANYUSEOFTHEPRODUCTORTHEDOCUMENTATION;(V)THERESULTSORINFORMATIONOBTAINEDORDECISIONSMADEBYUSERSOFTHEPRODUCTORTHEDOCUMENTATION;OR(VI)ANYCONTENTPROVIDEDBYLICENSEEAND/ORANYMATERIALTOWHICHUSERSCANLINKTHROUGHSUCHCONTENT.THEREMEDIESPROVIDEDINTHISAGREEMENTARELICENSEE’SSOLEANDEXCLUSIVEREMEDIES.(d)NOTWITHSTANDINGANYTHINGINTHISAGREEMENTTOTHECONTRARYANDEXCEPTFORDEATHORPERSONALINJURYCAUSEDBYNEGLIGENCEOFAAA,AAA’SENTIRELIABILITYTOLICENSEEFORDAMAGESCONCERNINGPERFORMANCEORNONPERFORMANCEBYAAAORINANYWAYRELATEDTOTHESUBJECTMATTEROFTHISAGREEMENT,ANDREGARDLESSOFWHETHERTHECLAIMFORSUCHDAMAGESISBASEDINCONTRACTORINTORT,SHALLNOTEXCEEDTHEAMOUNTRECEIVEDBYAAAFROMLICENSEEDURINGTHE12MONTHSPRIORTOSUCHCLAIMFORTHEPRODUCTGIVINGRISETOSUCHCLAIM.11.TERMANDTERMINATION.ThetermofthisAgreementshallbecoterminouswiththeComarketingAgreement.SubjecttotheCoMarketingAgreement,eitherpartymayterminatethisAgreementiftheotherdefaultsinamaterialobligationhereunderanddoesnotcuresuchdefaultwithin30daysafterreceivingnoticeofsuchdefaultfromthenonbreachingparty.Inaddition,thisAgreement(a)shallexpireautomaticallyifLicensee:(i)ceasestodobusinessinthenormalcourse,(ii)becomesorisdeclaredinsolventorbankrupt,(iii)isthesubjectofanyproceedingrelatingtoliquidationorinsolvencywhichisnotdismissedwithin90calendardays,or(iv)makesanassignmentforthebenefitofitscreditorsor(b)maybeterminatedimmediatelybyAAAifLicenseeattemptstoderiveanysourcecodeorbreachesanyconfidentialityprovisionshereunder.Upontermination,allrightsandobligationshereunder(exceptforanyLicenseeoutstandingpaymentobligations)shallterminate.12.CONFIDENTIALITY.ThisprovisionshallbegovernedbytheconfidentialityprovisionintheCoMarketingAgreement.13.NOTICE.AnynoticerequiredorpermittedhereundershallbeinEnglish,inwritingandshallbedeemedtobeproperlygivenupontheearlierof(a)actualreceiptbytheaddressee(includingfacsimileoremail)or(b)5businessdaysafterdepositinthemail,postageprepaid,whenmailedbyregisteredorcertifiedairmail,returnreceiptrequested,or(c)2businessdaysafterbeingsentviaprivateindustrycouriertotherespectivepartiesattheaddressessetforthintheAgreementortosuchotherpersonoraddressasthepartiesmayfromtimetotimedesignateinawriting.NoticestoAAAshallbetotheattentionoftheLegalDepartment,AAACommunicationsCorporation,_________(address).14.MISCELLANEOUS.(a)ThisAgreementshallbegovernedbythelawsoftheStateof_________,U.S.A.,withoutreferencetoitsconflictsoflawprovisions.(b)AnydisputeregardingthisAgreementshallbesubjecttotheexclusivejurisdictionoftheapplicablecourtinSantaClaraCountyintheStateof_________,andeachpartyirrevocablysubmitstothejurisdictionandvenueofanysuchproceedingandagreethatserviceofprocessmaybeeffectedinthesamemannernoticeisgivenhereunder.Notwithstandingtheforegoing,AAAreservestherighttoinvokethejurisdictionofanycompetentcourttoremedyorpreventviolationofanyprovisionintheAgreementrelatingtopayment,AAAConfidentialInformationorAAAintellectualproperty.(c)ThisAgreementwillnotbegovernedbytheUnitedNationsConventionofContractsfortheInternationalSaleofGoods.(d)AwaiverbyeitherpartyofanytermorconditionofthisAgreementoranybreachthereof,inanyoneinstance,shallnotwaivesuchtermorconditionoranysubsequentbreachthereof.(e)Neitherpartyshallbeindefaultorbeliableforanydelay,failureinperformance(exceptingtheobligationtopay)orinterruptionofserviceresultingdirectlyorindirectlyfromanycausebeyonditsreasonablecontrol.(f)TherelationshipbetweenAAAandLicenseeisthatofindependentcontractorsandneitherLicenseenoritsagentsshallhaveanyauthoritytobindAAAinanyway.(g)IfanydisputearisesunderthisAgreement,theprevailingpartyshallbereimbursedbytheotherpartyforanyandalllegalfeesandcostsassociatedtherewith.(h)TheheadingstothesectionsofthisAgreementareusedforconvenienceonlyandshallhavenosubstantivemeaning.(i)ThisAgreementmaybeamendedonlybyawritingsignedbybothparties.(j)TheprovisionsofthisAgreementwhichrequireorcontemplateperformanceaftertheexpirationorterminationofthisAgreementshallbeenforceablenotwithstandingsaidexpirationortermination.(k)LicenseemaynotassignorotherwisetransferthisAgreementoranyrightsorobligationshereinwithoutthepriorexpresswrittenconsentofAAA,exceptthatLicenseecanassignallofitsrightsandobligationsunderthisAgreementtoanentitypurchasingallorsubstantiallyallofitsstockorassetssolongastheacquiringpartyagreesinwritingtocomplywithallofthetermsandconditionsofthisAgreement.(l)ThisAgreementshallbebindinguponandshallinuretothebenefitoftheparties,theirsuccessorsandpermittedassigns.(m)ThisAgreementmaybeexecutedincounterpartsorbyfacsimile,eachofwhichshallbeanoriginal,andallofwhichtogethershallconstituteoneandthesameagreement.(n)ThisAgreementconstitutestheentireagreementbetweenthepartiesconcerningthesubjectmatterhereofandsupersedesallpriorandcontemporaneousagreements(includingtheEnterpriseLicenseAgreementprovidedwiththeProducts)andcommunications,whetheroralorwritten,betweenthepartiesrelatingtothesubjectmatterhereof,andallpastcoursesofdealingorindustrycustom.ThetermsandconditionshereofshallprevailoveranyconflictingpurchaseorderorotherwritteninstrumentsubmittedbyLicensee.(o)IfanyprovisioninthisAgreementshouldbeheldillegalorunenforceablebyacourthavingjurisdiction,suchprovisionshallbemodifiedtotheextentnecessarytorenderitenforceablewithoutlosingitsintent,orseveredfromthisAgreementifnosuchmodificationispossible,andotherprovisionsofthisAgreementshallremaininfullforceandeffect.(p)AAAmayuseLicensee’snameinanycustomerreferencelistorinanypressreleaseissuedbyAAAregardingthelicensingoftheProductand/orprovideLicensee’snameandthenamesoftheProductslicensedbyLicenseetothirdparties.(q)IfAAAisrequiredbyathirdpartysoftwaresuppliertoceaseandtocauseitslicenseestoceaseuseordistributionofaparticularrevisionoftheProducts,LicenseeagreestocomplyherewithifAAA(i)providesLicenseewith30dayspriorwrittennoticeand(ii)replacessuchaffectedProductwithafunctionallyequivalentProductassoonascommerciallypracticable.(r)ThisAgreementisintheEnglishlanguageonly,whichlanguageshallbecontrollinginallrespects.(s)Licenseeagreestocomplyandshallensurecompliancewithallthencurrentapplicablelaws,rulesandregulationsgoverningthisAgreement,includingallapplicableexportlaws,rulesandregulationsoftheU.S.Governmentorotherapplicableagencies.(t)TheProductsarenotfaulttolerantandisnotdesigned,manufacturedorintendedforuseorresaleasonlinecontrolequipmentinhazardousenvironmentsrequiringfailsafeperformance,suchasintheoperationofnuclearfacilities,aircraftnavigationorcommunicationsystems,airtrafficcontrol,directlifesupportmachines,orweaponssystems,inwhichthefailureoftheProductscouldleaddirectlytodeath,personalinjury,orseverephysicalorenvironmentaldamage(HighRiskActivities).AAAanditssuppliersspecificallydisclaimanyexpressorimpliedwarrantyoffitnessforHighRiskActivities.ATTACHMENTCEXPERTALLIANCESUPPORTPROGRAMDEFINITIONS,PRICINGANDLICENSEECONTACTS1.DEFINITIONS.AsusedinthisAttachmentC,ENDUSERmeansanyuseroftheAAAsoftware(PRODUCT)authorizedbyLicenseepursuanttoAgreement.PROGRAMERRORSmeans1ormorereproducibledeviationsinthestandard,unmodifiedProductfromtheapplicablespecificationsshowninthedocumentation.MajorUpdatesaredesignatedbyachangeinthenumbertotheleftofthedecimalpointofthenumberappearingaftertheproductname.2.PRICING.[*]A.ExpertAlliance:(12hours/day;5days/week;afterhourspagerserviceforpriority1issuesonly)i)Annualflatfee:[*]foranassignedAAAsupportengineer,4authorizedtechnicalcontacts(listtechnicalcontactsbelow),unlimitednumberofsupportrequestsfromLicensee,problemdiagnosisforselectedAAAbetaproducts,technicalbulletinsfromAAA,1introductorysitevisitbyAAA,technicalsupportusagereports,regularlyscheduledconferencecallswithAAA,quarterlysupportreviewbyAAAandaccesstoaprivatewebsiteforAAA’sExpertAlliancecustomers.ii)OptionalAddOnSupport(availableonlyinconjunctionwiththepurchaseofServicesunderSectionA(i)):(a)DedicatedAA
