反恐安全合作協(xié)議C-TPATAntiTerrorismCooperationAgreementforContractors（密級：C級）(ConfidentialLevel:C)甲方：XXX有限公司PartyA:XXXTechnologyCo.,Ltd.乙方：PartyB/Contractor:為響應全球貿(mào)易安全和反恐安全需求，打擊國際恐怖主義和有組織的跨國犯罪活動，嚴格按照AEO海關認證標準和貿(mào)易安全要求不斷優(yōu)化和完善貿(mào)易安全管理，加強供應鏈安全，經(jīng)雙方友好協(xié)商，共同簽署如下反恐合作協(xié)議：Inordertorespondtotheglobaltradesecurityandanti-terrorismsecurityrequirements,combatinternationalterrorismandorganizedtransnationalcrimeactivities,instrictaccordancewiththeAEOcustomscertificationstandardsandtradesecurityrequirementstoconstantlyoptimizeandimprovetradesecuritymanagement,andstrengthenthesupplychainsecurity，throughfriendlynegotiation,thetwopartiesjointlysignedthefollowingCanti-terrorismcooperationagreement:一、乙方責任：ResponsibilitiesofPartyB:1安全愿景與責任：Safetyvisionandresponsibility1.1乙方高級管理層應簽署強調(diào)保護供應鏈免遭毒品等犯罪活動的重要性販運、恐怖主義、人口走私和非法走私支持聲明；并在公司內(nèi)展示對供應鏈安全和C-TPAT計劃的承諾。1.1TheseniormanagementofPartyBshallsignasupportstatementemphasizingtheimportanceofprotectingthesupplychainfromdrugtrafficking,terrorism,humansmuggling,andillegalsmuggling;anddemonstrateitscommitmenttosupplychainsecurityandtheC-TPATplanwithinthecompany.1.2乙方應指定一名積極主動，了解C-TPAT程序要求的C-TPAT聯(lián)系人（POC），定期向上層提供最新信息，管理與項目有關的問題，包括任何審核的進展或結(jié)果、與安全有關的演習和C-TPAT驗證。PartyBshalldesignateaproactiveC-TPATcontactperson(POC)whounderstandstherequirementsoftheC-TPATprogram,regularlyprovidesthelatestinformationtotheupperlevel,andmanagesproject-relatedissues,includingtheprogressorresultsofanyaudit,safety-relatedexercisesandC-TPATverification.2風險評估：riskevaluation2.1管理制度：建立書面的識別和管制供應鏈中最有可能被滲透的關鍵區(qū)域和安全威脅源頭的程序；Managementsystem:Managementsystem:establishawrittenproceduretoidentifyandcontrolthekeyareasandsourcesofsecuritythreatsthataremostlikelytobepenetratedinthesupplychain2.2乙方應評估以供應鏈為目標的恐怖主義團體和犯罪組織的持續(xù)威脅及這些不斷變化的威脅的現(xiàn)有和潛在風險，并考慮各種因素如商業(yè)模式、地理位置和其他可能是特定供應鏈特有的方面；提出管控要求和采取措施，改善存在的問題或降低風險等級。PartyBshallassessthecontinuousthreatofterroristgroupsandcriminalorganizationstargetingatthesupplychainandtheexistingandpotentialrisksoftheseconstantlychangingthreats,andconsidervariousfactorssuchasbusinessmodel,geographicallocationandotheraspectsthatmaybeuniquetoaspecificsupplychain;putforwardcontrolrequirementsandtakemeasurestoimprovetheexistingproblemsorreducetherisklevel.2.3每年結(jié)合公司運營情況對公司安保政策及執(zhí)行程序、國際和國內(nèi)供應鏈安全進行年度全面詳細的風險評估并提供評估記錄于甲方。Conductannualcomprehensiveanddetailedriskassessmentonthecompany'ssecuritypoliciesandimplementationprocedures,internationalanddomesticsupplychainsecurityincombinationwiththecompany'soperationsituation,andprovideassessmentrecordstoPartyA.3商業(yè)伙伴：Businesspartner嚴格挑選供應商，傳達本公司的反恐要求，加強對他們的安全監(jiān)管與安全評估，攜手共建安全防線。同時接受客戶的安全審核。對重大安全事件或影響客戶利益和安全的事件，及時匯報客戶。Strictlyselectprovider,informthemtheanti-terrorismrequirements,strengthenthesafetysupervisingandevaluation,makesafetydefendertogether.Atthesametimeacceptsafetyinspectionfromclients.Reportcasesofmajorsecurityincidentorotherissueswhichcaninfectclients’benefitandsafetyimmediately4網(wǎng)絡安全Internetsafety乙方應制定并嚴格貫徹執(zhí)行公司網(wǎng)絡安全政策/程序，確保公司信息技術(shù)IT和數(shù)據(jù)安全，確保公司的知識產(chǎn)權(quán)、客戶信息、財務數(shù)據(jù)和員工記錄等不遭到破壞。PartyBshouldformulateandstrictlyexecutecompany’sinternetsafetypolicy/program,ensuringthedatasafetyandinformationtechnology,atthesametime,ensuringcompany’sintellectualproperty,clients’information,financialdataandemployeesrecordsnotbeingbroken5貨物運輸5.1承包人單據(jù)的開具、經(jīng)手、保存需管制，保證貨物的資料準確無誤，賬目清晰、手續(xù)完整。Theissuance,handlingandpreservationoftheContractor'sdocumentsshallbecontrolledtoensuretheaccuracyofthegoods,clearaccountsandcompleteprocedures.5.2加強對貨物運輸?shù)陌踩刂?，教育司機提高安全意識，避免運輸途中貨物的被盜、丟失、調(diào)包。PartyBshallstrengthenthesafetycontrolofgoodstransportation,educatedriverstoimprovesafetyawareness,andpreventgoodsfrombeingstolen,lostandtransferredduringtransportation.5.3防止被不法分子，恐怖組織利用制造恐怖事件，確保貨物及時，安全送達PartyBshallpreventbeingusedbylawlesselementsandterroristorganizationstocreateterroristincidentsandensuretimelyandsafedeliveryofgoods.5.4執(zhí)行集裝箱檢查、?？?、清潔、裝柜相關程序，執(zhí)行封條采購、保管、使用、驗證核實程序，執(zhí)行貨柜裝柜監(jiān)控、拍照程序；執(zhí)行貨物運輸途中追蹤程序等，確保貨物運輸?shù)陌踩?。Executerelatedprocessabouttheinspection,docking,cleaningandcontainerloading,executesealpurchasing,storage,using,verifyprogram,executeloadingundermonitoringandmakephotosprogram,executetransportationtrackingprogramforensuringtransportationtracking.6農(nóng)業(yè)安全Agriculturalsafety公司嚴格執(zhí)行殺蟲程序、清潔程序和木棧板管理等，消除或降低有害生物（含動植物等）帶來的污染風險。Thecompanystrictlyimplementsinsecticidalprocedures,cleaningproceduresandwoodpalletmanagementtoeliminateorreducepollutionriskscausedbyharmfulorganisms(includinganimalsandplants,etc.).7物理、環(huán)境和人員安全Physical,environmentalandpersonnelsafety7.1加強公司內(nèi)的物理安全和管理制度，大門及四周有加設圍墻和可上鎖的大門抵抗非法進入和防止外部的闖入。Strengthenthephysicalsecurityandmanagementsysteminthecompany,andsetupwallsandlockablegatesaroundthegatetoresistillegalentryandexternalintrusion.7.2制定嚴格的門禁管理制度。所有員工進出大門必須佩戴廠證。乙方人員進出甲方公司時，應積極配合安全檢查。Formulatestrictaccesscontrolmanagementsystem.Allemployeesmustwearfactorylicensewhenenteringorleavingthegate.WhenPartyB'spersonnelenterandleavePartyA'scompany,theyshallactivelycooperatewiththesafetyinspection.7.3攜帶物品必須接受保安人員的安全檢查，禁止危險品、違禁物進入。Thearticlescarriedmustbeinspectedbysecuritypersonnel.Dangerousgoodsandprohibiteditemsarenotallowedtoenter.7.4安裝閉路電視監(jiān)控系統(tǒng)，安排每天24小時，每周7天的保安執(zhí)勤。PartyBshallinstalltheCCTVmonitoringsystemandarrangethesecurityguardonduty24hoursadayand7daysaweek.7.5車輛進出必須出示識別證明。Identificationcertificateisrequiredforvehiclesenteringandleaving.7.6保衛(wèi)人員需接受背景調(diào)查及在職訓練，持有上崗證。Securitypersonnelneedtoacceptbackgroundinvestigationandon-the-jobtraining,andhaveaworklicense.7.7嚴格履行人員招聘、入職、離職手續(xù)，對本廠員工與來訪員工以不同顏色證件予以識別，對敏感區(qū)域員工進行年度背景調(diào)查，保安24小時在崗。Strictlycarryouttheproceduresofrecruitment,entryandresignation,identifythefactoryemployeesandvisitingemployeeswithdifferentcolorcertificates,conductannualbackgroundinvestigationontheemployeesinsensitiveareas,andthesecurityguardisonduty24hoursaday.7.8嚴格執(zhí)行進出控制制度，對來訪者/車輛一律憑證登記并發(fā)證識別，公司全程有人陪同；進出時對攜帶物品嚴格檢查；Strictlyimplementtheinandoutcontrolsystem,registerallvisitors/vehicleswithcertificates,issuecertificatesandidentifythem,andthecompanyshallbeaccompaniedinthewholeprocess;strictlychecktheitemscarriedinandout;7.9敏感區(qū)域進行物理隔離并張貼授權(quán)進出人員名單，進出口、圍墻等敏感區(qū)域有CCTV覆蓋，燈光足夠且覆蓋到關鍵領域，門鎖功能正常且指定員工保管鈅匙。Thesensitiveareasshallbephysicallyisolatedandthelistofauthorizedpersonnelshallbeposted.Thesensitiveareassuchastheentranceandexit,theenclosureandsoonshallbecoveredbyCCTV,thelightingshallbesufficientandcoverthekeyareas,thedoorlockfunctionshallbenormalandthekeyshallbekeptbythedesignatedstaff.8、反恐教育與培訓：Anti-terrorismeducationandtraining保證全體員工都有參加公司的反恐安全和威脅意識培訓，特殊崗位/敏感區(qū)域人員有進行專門的培訓，鼓勵員工對恐怖事件進行舉報。Ensurethatallemployeeshaveparticipatedinthecompany’santi-terrorismsecurityandthreatawarenesstraining,specialpositions/sensitiveareashavespecialtraining,andemployeesareencouragedtoreportterroristincidents.9檢查與事件管理定期進行內(nèi)部安全檢查，安全事件得到及時調(diào)查和處理，消除安全隱患，防止恐怖活動的發(fā)生。PartyBshallconductregularinternalsafetyinspection,timelyinvestigateandhandlesafetyincidents,eliminatepotentialsafetyhazardsandpreventterroristactivities.二、甲方責任ResponsibilitiesofPartyA1.協(xié)助乙方完善C-TPAT方面的整改工作PartyAshallassistthecontractortoimprovetherectificationofC-TPAT.2.負責對乙方的反恐知識培訓與指導PartyAshallberesponsibleforthetrainingandguidanceoftheContractor'santi-terrorismknowledge.3.采取定期或不定期通知的方式，對乙方進行反恐方面的審查工作PartyAshallgiveregularorirregularnoticetoPartyBforanti-terrorismreview
