2024版?zhèn)鶆?wù)重組服務(wù)協(xié)議書合同編號：__________DebtRestructuringServiceAgreementThisDebtRestructuringServiceAgreement(the“Agreement”)isenteredintoasof__________(the“EffectiveDate”),andbetween:RECITALSWHEREAS,theDebtorisindebtedtotheCreditorintheaggregateamountof[DebtAmount](the“Debt”),asmoreparticularlysetforthinthePromissoryNotedated[NoteDate](the“Note”);WHEREAS,theDebtorhasexperiencedfinancialdifficultieswhichhavemadeitunabletofulfillitspaymentobligationsundertheNote;NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementssetforthherein,thepartiesheretoagreeasfollows:ARTICLE1:DEFINITIONS1.1.CapitalizedtermsusedinthisAgreementshallhavethemeaningsassignedtothemintheNote,unlessotherwisedefinedherein.ARTICLE2:DEBTRESTRUCTURING2.1.RestructuringTerms.ThepartiesagreetorestructuretheDebtonthetermsandconditionssetforthinthisAgreement.2.2.ExtensionofMaturity.ThematuritydateoftheDebtshallbeextendedto[NewMaturityDate],andtheDebtorshallmakepaymentstotheCreditorinaccordancewiththepaymentschedulesetforthinExhibitAattachedhereto.2.3.InterestAdjustment.TheinterestrateontheDebtshallbeadjustedto[NewInterestRate],effectiveasoftheEffectiveDate.2.4.PrincipalReduction.ThepartiesagreetoreducetheprincipalamountoftheDebt[PrincipalReductionAmount],effectiveasoftheEffectiveDate.2.5.Convertibility.TheDebtorshallhavetheoptiontoconvertaportionoftherestructuredDebtintoequityownershipintheDebtor,uponthetermsandconditionssetforthinExhibitBattachedhereto.ARTICLE3:PAYMENTSANDREPAYMENT3.1.PaymentSchedule.TheDebtorshallmakepaymentstotheCreditorinaccordancewiththepaymentschedulesetforthinExhibitAattachedhereto.3.2.ApplicationofPayments.AllpaymentsmadetheDebtorunderthisAgreementshallbeappliedfirsttointerestdueandpayable,thentoprincipaldueandpayable,andfinallytoanyoutstandingfeesorcosts.3.3.Default.IftheDebtorfailstomakeanypaymentwhendueunderthisAgreement,theDebtorshallbeindefaultandtheCreditorshallhavetherighttoexerciseanyremediesavailabletoitundertheNoteorapplicablelaw.ARTICLE4:CONDITIONSPRECEDENT4.1.RepresentationsandWarranties.TheDebtorrepresentsandwarrantstotheCreditorthatalloftherepresentationsandwarrantiesmadeitintheNotearetrueandcorrectasoftheEffectiveDate.4.2.ConsentandAcknowledgment.TheDebtorshallobtainallnecessaryconsents,approvalsandacknowledgmentsfromanythirdpartiesaffectedthisAgreement,including,withoutlimitation,anysecuredpartiesorothercreditors.ARTICLE5:MISCELLANEOUS5.1.GoverningLaw.ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof[GoverningJurisdiction].5.2.EntireAgreement.ThisAgreement(includingtheexhibitshereto)constitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandingsandnegotiations,whetheroralorwritten,betweentheparties.5.3.AmendmentsandModifications.ThisAgreementmaybeamended,modifiedorsupplementedonlyawritteninstrumentexecutedallpartieshereto.5.4.Notices.Allnoticesandother一、附件列表：1.附件A：債務(wù)重組后的還款時間表

4.債務(wù)人未能提供合法意見書，證明本協(xié)議及債務(wù)重組符合所有適用的法律和法規(guī)。三、法律名詞及解釋：1.債務(wù)重組：指通過調(diào)整債務(wù)的還款時間表、利率、本金等條款，以幫助債務(wù)人解決財務(wù)困難，實現(xiàn)債權(quán)人和債務(wù)人之間互利共贏的過程。
