英文版銅材采購(gòu)合同合同編號(hào)：__________ContractforthePurchaseofCopperMaterialsThisContractforthePurchaseofCopperMaterials(the"Contract")ismadeandenteredintoasof__________(the"EffectiveDate"),andbetween:RECITALS:WHEREAS,theBuyerdesirestopurchasefromtheSellercertaincoppermaterials(the"Materials")inaccordancewiththetermsandconditionssetforthherein;WHEREAS,theSelleriswillingtoselltheMaterialstotheBuyeronthetermsandconditionssetforthherein;NOW,THEREFORE,inconsiderationofthemutualpromisescontainedherein,thepartiesheretoagreeasfollows:Article1:MaterialsandSpecifications1.1TheBuyeragreestopurchasefromtheSellertheMaterialsinaccordancewiththespecificationssetforthinExhibitAattachedhereto(the"Specifications").1.2TheSelleragreestosupplytheMaterialstotheBuyerinaccordancewiththeSpecificationsandtherequirementssetforthinthisContract.Article2:Delivery2.1TheSellershalldelivertheMaterialstotheBuyeratthedeliverylocationspecifiedinExhibitBattachedhereto(the"DeliveryLocation")onorbeforethedeliverydatespecifiedinExhibitB(the"DeliveryDate").2.2TheSellershallberesponsibleforthetransportationandinsuranceoftheMaterialsduringtransittotheDeliveryLocation.2.3TheBuyershallberesponsiblefortheunloadingandstorageoftheMaterialsattheDeliveryLocation.Article3:PriceandPaymentTerms3.1ThepricefortheMaterials(the"Price")shallbetheamountsetforthinExhibitCattachedhereto.3.2TheBuyershallmakepaymentfortheMaterialstotheSellerwithin___daysafterthedateoftheinvoiceissuedtheSeller.3.3TheSellershallissueaninvoicetotheBuyerforthePricewithin___daysaftertheDeliveryDate.Article4:QualityandCompliance4.1TheSellerrepresentsandwarrantsthattheMaterialsconformtotheSpecificationsandarefreefromanydefectsinmaterialsandworkmanship.4.2TheSellershallberesponsibleforanynonconformities,defects,orfailuresoftheMaterialstomeettheSpecifications.Article5:InspectionandAcceptance5.1TheBuyershallinspecttheMaterialsupondeliveryandshallnotifytheSellerinwritingwithin___daysaftertheDeliveryDateiftheMaterialsdonotconformtotheSpecifications.5.2IftheBuyernotifiestheSellerofanynonconformities,theSellershall,atitssolediscretion,eitherreplacethenonconformingMaterialsorrefundtheBuyerforthenonconformingMaterials.Article6:DefaultandTermination6.1IfeitherpartyfailstoperformanymaterialobligationunderthisContractandsuchfailurecontinuesforaperiodof___daysafterwrittennoticefromtheotherparty,theotherpartymayterminatethisContractwrittennotice.6.2Intheeventoftermination,theBuyershallpaytheSellerfortheMaterialsthathavebeendeliveredandacceptedtheBuyer.Article7:DisputeResolution7.1AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedarbitrationinaccordancewiththerulesofthe__________ArbitrationAssociation.7.2Theplaceofarbitrationshallbe__________,andthelanguageofthearbitrationshallbeEnglish.Article8:GoverningLawandJurisdiction8.1ThisContractshallbegovernedandconstruedinaccordancewiththelawsof__________.8.2AnylegalactionsorproceedingsarisingoutoforinconnectionwiththisContractshallbebroughtexclusivelyinthecourtslocatedin__________.Article9:EntireAgreement9.1ThisContractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal.9.2ThisContractmaybeamendedormodifiedonlyawritteninstrumentexecutedbothparties.INWITNESSWHEREOF,thepartieshaveexecutedthisContractasoftheEffectiveDate.一、附件列表：1.附件A：銅材規(guī)格書2.附件B：交付地點(diǎn)和交付日期3.附件C：價(jià)格明細(xì)表二、違約行為及認(rèn)定：1.賣方未能按照合同約定時(shí)間交付Materials。2.賣方交付的Materials不符合Specifications。3.買方未能在規(guī)定時(shí)間內(nèi)支付Materials價(jià)款。4.買方未能在規(guī)定時(shí)間內(nèi)對(duì)Materials進(jìn)行驗(yàn)收。5.任何一方未能履行本合同項(xiàng)下的其他義務(wù)。三、法律名詞及解釋：1.合同編號(hào)：本合同的唯一標(biāo)識(shí)號(hào)碼。2.賣方：履行合同義務(wù)，向買方供應(yīng)Materials的公司。3.買方：接受賣方供應(yīng)Materials的公司。4.Materials：指本合同項(xiàng)下賣方供應(yīng)給買方的銅材。5.Specifications：指附件A中詳細(xì)描述的銅材規(guī)格和要求。6.DeliveryLocation：指附件B中約定的買方接收Materials的地點(diǎn)。7.DeliveryDate：指附件B中約定的賣方交付Materials的日期。8.Price：指附件C中約定的買方應(yīng)支付給賣方的Materials價(jià)款。四、執(zhí)行中遇到的問(wèn)題及解決辦法：1.交貨延誤：買方應(yīng)與賣方協(xié)商，要求盡快交付Materials。如有必要，買方可以根據(jù)合同條款要求賣方支付延遲交貨的違約金。2.Materials不符合Specifications：買方應(yīng)立即通知賣方，并要求賣方在規(guī)定時(shí)間內(nèi)更換非符合規(guī)格的Materials或退款。3.支付問(wèn)題：若買方未能在規(guī)定時(shí)間內(nèi)支付價(jià)款，賣方有權(quán)暫停交付Mate
