3.ExhibitCDeliveryLocation二、違約行為及認(rèn)定：1.買(mǎi)方未按時(shí)支付購(gòu)買(mǎi)價(jià)格：根據(jù)Article2.2，買(mǎi)方未能按照約定的時(shí)間表支付PurchasePrice。

2.賣(mài)方未按時(shí)交付設(shè)備：根據(jù)Article3.1，賣(mài)方未能在DeliveryDate之前交付Equipment。

3.設(shè)備不符合規(guī)格：根據(jù)Article3.2，Equipment不符合ExhibitB中規(guī)定的規(guī)格。

4.賣(mài)方未提供有效保修服務(wù)：根據(jù)Article5.2，賣(mài)方未能在WarrantyPeriod內(nèi)按照約定維修或更換缺陷設(shè)備。三、法律名詞及解釋：1.合同方：指本合同中簽署的雙方，分別為賣(mài)方（Supplier）和買(mǎi)方（Buyer）。

2.設(shè)備（Equipment）：指本合同中賣(mài)方同意出售，買(mǎi)方同意購(gòu)買(mǎi)的物品，具體描述見(jiàn)ExhibitA。

3.購(gòu)買(mǎi)價(jià)格（PurchasePrice）：指買(mǎi)方根據(jù)本合同約定應(yīng)支付給賣(mài)方的設(shè)備價(jià)款。

4.交付（Delivery）：指賣(mài)方將設(shè)備運(yùn)輸至買(mǎi)方指定地點(diǎn)的行為。

5.保修（Warranty）：指賣(mài)方對(duì)設(shè)備提供的質(zhì)量保證，確保設(shè)備在一定期限內(nèi)無(wú)材料和工藝上的缺陷。四、執(zhí)行中遇到的問(wèn)題及解決辦法：1.延遲支付：買(mǎi)方若未能按時(shí)支付PurchasePrice，賣(mài)方可以暫停交付設(shè)備，并在合同約定的利息率下收取逾期付款利息。

2.交貨延遲：賣(mài)方若未能在DeliveryDate之前交付Equipment，買(mǎi)方有權(quán)要求賣(mài)方支付違約金或要求賣(mài)方在合理時(shí)間內(nèi)交付。

3.設(shè)備不符合規(guī)格：如果設(shè)備不符合約定規(guī)格，買(mǎi)方應(yīng)通
