塑料零件購銷合同合同編號：__________plasticpartspurchasingandsalescontractBETWEENPartyA:(Hereinafterreferredtoas"Seller")PartyB:(Hereinafterreferredtoas"Buyer")Address:_______________________LegalRepresentative:_______________________IDNumber:_______________________Tel:_______________________Fax:_______________________Thepartieshereto,inordertoproperlycarryoutthepurchaseandsaleofplasticparts,haveenteredintothisContractinaccordancewiththeprinciplesofequalityandvoluntariness,fairnessandjustice,andhavereachedthefollowingtermsandconditions:Article1:ScopeofProducts1.1TheproductspurchasedtheBuyerfromtheSellerareplasticparts(Hereinafterreferredtoas"Products"),asspecifiedintheattachedProductList.1.2Thespecifictechnicalrequirements,specifications,quantity,andotherinformationoftheProductsshallbeasstipulatedintheProductListattachedhereto.Article2:QualityandStandards2.1TheProductsshallmeetthequalitystandardsspecifiedintheProductListandrelevantnationalandindustrystandards.2.2TheSellershallprovidetheBuyerwiththerelevantqualityinspectionreportsandcertificationsfortheProductsuponrequest.Article3:PriceandPaymentTerms3.1ThepriceoftheProductsshallbeasstipulatedintheProductListattachedhereto.3.2ThepaymenttermsfortheProductsshallbeasfollows:(1)30%ofthetotalamountshallbepaidtheBuyerwithin3daysafterthesigningofthisContract,asanadvancepayment;(2)Theremaining70%ofthetotalamountshallbepaidtheBuyeruponthedeliveryandacceptanceoftheProductstheSeller.3.3Thepaymentmethodsshallbeasagreedthepartieshereto.Article4:DeliveryandInspection4.1TheSellershalldelivertheProductstotheplaceofdestinationspecifiedtheBuyerwithinthetimelimitagreeduponinthisContract.4.2TheBuyershallinspecttheProductsupondeliveryandsigntheDeliveryReceipt.IftheProductsdonotmeettheagreedqualitystandardsorspecifications,theBuyershallhavetherighttorequesttheSellertoreplaceorrefundtheProductswithinareasonabletimelimit.4.3ThetransportationexpensesshallbebornetheBuyer,unlessotherwiseagreedthepartieshereto.Article5:Warranty5.1TheSellerwarrantsthattheProductsshallbefreefromdefectsinmaterialsandworkmanshipforaperiodof12monthsfromthedateofdelivery.5.2IfanydefectisfoundintheProductswithinthewarrantyperiod,theSellershall,atitsownexpense,repairorreplacethedefectiveProductsorrefundtheBuyerthepurchasepriceforsuchProducts.Article6:Confidentiality6.1Thepartiesheretoshallkeepconfidentialanybusiness,technical,orotherproprietaryinformationexchangedbetweenthemduringtheperformanceofthisContract,unlesssuchinformationisgenerallyknowntothepublicorlegallyrequiredtobedisclosed.6.2TheconfidentialityobligationshallsurvivetheexpirationorterminationofthisContract.Article7:DisputeResolution7.1AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthrough友好協(xié)商.Ifthepartiesheretofailtoresolvethedisputesthroughfriendlynegotiation,eitherpartymaysubmitthedisputestothepeople'scourtwithjurisdictionovertheplaceofperformanceofthisContract.Article8:ForceMajeure8.1NeitherpartyshallbeliableforthefailureordelayintheperformanceofitsobligationsunderthisContractduetocausesbeyonditsreasonablecontrol,suchasnaturaldisasters,pandemics,war,strikes,governmentactions,etc.8.2Theaffectedpartyshallpromptlynotifytheotherpartyoftheoccurrenceandterminationoftheforcemajeureevent.Article9:Miscellaneous9.1ThisContractshallbeeffectiveuponthesigningofbothpartiesandshallbevalidforaperiodof1yearfromthedateofsigning.9.2ThisContractmaybeamendedorsupplementedthepartiesheretothroughwrittenagreement.9.3TheheadingsinthisContractareforconvenienceonlyandshallnotbeusedtointerpretorconstrueitsprovisions.9.4ThisContractshallbegovernedthelawsofthePeople'sRepublicofChina.INWITNESSWHEREOF,thepartiesheretohaveexecutedthisContractasofthedatefirstabovewritten.一、附件列表：ProductList：詳細列出塑料零件的名稱、規(guī)格、數(shù)量、質(zhì)量標準等信息。QualityInspectionReports：產(chǎn)品質(zhì)量檢驗報告。Certifications：相關(guān)產(chǎn)品的認證證書。二、違約行為及認定：賣方未能按照合同約定時間交付產(chǎn)品。賣方交付的產(chǎn)品不符合約定的質(zhì)量標準或規(guī)格。買方未能按照合同約定時間支付款項。買方在收到產(chǎn)品后未按約定時間進行驗收或在驗收后未在規(guī)定時間內(nèi)提出質(zhì)量問題。雙方未履行合同中的保密義務。雙方未履行合同中的友好協(xié)商解決糾紛的義務。三、法律名詞及解釋：合同：雙方或多方之間設立、變更、終止民事權(quán)利義務關(guān)系的協(xié)議。賣方：履行合同義務，向買方提供產(chǎn)品的一方。買方：履行合同義務，向賣方支付款項的一方。質(zhì)量標準：產(chǎn)品應當達到的性能、功能、安全等方面的要求。違約行為：合同當事人不履行合同義務或者履行合同義務不符合約定的行為。四、執(zhí)行中遇到的問題及解決辦法：延遲交付：賣方因故無法按時交付產(chǎn)品時，應及時通知買方，并協(xié)商延期交付。產(chǎn)品質(zhì)量問題：買方在收到產(chǎn)品后發(fā)現(xiàn)質(zhì)量問題，應在規(guī)定時間內(nèi)提出，賣方應負責更
