cated)in1originaland2copiesissuedbycompetentIndonesianAuthorities.印度尼西亞官方機構出具的原產(chǎn)地證書(SERIALE表，上注明出口煤炭的HS稅號)正本一份、副本兩份。ShippingAdvicetotheBuyerwithin3daysafterthedateofB/L在提單日后的3天內(nèi)給買方發(fā)出的裝船通知單。1originaland2copiesofInsurancePolicynamingtheBuyerasBeneficiary,covering110%oftheshipmentGoodsvalue,includingAllRisks,WarRisksandStrikeRisks.保險單正本一份、副本二份，以買方為受益人，保險金額為發(fā)貨金額110%,投保一切險、戰(zhàn)爭險和罷工險。TheCertificateofCoalQuality(1originalCopy)atDischargingPortissuedbyCIQorSGS卸貨港CIQ或SGS出具的質(zhì)量檢驗報告(一份原件)。TheCertificateofWeight(1originalcopy)issuedbyCIQatDischargingPort.卸貨港CIQ出具的重量檢驗報告(一份原件)。AllbankchargesfromissuingbankarefortheaccountoftheBuyerandallbankchargesoutsidetheissuingbankarefortheaccountoftheSeller.開證行的費用由買方承擔，開證行之外的費用由賣方承擔。TermsofDelivery交貨條款TheSellershallloadtheGoodstotheMotherVesselatMuaraTaboneoSafeopensea,Indonesia,anddeliverto,China.賣方在印度尼西亞的MuaraTaboneo的錨地進行裝船，并運至中國 港完成交貨。Within7daysbeforetheloadingtime,SellershallinformtheBuyerbywayofemailorfaxindicatingthearrivaldateofthevesselintheanchoragepoint.在貨物起運7天以前，賣方通過電郵或傳真通知買方運輸船到達停泊地的日期。Within48hoursafterthevesseldeparturefromtheLoadingPort,theSellerorSeller,sshippingagentshalladvisetheBuFax:+86!)indicatingthevesselsailingdate,thenameofthenominatedvessel,nameofsteamshipcompany,tonnage,theflagsofthevessel,oceanB/Lnumber,Contractnumber,netquantityloaded,nameoftheGoodsandestimatedtimeofarrival(ETA).貨船于離開裝運港后的48小時內(nèi)，賣方或其船代須以傳真形式通知買方貨船啟航日期、指定貨船名稱、船公司、噸位、船旗、海運提單號、合約號、凈裝運數(shù)量、貨物名稱及預計到達卸貨港時間(ETA)。TheSellerorSeller,sshippingagentshallsenc+RtcftheBluyerat3/2/1daysbeforethearrivalofthevesselatportofdestinationtoconfirmthelocationofthevesselandtheestimatedtimeofarrival(ETA).賣方或其船代須于貨船到達目的港前分3天、2天、1天以傳真形式通知買方貨船位置和預計貨船到港日期(ETA)。.TheSellershallwithin4daysafterthedateofB/Ldate,shallsendcopydocumentsbyfaxtotheBuyer.賣方將在裝船提單簽出后4天內(nèi)，用傳真將復印件發(fā)給買方。DischargingTerms卸貨條款CharterPartyshallbefaxedtotheBuyerbytheSellerwithin3daysaftertheissuedateoftheB/L.TermsandconditionsoftheCharterPartyshouldcomplywiththetermsandconditionscontainedherein.ShouldanytermsandconditionsoftheCharterPartyconflictwiththisContract,thetermsandconditionsofthisContractshallbefinal.賣方須于提單發(fā)出日期起3天內(nèi)向買方傳真"租船合同”。“租船合同”內(nèi)的條款應與本合同內(nèi)條款配合。若兩者出現(xiàn)沖突，則以本合同條款為準。Dischargingtimeshallcommence12hoursafterNoticeofReadinessistenderedorwhendischargingcommences,whicheverisearlier.Ifafterberthingthevesselisfoundnottobeinfreepratiqueandinallrespectsnotreadytodischargeorfreepratiqueisnotgrantedonarrivalattheberth,laytimeshallbedeemednottohavecommenceduntilwhenthevesselisinfactinfreepratiqueandinallrespectsreadytodischarge.10卸船時間應在備妥通知書遞交后12小時或卸貨開始，按較早者開始起算。船靠泊后，如發(fā)現(xiàn)船舶沒有通過檢驗檢疫和沒有做好卸船準備，則不能開始計算卸船時間。TimelostduetothecausesstipulatedinArticle17herein.由于本合同17條中不可抗力原因造成的時間損失不計為卸船時間Ifthevesselaskstostopdischarging,includefromanchoragetoberthorthetimewheninspectionprocessing,willnottreatasdischargingtime,evenifdemurrage.由于船只要求停止卸貨，包括從錨地移動到泊位的時間或在泊位進行檢驗檢疫的時間導致?lián)p失的時間都不計為卸貨時間，即使已滯期。Dischargingtimestopscalculationwhenthegoodsstopstowedandtrimmed.卸貨完成并平艙后，卸貨時間停止計算。Thetimeusedfordraughtsurveyisnotincludedinthedischargingtimeevenifdemurrageoccurs.水尺檢驗的時間不計為卸貨時間，即使已滯期。TheerorVesselOwnercouldassignanagentattheDischargingPortandstayinclosecontactwithitsagent.賣方或船東可以在卸貨港委派船代，并應與船代密切聯(lián)系。Thedischargerateshouldreach10000tons/dayonfinedays.卸率為10000噸/晴天。DemurrageandDispatchCost滯期費和速遣費IftheBuyercouldnotaccommodatetherequirementstipulatedinitem12.8,theBuyershouldpaytheSellerthedemurragecostaccordingtotheactualdemurragetime.IftheBuyercompletedthedischargewithintheagreedperiod,theSellershouldpaytheBuyerthedispatchcost.11如果買方不能按照條款12.8來滿足卸貨要求，買方應按實際滯期時間向賣方支付滯期費。如果買方在約定卸貨時間內(nèi)完成卸貨，賣方應按節(jié)約的時間向買方支付速遣費用。Ratesofdemurrageperdayorpro-rateforalltimelostanddispatchmoneyperdayorpro-rateforlaytimesavedattheunloadingportshallbeasperCharterParty,whichisUS$12,000perdayorprorate,foralltimelost.DispatchwillbehalfofDemurragerateperdayorprorate,forlaytimesaved.卸貨港滯期費用依據(jù)租船合同為美金12,000元/天。不足一天按比例計算。速遣費用為其一半。Demurrageanddispatchmustbepaidwithin7daysofreceiptofBuyer'sinvoiceoftotaldemurrageorSeller,sinvoicefortotaldispatch.Wherethereisadisputeinvolvingdemurrageordispatch,partiesshallpaytheundisputedportionofthedemurrageordispatchcostwithinthetimespecifiedabove.滯期費和速遣費必須在賣方收到買方速遣費發(fā)票或者買方收到賣方滯期費發(fā)票的7天內(nèi)支付。如雙方滯期費和速遣費有任何爭議，雙方在以上規(guī)定日期內(nèi)支付無爭議部分的滯期費和速遣費。Ifbecausecoalqualitywasnotuptothecontracttermsandincludesnotlimitedto4.2containinggangue,clay,stoneetcdischargedifficultiescausedbystickinghighwater-bearingcausedbycoal,coalspontaneouscombustionetcdischargedifficult,coalqualitycausedischargingratecannotmeetnormaldischargerate,thebuyerdoesnotundertakeanydemurrage.Becauseofpoorqualityandcausedbycoalspontaneouscombustioncoalbargedamagedandunloadingwharfisimpaired,lossesshallbebornebytheseller.如果因為煤炭品質(zhì)達不到合同4.2條款且包括不限于含有煤阡石、泥土、石頭等造成卸貨困難、含水高、煤粘造成卸貨困難、煤炭自燃等煤炭品質(zhì)原因造成卸率達不到正常卸率時，買方不承擔任何滯期費。由于煤炭品質(zhì)低劣及自燃造成煤炭運輸船受損及卸貨碼頭受損，損失由賣方承擔。12PriceAdjustment價格調(diào)整Accordingtointernationalbusinesspractices,BuyerandSelleragreetoadjusttheunitpriceonmutualparty,sagreementeverythreemonth.為了保證煤炭貿(mào)易的順利進行，根據(jù)國際商業(yè)慣例，買賣雙方同意每3個月調(diào)整一次價格。Insurance保險AssignofProperty貨物認定TitletoandriskintheGoodsshallpassfromtheSellertotheBuyerinaccordancewiththeCIFprovisionsofINCOTERMS2000(asamendedfromtimetotime).依照INCONTERMS2000中條款的規(guī)定，貨物的所有權及風險將在交貨完成時進行轉(zhuǎn)移。ForceMajeure不可抗力ForceMajeuremeanstheeventthatthepartiescouldnotforeseeatthetimeofconclusionoftheContractanditsoccurrenceandconsequencescannotbeavoidedandcannotbeovercome,ForceMajeureeventsincludingbutnotlimitedtoactsofGod,war,riots,civildisturbance,requisitioning,fire,explosion,sabotage,storm,flood,earthquake,fog,subsidence,adverseclimaticcondition,pestilence,orepidemic,governmentalorparliamentaryrestrictionsorregulations,strikesandallothercontingenciesandcircumstanceswhatsoeverbeyondthereasonablecontrolpreventing.IfeitherofthepartiestotheContractbepreventedfromexecutingtheContractbyForceMajeure,thetimeforexecutionofthecontractshallbeextendedbyaperiodequaltotheeffectofthesecauses.However,thepriceandperformanceindicesshallnotbechangedduetosuchdelaybyForceMajeureevent.Theaffectedpartyshallpromptlyinformtheotherpartybyfaxandacertificateissuedbycompetentauthoritiesconcernedshouldbesubmittedwithin14daysfortheotherpartytoreviewandconfirm.Theaffectedpartyshouldtakeallnecessarymeasurestodecreasetheeffectandtoshortenthedelaythusincurred.OncetheForceMajeureisover,theotherpartyshallbepromptlynotified.不可抗力是指發(fā)生雙方事先無法預見、無法避免并無法克服的事件，包括但不限于天災、戰(zhàn)爭、暴動、騷亂、征用、火災、爆炸、破壞、暴風雨、洪水、13地震、霧、沉降、不利的氣候條件、瘟疫、流行病，政府和議會限制或法規(guī),罷工以及所有其他突發(fā)事件和任何超出了合理控制的情況。合同雙方中的任何一方，由于不可抗力事件而影響合同義務的執(zhí)行時，則延遲履行合同義務的期限相當于不可抗力事件影響的時間，但是不能因為不可抗力的延遲而調(diào)整合同價格及性能指標。受到不可抗力影響的一方應在不可抗力事故發(fā)生后，盡快將所發(fā)生的不可抗力事件的情況以傳真或電報通知另一方，并在14天內(nèi)將有關當局出具的證明文件提交給另一方審閱確認。受影響的一方同時應盡量設法縮小這種影響和由此而引起的延誤。一旦不可抗力的影響消除后，應立即通知對方。MutualCollaboration雙方共識SellerandBuyerrecognizethatcircumstancesmayarisewhichcouldnothavebeenforeseenatthetimethisContractwasenteredintoandagreethattheywillusetheirbesteffortssolveanyproblemsduetosuchunforeseeablecircumstancesinaspiritofmutualunderstandingandcollaboration.雙方理解合同在未來執(zhí)行中可能會遇到不可預計的困難，在相互了解和合作的基礎上將共同盡力解決未來可能會發(fā)生的問題來確保合同的順利執(zhí)行。DisputeandArbitration爭端的解決和仲裁ThisContractshallbegovernedandconstruedinaccordancewiththelawsofHONGKONG.AnydisputethatmayariseoutoforinrelationtothisContractwhichcannotbesettledbymutualunderstandingbetweentheSellerandtheBuyershallbebroughtforfinalsettlementundertherulesofConciliationandArbitrationoftheHONGKONGCourtArbitrationCommissionbyoneormorearbitratorsappointedinaccordancewiththesaidrules.ThearbitrationshallbeinEnglishandthedecisionshallbefinalandbindingonbothparties.本合同受香港法律管轄。在本合同執(zhí)行期間所發(fā)生之任何爭執(zhí)，應由雙方以和善的方式協(xié)商解決，若無法達成協(xié)議，則此爭執(zhí)應提送香港仲裁機構仲裁，14依仲裁規(guī)則指派之一個或多個仲裁者進行仲裁。仲裁所作之判決為最終，對雙方有約束力。ExecutionofContract執(zhí)行合同EachofthepartiestothisContractrepresentsthatithasfulllegalauthoritytoexecutethisContractandthateachpartyistobeboundbythetermsandconditionscontainedintheContract.雙方須受合同內(nèi)任何條款的制約并依法執(zhí)行合同。ThisContractissignedandsealedbybothpartiesandanychangewillbemadeinwritten,executedbybothparties.此合同由雙方簽字同意并加蓋公章，執(zhí)行過程中若有任何改動都須經(jīng)雙方同Confidentiality保密TheGoodsofferedforsaleissubjectonlytothetermsandconditionscontainedinthisContractandalltheinformationshouldbestrictlykeptsecretbetweentheBuyerandtheSellerwithin3yearsfromtheeffectivedateofthecontract.本合同所出售的貨物只受到本合同內(nèi)的條款所約束，自本合同生效后3年內(nèi)買賣雙方須對有關資料進行保密。ToincludebutnotlimitedtotheBuyer,Seller,theiragents,mandates,nominees,assignees,andallintermediariespartytothisAgreement/Contract.包括但不僅限于買方，賣方，他們的代理，被授權人，被任命者，受讓方以及涉及本合同的所有的中間方。SpecialClause特別條款ThisfacsimileContractsignedbybothBuyerandSelleristobeconsideredtheoriginal.Nofutureadditions/deletionsoramendmentsarevalidunlessputforwardinwritingandsignedbybothBuyerandSeller.Nohandwrittenchangesisallowed.經(jīng)雙方簽字的傳真件具有原件同樣效力，中間不能有任何改動除非持有雙方認可文件。15GOVERNINGLAW適用法律和官方語言ThisContractshallbegovernedandconstruedinaccordancewiththelawsofHONGKONG.WorkinglanguageisChineseandEnglish.MainlyEnglishifhascontradiction.本合同工作語言采用中文和英文，如遇矛盾以英文為主，法律采用香港法律。Grammaticalmistakes,typingerrors,ifany,shallnotberegardedascontradictions.本合同中如有語法錯誤，拼寫錯誤，將不被視為矛盾MISCELLANEOUS其他ExecutionofContract合同生效Afterthiscontractsignedbybothparties,itwillbeeffectiveimmediately.本合同經(jīng)買賣雙方簽字、蓋章后立即生效。ThisContractissignedbybothpartiesinEnglishlanguagesinsixoriginalcopies.Eachpartyholdsthreecopieswiththesamelaweffect.本合同由買賣雙方用中英兩種文字簽署。正本一式六份，雙方各執(zhí)三份。BankInformation銀行信息Seller’sBankInformation賣方銀行信息AccountCompanyNameBankNameAddressTelephoneNo.FAXNo.AccountNumberSWIFTCodeBankofficer’snameAccountHolderBuyer’sBankInformation買方銀行信息16Notices/Service通知/服務Anynotice/service,communication,fax,mail,etc.inconnectionwithanylegaldispute/issueunderthiscontractisrequiredtobesenttothefollowingauthorizedrepresentativeoftheSellerandtheBuyer:
