2025商務(wù)合同英語詞匯寶典2025BusinessContractEnglishVocabularyManual正文ThisContract(hereinafterreferredtoasthe"Agreement")isenteredintoasof(the"EffectiveDate"),byandbetween(hereinafterreferredtoasthe"Client"),acompanyincorporatedunderthelawsofwithitsregisteredofficeat,and(hereinafterreferredtoasthe"ServiceProvider"),acompanyincorporatedunderthelawsofwithitsregisteredofficeat.1.定義與解釋(DefinitionsandInterpretations)1.1定義(Definitions):Unlessotherwisespecifiedherein,thefollowingtermsshallhavethemeaningsassignedtotheminthisAgreement:"Services"shallrefertothespecificgoodsorservicestobeprovidedbytheServiceProvidertotheClientasdescribedinExhibitAattachedhereto."Term"shallmeantheperiodduringwhichthisAgreementisinforce,asspecifiedinSection2hereof."ConfidentialInformation"shallmeananyandallinformation,whetheroral,written,orelectronic,disclosedbyonePartytotheother,includingbutnotlimitedtobusinessplans,financialdata,technicalspecifications,andanyotherproprietaryinformation,whichisclearlyidentifiedasconfidentialorwouldbeconsideredconfidentialundernormalbusinesspractices."TerminationDate"shallmeanthedateonwhichthisAgreementisterminatedinaccordancewiththeprovisionsofSection.1.2解釋(Interpretations):TheheadingsofthesectionsandparagraphshereinareprovidedforconvenienceonlyandshallnotbedeemedtoaffectthemeaningorinterpretationofthisAgreement.Wordsimportingthesingularshallincludethepluralandviceversa,andwordsimportingthemasculinegendershallincludethefeminineandneutergenders,asthecontextmayrequire.2.服務(wù)范圍(ScopeofServices)2.1服務(wù)內(nèi)容(ScopeofServices):TheServiceProvidershallprovidetheServicestotheClientinaccordancewiththespecificationsoutlinedinExhibitAattachedhereto.TheServicesshallbeperformedincompliancewithallapplicablelaws,regulations,andstandards.2.2服務(wù)期限(DurationofServices):UnlessotherwiseterminatedinaccordancewiththetermsofthisAgreement,theServicesshallbeprovidedbytheServiceProviderandacceptedbytheClientduringtheTerm,asspecifiedinSection3hereof.3.期限(TermandTermination)3.1合同期限(Term):ThisAgreementshallcommenceontheEffectiveDateandcontinueforaperiodofmonths(the"InitialTerm"),unlessterminatedearlierinaccordancewiththetermsofthisAgreement.UpontheexpirationoftheInitialTerm,thisAgreementmayberenewedbymutualwrittenagreementoftheParties.3.2合同終止(Termination):EitherPartymayterminatethisAgreementupondays'writtennoticetotheotherParty,unlessotherwisespecifiedinthisAgreement.4.費(fèi)用與支付(FeesandPayment)4.1服務(wù)費(fèi)用(ServiceFees):TheClientshallpaytheServiceProviderthefeesfortheServices(the"Fees")asspecifiedinExhibitA.TheFeesshallbepaidinaccordancewiththepaymenttermsoutlinedinthisAgreement.4.2支付時(shí)間(PaymentTerms):TheClientshallpaytheFeeswithindaysofthedateoftheServiceProvider'sinvoice.AllpaymentsshallbemadeinandshallbefreeofanydeductionsoroffsetsunlessotherwiseagreedinwritingbytheServiceProvider.4.3逾期付款(LatePayment):IftheClientfailstopayanyamountdueunderthisAgreementwithinthespecifiedperiod,theServiceProvidershallhavetherighttochargeinterestontheoverdueamountatarateof%perannum,calculatedonadailybasis.5.雙方的責(zé)任與義務(wù)(ObligationsoftheParties)5.1服務(wù)提供方的責(zé)任(ObligationsoftheServiceProvider):TheServiceProvidershalluseitsbesteffortstoperformtheServicesinaprofessionalandworkmanlikemanner,incompliancewithallapplicablelaws,regulations,andstandards.5.2客戶的責(zé)任(ObligationsoftheClient):TheClientshallprovidetheServiceProviderwithallnecessarysupport,assistance,andinformationrequiredtoperformtheServices,includingbutnotlimitedtoaccesstoitspremises,systems,anddata,asreasonablyrequestedbytheServiceProvider.5.3保密義務(wù)(Confidentiality):BothPartiesshallmaintaintheconfidentialityofallConfidentialInformationdisclosedtotheminconnectionwiththisAgreement.NeitherPartyshalldisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherParty,exceptasrequiredbylaworbyagovernmentalauthority.ThisobligationshallsurvivetheterminationofthisAgreement.6.知識(shí)產(chǎn)權(quán)(IntellectualPropertyRights)6.1所有權(quán)(Ownership):Allright,title,andinterestinandtoanyintellectualpropertyrightsarisingoutoforinconnectionwiththeServicesshallbelongexclusivelytothe.6.2使用權(quán)(License):TheServiceProvidergrantstotheClientanon-exclusive,royalty-freelicensetouseanyintellectualpropertyrightscreatedinthecourseofperformingtheServices,solelyforthepurposeofthisAgreement.7.保證與責(zé)任(WarrantiesandLiability)7.1服務(wù)保證(Warranties):TheServiceProviderwarrantsthattheServiceswillbeperformedincompliancewithapplicablelaws,regulations,andstandards.7.2責(zé)任限制(LimitationofLiability):TheServiceProvidershallnotbeliableforanyindirect,incidental,orconsequentialdamagesarisingoutoforinconnectionwiththisAgreement,regardlessoftheformofaction.8.爭議解決(DisputeResolution)8.1友好協(xié)商(GoodFaithNegotiation):IntheeventofanydisputearisingoutoforinconnectionwiththisAgreement,thePartiesshallfirstseektoresolvethedisputethroughfriendlynegotiations.8.2仲裁(Arbitration):Ifthedisputeisnotresolvedthroughnegotiationswithindays,thedisputeshallbereferredtoarbitrationinaccordancewiththerulesof.8.3訴訟(Litigation):Ifthedisputeisnotresolvedthrougharbitration,eitherPartymaybringthematterbeforethecourtsofforresolution.9.其他條款(MiscellaneousProvisions)9.1合同的完整性(EntireAgreement):ThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallpreviousagreements,representations,orunderstandings,whetherwrittenororal,relatingtothesubjectmatterhereof.9.2合同的修改(Amendments):AnyamendmentsormodificationstothisAgreementshallbeinwritingand
