2025采購(gòu)合同范本英文xx2025PROCUREMENTCONTRACT范本ENGLISHXXCONTRACTNUMBER:PLACEOFEXECUTION:DATEOFEXECUTION:BETWEEN:(“PURCHASER”)NAME:ADDRESS:CONTACT:AND(“SUPPLIER”)NAME:ADDRESS:CONTACT:RECITALS:WHEREAS,thePurchaserdesirestoprocurecertaingoods/services;andWHEREAS,theSupplieriswillingandabletosupplysuchgoods/servicesinaccordancewiththetermsandconditionssetforthherein;NOW,THEREFORE,thepartiesheretoagreeasfollows:1.DEFINITIONSANDINTERPRETATION1.1Definitions:ForthepurposeofthisContract,thefollowingtermsshallhavethemeaningsspecifiedbelow:"Goods"shallmeantheitemstobepurchasedbythePurchaserfromtheSupplier."Services"shallmeantheservicestobeprovidedbytheSuppliertothePurchaser."ProcurementOrder"shallmeananywrittenorelectronicorderplacedbythePurchaserfortheprocurementofGoodsorServices."ForceMajeure"shallmeananyeventbeyondthereasonablecontrolofeitherparty,includingbutnotlimitedto,actsofGod,war,riot,epidemic,governmentactions,naturaldisasters,oranyothercircumstancesthatpreventeitherpartyfromfulfillingitsobligationsunderthisContract.1.2Interpretation:InthisContract,unlessthecontextotherwiserequires,wordsinthesingularshallincludethepluralandviceversa,wordsintheneutershallincludethemasculineandviceversa.Theheadingsoftheclausesareforconvenienceonlyandshallnotbeusedtointerpretthecontentofanyclause.2.SCOPEOFPROCUREMENTANDSUPPLY2.1GoodsandServices:TheSuppliershallsupplytheGoodsand/orprovidetheServicesasdetailedintheProcurementOrder,whichshallbedeemedanintegralpartofthisContract.2.2QualityStandards:TheGoodsandServicesshallmeetthestandardssetforthintheapplicablespecifications,technicalrequirements,andqualitystandardsasagreeduponinwritingbetweentheparties.2.3DeliverySchedule:TheSuppliershalldelivertheGoodsinaccordancewiththedeliveryschedulespecifiedintheProcurementOrder.AnydeviationfromthedeliveryscheduleshallbesubjecttothepriorwrittenapprovalofthePurchaser.3.PRICEANDPAYMENT3.1Price:ThepricefortheGoodsandServicesshallbeasspecifiedintheProcurementOrder.Allpricesarefirmandfixedunlessotherwiseagreedinwritingbybothparties.3.2PaymentTerms:ThePurchasershallpaytheSupplierfortheGoodsandServiceswithindaysafterreceiptofavalidinvoiceanduponsatisfactoryinspectionandacceptanceoftheGoodsandServices.3.3LatePayment:IfthePurchaserfailstomakepaymentinaccordancewiththeagreedterms,theSuppliermaychargeinterestontheoverdueamountatarateof%perannum.4.DELIVERYANDTRANSPORTATION4.1Delivery:TheSuppliershalldelivertheGoodstotheaddressspecifiedintheProcurementOrder.ThecostofdeliveryshallbebornebyunlessotherwisespecifiedintheProcurementOrder.4.2GoodsRisk:TheriskoflossordamagetotheGoodsshallpasstothePurchaserupondeliverytotheagreeddeliverypoint.4.3TransportationandInsurance:TheSuppliershallarrangeforthetransportationoftheGoodsandprocureadequateinsurancecoverageatitsownexpense.5.ACCEPTANCE,Inspection,ANDWARRANTY5.1Acceptance:ThePurchasershallinspecttheGoodsupondeliveryandnotifytheSupplierofanydefectsordiscrepancieswithindaysofreceipt.5.2Warranty:TheSupplierwarrantsthattheGoodsandServicesprovidedunderthisContractarefreefromdefectsinmaterialandworkmanshipforaperiodofmonthsfromthedateofdelivery.6.RIGHTSANDOBLIGATIONSOFTHEPARTIES6.1ObligationsofthePurchaser:PaytheSupplierinaccordancewiththeagreedterms.ProvidesuchassistanceandcooperationasmaybereasonablyrequestedbytheSuppliertoperformitsobligationsunderthisContract.6.2ObligationsoftheSupplier:DelivertheGoodsinaccordancewiththeagreedspecifications,qualitystandards,anddeliveryschedule.EnsurethattheServicesareperformedinaprofessionalandworkmanlikemanner.7.AMENDMENTANDTERMINATION7.1Amendment:AnyamendmentstothisContractshallbemadeinwritingandsignedbybothparties.7.2Termination:EitherpartymayterminatethisContractintheeventofamaterialbreachoftheotherparty’sobligations,providedthatthebreachingpartyisgivendays’writtennoticetocurethebreachandfailstodoso.8.FORCEMAJEURE8.1Exemption:NeitherpartyshallbeliableforanyfailureordelayinperformanceoftheirobligationsunderthisContractifsuchfailureordelayisduetoForceMajeure.8.2Notice:ApartyaffectedbyForceMajeureshallnotifytheotherpartyinwritingwithindaysoftheeventandmakereasonableeffortstomitigatetheimpactoftheevent.9.CONFIDENTIALITY9.1ConfidentialityObligation:BothpartiesagreetomaintaintheconfidentialityofallinformationexchangedunderthisContractandshallnotdisclosesuchinformationtoanythirdpartywithoutpriorwrittenconsent.9.2Non-Disclosure:TheobligationsunderthisclauseshallsurvivetheterminationofthisContract.10.DISPUTERESOLUTION10.1Negotiation:AnydisputesarisingoutoforinconnectionwiththisContractshallfirstbesettledamicablythroughmutual協(xié)商.10.2Arbitration:Ifthedisputesarenotresolvedwithindays,eitherpartymayreferthemattertoarbitrationinaccordancewiththerulesofArbitrationInstitution.11.GoverningLawANDJURISDICTION11.1GoverningLaw:ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof.11.2Jurisdiction:Thepartiessubmittotheexclusivejurisdictionofthecourtsofintheeventofanydisputes.12.ENTIREAGREEMENTANDSEPARABILITY12.1EntireAgreement:ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallpriororcontemporaneousagreements,representations,orunderstandings.12.2Separability:IfanyprovisionofthisContractisfoundtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.13.NOTICES13.1Notices:Allnotices,requests,demands,orothercommunicationsrequiredorpermittedunderthisContractshallbeinwritinganddeemedtohavebeendulygivenwhendeliveredpersonallyorsentbyregisteredorcertifiedmail,retur
