b.交付

①thecomprehensivereportwillbedeliveredtothe甲方withinthreemonthsofthecompletionoftheproject.

②visualrepresentationswillbeprovidedindigitalformat,suitableforpublicationorpresentation.

③thepresentationwillbearrangedatamutuallyagreed-upondateandvenue.

五、知識產(chǎn)權(quán)與成果歸屬

a.知識產(chǎn)權(quán)

①allintellectualpropertyrightsarisingfromtheresearchwillbejointlyownedbybothparties.

②anypublicationsorpresentationsresultingfromtheprojectwillacknowledgebothpartiesascontributors.

b.成果歸屬

①thecomprehensivereportandvisualrepresentationswillbethepropertyofbothparties.

②theresearchfindingsmaybeusedbybothpartiesforacademicoreducationalpurposes,subjecttoproperattribution.

六、保密條款

a.保密義務(wù)

①bothpartiesagreetokeepallconfidentialinformationdisclosedduringthecourseofthisprojectstrictlyconfidential.

②confidentialinformationincludesbutisnotlimitedtoresearchdata,methodologies,andanyotherproprietaryinformation.

b.違約責(zé)任

①anypartyfoundtohavebreachedtheconfidentialityobligationsunderthisagreementwillbeliableforalldamagessufferedbytheotherparty.

②bothpartiesagreetotakeallnecessarystepstopreventunauthorizedaccesstoordisclosureofconfidentialinformation.

七、違約與爭議解決

a.違約

①anyfailuretocomplywiththetermsandconditionsofthisagreementwillbeconsideredabreachofcontract.

②intheeventofabreach,thenon-breachingpartyshallbeentitledtoallavailableremedies,including,butnotlimitedto,damagesandinjunctiverelief.

b.爭議解決

①anydisputesarisingfromthisagreementshallberesolvedthroughgoodfaithnegotiationsbetweentheparties.

②ifthepartiesareunabletoreacharesolutionthroughnegotiation,thedisputeshallbesubmittedtoarbitrationinaccordancewiththerulesoftherelevantarbitrationbody.

八、合同生效與終止

a.合同生效

①thisagreementshallbecomeeffectiveuponthesignatureofbothparties.

②theagreementshallremainineffectforthedurationoftheprojectandforaperiodofoneyearthereafter.

b.合同終止

①thisagreementmaybeterminatedbyeitherpartyuponwrittennoticetotheotherparty,providedthatsuchnoticeisgivenatleastthirty(30)dayspriortotheterminationdate.

②terminationofthisagreementshallnotaffectanyrightsorobligationsthathavealreadyarisenundertheagreement.

二、乙方責(zé)任與權(quán)利

②toensuretheuseofappropriateconservationmaterialsandtechniquestomaintaintheintegrityoftheartifacts.

③toadheretotheprojecttimelineanddelivertherestoredartifactswithinthespecifieddeadlines.

b.乙方權(quán)利

①toreceivedetailedspecificationsandguidelinesfortherestorationprocessfromthe甲方.

②tobecompensatedfairlyfortheservicesprovided,includinglabor,materials,andexpertise.

③tohavetherighttousetherestoredartifactsforeducationalpurposes,includingpublicationsandpresentations.

三、甲方責(zé)任與權(quán)利

a.甲方責(zé)任

①toprovidethe乙方withallnecessaryinformation,access,andsupportrequiredfortherestorationprocess.

②toensuretheartifactsareproperlysecuredandprotectedduringtransportationandstorage.

③tocoverallcostsassociatedwiththerestoration,includingmaterials,labor,andanyunforeseenexpenses.

b.甲方權(quán)利

①toapprovetherestorationplanandmethodsproposedbythe乙方.

②tohavethefinalsayintheselectionofartifactstoberestoredandexhibited.

③toreceiveadetailedreportontherestorationprocessandtheconditionoftheartifacts.

四、第三方責(zé)任與權(quán)利

a.第三方責(zé)任

①toactasaconsultantoradvisoronconservationandrestorationtechniques,asagreedupon.

③tooverseetheconservationoftherestoredartifactspost-restoration.

b.第三方權(quán)利

②the甲方shallhavetherighttousetherestoredartifactsfortheagreed-uponexhibitionandeducationalpurposes.

b.成果歸屬

①therestoredartifactsshallbethepropertyofthe甲方uponcompletionoftherestoration.

②the乙方shallretaintherighttouseimagesanddescriptionsoftherestoredartifactsforpromotionalpurposes.

六、保密條款

a.保密義務(wù)

①allpartiesagreetokeepallconfidentialinformationdisclosedduringtheprojectstrictlyconfidential.
