2025版教育培訓(xùn)機(jī)構(gòu)學(xué)生信息保密協(xié)議（中英文版）StudentInformationConfidentialityAgreementforEducationalTrainingInstitutionsThisAgreementismadeandenteredintoasof______________(Date),andbetweenthefollowingparties:甲方（EducationalTrainingInstitution）：____________________________Address:_________________ContactPerson:______________Position:______________乙方（Student）：____________________________Name:_________________Address:_________________ContactPerson:______________Position:______________WHEREAS,theEducationalTrainingInstitution(hereinafterreferredtoas"甲方")provideseducationaltrainingservicestotheStudent(hereinafterreferredtoas"乙方"),andtheStudentiswillingtoproviderelevantpersonalinformationtotheEducationalTrainingInstitution;andWHEREAS,theEducationalTrainingInstitutionagreestoprotecttheconfidentialityoftheStudent'spersonalinformationinaccordancewiththisAgreement;NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesagreeasfollows:1.ConfidentialInformationForthepurposesofthisAgreement,"ConfidentialInformation"shallmeananyandallinformation,whetherinwritten,verbal,electronic,orotherform,thatisdisclosedonepartytotheother,includingbutnotlimitedto:a)PersonalinformationoftheStudent,suchasname,address,contactinformation,andotherrelevantinformation;b)InformationabouttheStudent'seducationbackground,family,andotherpersonalmatters;c)InformationabouttheStudent'sattendance,academicperformance,andotherrelatedmatters;d)Anyotherinformationdesignatedasconfidentialeitherparty.2.ConfidentialityObligationsa)ThepartiesagreetokeeptheConfidentialInformationstrictlyconfidentialandnottodiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.b)ThepartiesagreetousetheConfidentialInformationonlyforthepurposeofprovidingeducationaltrainingservicestotheStudentandnotforanyotherpurpose.c)ThepartiesagreetotakereasonablemeasurestoprotecttheconfidentialityoftheConfidentialInformation,includingbutnotlimitedto:i)KeepingtheConfidentialInformationinasecurelocation;ii)LimitingaccesstotheConfidentialInformationtoauthorizedpersonnelonly;iii)Implementingappropriatesecuritymeasurestopreventunauthorizedaccess,use,ordisclosureoftheConfidentialInformation.3.ExclusionsTheobligationsofconfidentialityunderthisAgreementshallnotapplytoinformationthat:a)IspubliclyavailablewithoutbreachofthisAgreement;b)Isalreadyknowntothereceivingpartypriortothedisclosureofsuchinformationtheotherparty;c)IsindependentlydevelopedthereceivingpartywithoutuseoftheConfidentialInformation;d)Isobtainedfromathirdpartywithoutbreachofanyconfidentialityobligation.4.TermThisAgreementshallbeeffectiveuponthedateofexecutionandshallremainineffectforaperiodof______________yearsfromthedateofexecution,unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.5.Terminationa)ThisAgreementmaybeterminatedeitherpartyuponwrittennoticetotheotherpartyatanytime.b)UponterminationofthisAgreement,thepartiesshallreturnordestroyallConfidentialInformationintheirpossession.6.GoverningLawandDisputeResolutionThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof______________(Country/Region).AnydisputesarisingfromorinconnectionwiththisAgreementshallbesettledthroughfriendlynegotiations.Ifthepartiesfailtoreachanagreementthroughnegotiations,thedisputeshallbesubmittedtothe______________(Court/ArbitrationInstitution)forresolution.7.EntireAgreementThisAgreementconstitutestheentireagreementbetweenthepartiesconcerningthesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetherwrittenororal,oftheparties.8.AmendmentsThisAgreementmaybeamendedonlyawritteninstrumentexecutedbothparties.INWITNESSWHEREOF,thepartieshaveexecutedthisAgreementasof
