②Bothpartiesshalltakeallnecessarymeasurestopreventunauthorizedaccesstoconfidentialinformation.

六、合同終止與爭(zhēng)議解決

a.合同終止

①Thisagreementmaybeterminatedbyeitherpartyuponwrittennoticetotheotherparty,providedthatsuchnoticeisgivenatleast30dayspriortotheterminationdate.

②Upontermination,bothpartiesshallfulfilltheirobligationsunderthisagreementuntilthecompletionoftheongoingproject.

b.爭(zhēng)議解決

①Anydisputesarisingoutoforinconnectionwiththisagreementshallberesolvedthroughamicablenegotiationsbetweentheparties.

②Ifthepartiesareunabletoresolvethedisputethroughnegotiations,themattershallbesubmittedtoarbitrationinaccordancewiththerulesoftherelevantarbitrationinstitution.

③對(duì)項(xiàng)目實(shí)施過程中的重大事項(xiàng)擁有決策權(quán)。

c.乙方利益

①獲得項(xiàng)目研究成果的專利權(quán)、著作權(quán)等知識(shí)產(chǎn)權(quán)。

四、甲方責(zé)任

a.甲方責(zé)任

②為乙方提供相關(guān)資源和信息，協(xié)助乙方開展項(xiàng)目研究。

③監(jiān)督項(xiàng)目進(jìn)度和質(zhì)量，確保項(xiàng)目目標(biāo)的實(shí)現(xiàn)。

b.甲方權(quán)利

①享有項(xiàng)目研究成果的部分使用權(quán)。

②對(duì)項(xiàng)目實(shí)施過程中的重大事項(xiàng)進(jìn)行監(jiān)督和指導(dǎo)。

③享有項(xiàng)目成果的優(yōu)先推薦權(quán)。

五、違約及限制條款

a.違約責(zé)任

①乙方未按時(shí)完成項(xiàng)目任務(wù)，甲方有權(quán)解除合同，并要求乙方承擔(dān)違約責(zé)任。

②甲方未按時(shí)提供經(jīng)費(fèi)支持，乙方有權(quán)要求甲方承擔(dān)違約責(zé)任。

b.限制條款

①乙方在項(xiàng)目研究過程中，不得泄露甲方提供的相關(guān)信息和資源。

②甲方在項(xiàng)目成果推廣應(yīng)用
