英文股東協(xié)議書英文股東協(xié)議書ThisShareholders'Agreementismadeandenteredintoasofthis______dayof______,20__,byandbetweentheshareholdersof[CompanyName],a[CompanyType]incorporatedunderthelawsofthe[State/Country]("theCompany"),hereinafterreferredtoasthe"Company".WHEREAS,theCompanyisengagedinthebusinessof[briefdescriptionofbusiness];ANDWHEREAS,theshareholdersoftheCompanywishtosetforthcertaintermsandconditionsgoverningtheirrelationshipwitheachotherandtheCompany;NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereincontained,thepartiesheretoagreeasfollows:1.DefinitionsInthisAgreement,unlessthecontextotherwiserequires:a)"Shareholder"meansanypersonorentitythatholds,directlyorindirectly,oneormoresharesoftheCompany's[ClassofShares].b)"BoardofDirectors"meanstheBoardofDirectorsoftheCompany,asestablishedbytheCompany'sArticlesofIncorporationandbylaws.c)"Company"means[CompanyName],a[CompanyType]incorporatedunderthelawsofthe[State/Country].d)"Agreement"meansthisShareholders'Agreement.2.ShareOwnershipandCapitalStructurea)TheCompany'scapitalisauthorizedasfollows:[number]sharesof[ClassofShares]withaparvalueof[amount]pershare.b)TheinitialshareholdersoftheCompanyandtheirrespectiveshareholdingsareasfollows:[ShareholderName1]:[number]shares[ShareholderName2]:[number]shares[ShareholderName3]:[number]sharesc)AdditionalsharesmaybeissuedbytheCompanyupontheapprovalof[number]shareholdersrepresentingatleast[percentage]ofthetotaloutstandingshares.3.ShareTransferRestrictionsa)SubjecttotheprovisionsofthisAgreement,thesharesheldbyeachShareholdermaybetransferredfreelytoanypersonorentity.b)AnytransferofsharesbyaShareholdershallbesubjecttothefollowingconditions:i)ThetransferringShareholdershallprovidetheCompanywithwrittennoticeoftheproposedtransferatleast[number]dayspriortothetransfer.ii)TheCompanyshallhavetherighttorejectanyproposedtransferifitdetermines,initssolediscretion,thattheproposedtransfereeisunsuitablefortheCompany.iii)IftheCompanyexercisesitsrighttorejectaproposedtransfer,itshallprovidethetransferringShareholderwithwrittennoticeofitsdecisionwithin[number]daysofreceivingtheproposedtransfernotice.c)IntheeventofaShareholder'sdeath,thesharesheldbysuchShareholdershallbetransferredtotheShareholder'sbeneficiariesinaccordancewiththeShareholder'swillor,intheabsenceofawill,inaccordancewiththeapplicablelawsofthe[State/Country].4.ShareholderRightsa)EachShareholdershallbeentitledtoreceivedividendspaidbytheCompany,ifany,inproportiontothenumberofsharesheldbysuchShareholder.b)EachShareholdershallbeentitledtoattendandvoteatallgeneralmeetingsofshareholdersoftheCompany.c)EachShareholdershallbeentitledtoaccesstheCompany'sbooksandrecordsuponthepaymentofreasonablecopyingcharges.d)EachShareholdershallhavetherighttosuetheCompanyanditsdirectorsfordamagesresultingfromanybreachofthetermsofthisAgreement.5.Governancea)TheCompanyshallbegovernedbyaBoardofDirectors,thesizeandcompositionofwhichshallbedeterminedbytheCompany'sArticlesofIncorporationandbylaws.b)TheBoardofDirectorsshallhavetheauthoritytomakeallmanagementdecisionsoftheCompany,includingbutnotlimitedtoapprovingbudgets,settingsalaries,andenteringintocontracts.c)Eachdirectorshallholdofficeforatermof[number]yearsandmaybere-electedforadditionalterms.d)Adirectormayberemovedbyamajorityvoteoftheremainingdirectors.6.Indemnificationa)TheCompanyshallindemnifyeachShareholderagainstanylossesincurredbysuchShareholderasaresultoftheCompany'sbreachofthisAgreement.b)EachShareholdershallindemnifytheCompanyagainstanylossesincurredbytheCompanyasaresultoftheShareholder'sbreachofthisAgreement.7.DisputeResolutiona)AnydisputearisingoutoforinconnectionwiththisAgreementshallberesolvedby[arbitrationorlitigation]inaccordancewiththelawsofthe[State/Country].b)The[arbitrationorlitigation]shallbeconductedin[City,State/Country].8.GoverningLawThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthe[State/Country].9.EntireAgreementThisAgreementconstitutestheentireagreementbetweentheShareholdersandsupersedesallprioragreementsandunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthisAgreement.10.AmendmentsThisAgreementmayonlybeamendedbyawrittenagreementsignedbyallShareholders.INWITNESSWHEREOF,thepartiesheretohaveexecutedthisShareholders'Agreementasofthedatefirstabovewritten.[ShareholderName1]_______________________[ShareholderName2]_______________________[ShareholderName3]___________________________________________________________
