2025年全球公司內(nèi)部文件英漢互譯保密協(xié)議ConfidentialityAgreementforEnglishChineseTranslationofInternalDocumentsThisConfidentialityAgreement("Agreement")ismadeandenteredintoasof[Date],andbetween:[CompanyNameorIndividualName(hereinafterreferredtoas"PartyA")]Address:_______________________________and[CompanyNameorIndividualName(hereinafterreferredtoas"PartyB")]Address:_______________________________WHEREAS,PartyAisengagedinthebusinessof[describethebusinessofPartyA]andhasinternaldocumentsthatareconfidentialandproprietary;andWHEREAS,PartyBhasbeenengagedPartyAtoprovideEnglishChinesetranslationservicesforsuchdocuments;andWHEREAS,itisnecessaryforPartyBtohaveaccesstosuchconfidentialandproprietaryinformationinordertoperformthetranslationservices;andNOW,THEREFORE,inconsiderationofthemutualcovenantsandpromiseshereincontained,thereceiptandsufficiencyofwhicharehereacknowledged,thepartiesheretoagreeasfollows:1.ConfidentialInformationForthepurposesofthisAgreement,"ConfidentialInformation"shallmeananyandallnonpublicinformationdisclosedPartyAtoPartyB,eitherdirectlyorindirectly,inwriting,orally,orinspectionoftangibleobjects,whichisdesignatedasconfidentialorwhichisreasonablyunderstoodtobeconfidentialgiventhenatureoftheinformationandthecircumstancesofdisclosure.2.ObligationsofConfidentiality2.1PartyBagreestoholdinstrictconfidenceandnottouseforanypurposeotherthantheperformanceofthetranslationservices,anyConfidentialInformationdisclosedPartyA.2.2PartyBagreestousethesamedegreeofcaretoprotecttheconfidentialityoftheConfidentialInformationasPartyBusestoprotectitsownconfidentialinformationoflikekind,butinnoeventlessthanreasonablecare.2.3TheobligationsofconfidentialityunderthisAgreementshallsurvivetheterminationorexpirationofthisAgreementandshallremainineffectforaperiodof[______]yearsfollowingtheterminationorexpirationofthisAgreement.3.ExclusionsfromConfidentialInformationTheobligationsofconfidentialityshallnotapplytoinformationwhich:3.1WaspubliclyknownandmadegenerallyavailableinthepublicdomainpriortothetimeofdisclosurePartyAtoPartyB;3.3IsalreadyinthepossessionofPartyBatthetimeofdisclosurePartyAasevidencedwrittenrecords;3.4IsobtainedPartyBfromathirdpartywithoutabreachofsuchthirdparty'sobligationsofconfidentiality;3.5IsindependentlydevelopedPartyBwithoutuseoforreferencetoanyConfidentialInformationofPartyA;or4.ReturnofConfidentialInformationUponterminationorexpirationofthisAgreement,oruponPartyA'swrittenrequest,PartyBshallreturntoPartyAallcopiesofConfidentialInformation,orshallcertify,ifrequestedPartyA,thedestructionofthesame.5.NoLicenseorRightsGrantedNothinginthisAgreementshallbeconstruedasgrantinganylicenseorrightsunderanypatent,copyright,trademark,orotherintellectualpropertyrightofPartyA.6.EntireAgreementThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,understandings,anddiscussions,whetherwrittenororal,oftheparties.7.GoverningLawThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof[State/Country].8.AmendmentsThisAgreementmaybeamendedonlyawrittenagreementexecutedbothparties.9.WaiverThefailureofeitherpartytoenforceanyprovisionofthisAgreementshallnotbedeemedawaiverofsuchprovisionnoroftherightofeitherpartythereaftertoenforcesuchprovision.10.Severability11.ExecutionThisAgreementmaybeexecutedinoneormorecounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.INWITNESSWHEREOF,thepartiesheretohaveexecutedthisConfidentialityAgreementasofthedatefirstabovewritten.[SignatureofPartyA]_________________________[NameofPartyA]_________________________[Title
