2025年城市供暖項(xiàng)目特許經(jīng)營(yíng)合同合同編號(hào):_________簽訂日期:2025年____月____日簽訂地點(diǎn):_________甲方(特許經(jīng)營(yíng)權(quán)授予方):_________(以下簡(jiǎn)稱(chēng)“甲方”)乙方(特許經(jīng)營(yíng)權(quán)獲得者):_________(以下簡(jiǎn)稱(chēng)“乙方”)鑒于:1.甲方根據(jù)國(guó)家有關(guān)法律法規(guī)和政策,為提高城市供暖水平,改善市民生活質(zhì)量,決定將城市供暖項(xiàng)目(以下簡(jiǎn)稱(chēng)“項(xiàng)目”)的特許經(jīng)營(yíng)權(quán)授予乙方。2.乙方具有豐富的城市供暖項(xiàng)目投資、建設(shè)、運(yùn)營(yíng)和管理經(jīng)驗(yàn),愿意承擔(dān)本項(xiàng)目特許經(jīng)營(yíng)權(quán)的責(zé)任。雙方經(jīng)友好協(xié)商,達(dá)成如下協(xié)議:一、項(xiàng)目概況1.項(xiàng)目名稱(chēng):_______城市供暖項(xiàng)目2.項(xiàng)目地點(diǎn):_______3.項(xiàng)目規(guī)模:_______(包括供暖面積、供熱能力等)4.項(xiàng)目建設(shè)內(nèi)容:包括供熱設(shè)施建設(shè)、運(yùn)營(yíng)和維護(hù)等。二、特許經(jīng)營(yíng)權(quán)1.甲方授予乙方在特許經(jīng)營(yíng)期內(nèi),對(duì)項(xiàng)目進(jìn)行投資、建設(shè)、運(yùn)營(yíng)和維護(hù)的權(quán)利。2.特許經(jīng)營(yíng)期為_(kāi)______年,自項(xiàng)目竣工驗(yàn)收合格之日起計(jì)算。3.乙方在特許經(jīng)營(yíng)期內(nèi),享有項(xiàng)目的全部收益權(quán),并承擔(dān)項(xiàng)目的全部風(fēng)險(xiǎn)。三、項(xiàng)目投資與建設(shè)1.乙方負(fù)責(zé)項(xiàng)目的投資、融資和建設(shè),確保項(xiàng)目按照約定的時(shí)間和標(biāo)準(zhǔn)完成建設(shè)任務(wù)。2.乙方應(yīng)按照國(guó)家相關(guān)標(biāo)準(zhǔn)和規(guī)范,確保項(xiàng)目建設(shè)質(zhì)量,并接受甲方和相關(guān)政府部門(mén)的監(jiān)督檢查。3.項(xiàng)目建設(shè)期間,乙方應(yīng)遵守國(guó)家法律法規(guī),確保施工安全,保護(hù)環(huán)境。四、項(xiàng)目運(yùn)營(yíng)與維護(hù)1.乙方負(fù)責(zé)項(xiàng)目的日常運(yùn)營(yíng)和維護(hù),確保項(xiàng)目安全、穩(wěn)定、高效運(yùn)行。2.乙方應(yīng)建立健全項(xiàng)目運(yùn)營(yíng)管理制度,提高服務(wù)質(zhì)量,確保供暖效果。3.乙方應(yīng)定期對(duì)項(xiàng)目設(shè)施進(jìn)行檢修和維護(hù),確保設(shè)施完好,延長(zhǎng)使用壽命。五、費(fèi)用與收益1.乙方在特許經(jīng)營(yíng)期內(nèi),向甲方支付特許經(jīng)營(yíng)權(quán)使用費(fèi),具體金額及支付方式由雙方另行協(xié)商確定。2.項(xiàng)目的運(yùn)營(yíng)收入,扣除項(xiàng)目運(yùn)營(yíng)成本、合理利潤(rùn)和支付給第三方的費(fèi)用后,剩余部分歸乙方所有。3.乙方應(yīng)依法納稅,并承擔(dān)項(xiàng)目運(yùn)營(yíng)過(guò)程中產(chǎn)生的其他稅費(fèi)。六、合作與協(xié)調(diào)1.甲方應(yīng)積極配合乙方開(kāi)展項(xiàng)目建設(shè)和運(yùn)營(yíng)工作,為乙方提供必要的支持和服務(wù)。2.乙方應(yīng)定期向甲方報(bào)告項(xiàng)目運(yùn)營(yíng)情況,并及時(shí)溝通解決項(xiàng)目運(yùn)營(yíng)中遇到的問(wèn)題。3.雙方應(yīng)建立有效的溝通機(jī)制,共同協(xié)調(diào)解決項(xiàng)目運(yùn)營(yíng)中的重大問(wèn)題。七、違約責(zé)任1.任何一方違反本合同約定,應(yīng)承擔(dān)相應(yīng)的違約責(zé)任。2.乙方未按約定完成項(xiàng)目建設(shè)或運(yùn)營(yíng)維護(hù)任務(wù),甲方有權(quán)解除合同,并要求乙方承擔(dān)違約責(zé)任。3.甲方未按約定提供支持和服務(wù),乙方有權(quán)要求甲方承擔(dān)違約責(zé)任。八、爭(zhēng)議解決1.雙方在履行本合同過(guò)程中發(fā)生的爭(zhēng)議,應(yīng)首先通過(guò)友好協(xié)商解決。2.如協(xié)商不成,任何一方均有權(quán)向合同簽訂地人民法院提起訴訟。九、其他1.本合同未盡事宜,由雙方另行協(xié)商解決。2.本合同一式_______份,甲乙雙方各執(zhí)_______份,具有同等法律效力。甲方(蓋章):法定代表人(簽字):乙方(蓋章):法定代表人(簽字):見(jiàn)證人:_________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________
