獨(dú)家經(jīng)銷代理合同(ExclusiveDistributionAgencyAgreement)合同編號(hào)(ContractNo.):____________簽訂日期(DateofSigning):____________簽訂地點(diǎn)(PlaceofSigning):____________甲方(PartyA/Supplier):________________________法定代表人/授權(quán)代表(LegalRepresentative/AuthorizedRepresentative):________________________地址(Address):________________________聯(lián)系方式(ContactInformation):________________________乙方(PartyB/Distributor):________________________法定代表人/授權(quán)代表(LegalRepresentative/AuthorizedRepresentative):________________________地址(Address):________________________聯(lián)系方式(ContactInformation):________________________鑒于條款(WhereasClauses)鑒于甲方是一家依據(jù)中國法律合法成立并有效存續(xù)的公司,擁有[產(chǎn)品名稱](以下簡稱“產(chǎn)品”)的生產(chǎn)/供應(yīng)能力及相關(guān)知識(shí)產(chǎn)權(quán);鑒于乙方是一家依據(jù)[乙方所在國/地區(qū)]法律合法成立并有效存續(xù)的公司,在[目標(biāo)銷售區(qū)域]擁有良好的銷售網(wǎng)絡(luò)、市場(chǎng)推廣能力及專業(yè)的銷售團(tuán)隊(duì);鑒于乙方希望獲得甲方產(chǎn)品在指定區(qū)域內(nèi)的獨(dú)家經(jīng)銷代理權(quán),甲方亦同意授予乙方該等權(quán)利,雙方經(jīng)友好協(xié)商,達(dá)成如下協(xié)議,以資共同遵守。WhereasPartyBwishestoobtaintheexclusivedistributionagencyrightofPartyA'sProductsinthedesignatedterritory,andPartyAagreestograntsuchrighttoPartyB.Throughfriendlynegotiations,bothpartieshavereachedthefollowingagreementtobeobservedbybothparties.第一條定義與釋義(Article1DefinitionsandInterpretations)1.1產(chǎn)品(Products):指本合同附件一中明確列明的由甲方生產(chǎn)或供應(yīng)的各類產(chǎn)品及其相關(guān)的零部件、說明書、包裝材料等(以下統(tǒng)稱“產(chǎn)品”)。1.2獨(dú)家經(jīng)銷權(quán)(ExclusiveDistributionRight):指在本合同約定的銷售區(qū)域和期限內(nèi),甲方唯一授權(quán)乙方銷售其產(chǎn)品,且甲方不得自行或再授權(quán)任何第三方在該區(qū)域內(nèi)銷售本合同約定的產(chǎn)品;乙方有權(quán)在該區(qū)域內(nèi)為銷售產(chǎn)品之目的進(jìn)行市場(chǎng)推廣、招攬客戶、簽訂銷售合同并提供售后服務(wù)。ExclusiveDistributionRight:Withinthesalesterritoryandtermagreedherein,PartyAexclusivelyauthorizesPartyBtosellitsProducts,andPartyAshallnotitselforauthorizeanythirdpartytoselltheProductsagreedhereinwithinsuchterritory.PartyBshallhavetherighttoconductmarketpromotion,solicitcustomers,enterintosalescontractsandprovideafter-salesserviceswithinsuchterritoryforthepurposeofsellingtheProducts.1.3銷售區(qū)域(SalesTerritory):指本合同附件二明確界定的地理區(qū)域范圍(以下簡稱“銷售區(qū)域”)。SalesTerritory:RefertothegeographicalareaclearlydefinedinAppendix2tothisContract(hereinafterreferredtoasthe"SalesTerritory").1.4訂單(PurchaseOrder):指乙方為采購產(chǎn)品向甲方發(fā)出的書面訂購請(qǐng)求,應(yīng)包含產(chǎn)品名稱、規(guī)格型號(hào)、數(shù)量、單價(jià)、總價(jià)、交貨期、交貨地點(diǎn)等必要信息。PurchaseOrder:ReferstothewrittenpurchaserequestsentbyPartyBtoPartyAforpurchasingProducts,whichshallincludenecessaryinformationsuchasproductname,specification/model,quantity,unitprice,totalprice,deliverydate,deliverylocation,etc.1.5貨款(PaymentforGoods):指乙方因購買甲方產(chǎn)品而應(yīng)支付給甲方的全部款項(xiàng),包括但不限于產(chǎn)品價(jià)款、包裝費(fèi)、運(yùn)雜費(fèi)(若有約定)等。PaymentforGoods:ReferstoallamountsthatPartyBshallpaytoPartyAforpurchasingPartyA'sProducts,includingbutnotlimitedtoproductprice,packagingfee,transportationandmiscellaneousfees(ifagreed).第二條授權(quán)與義務(wù)(Article2AuthorizationandObligations)2.1授權(quán)(Authorization):甲方在此獨(dú)家授權(quán)乙方在本合同約定的銷售區(qū)域和期限內(nèi),按照本合同的條款和條件,銷售本合同約定的產(chǎn)品。乙方接受此授權(quán)。Authorization:PartyAherebyexclusivelyauthorizesPartyBtoselltheProductsagreedhereinwithintheSalesTerritoryandtermagreedhereininaccordancewiththetermsandconditionsofthisContract.PartyBacceptssuchauthorization.2.2乙方的基本義務(wù)(BasicObligationsofPartyB):a)積極推廣與銷售(ActivePromotionandSales):乙方應(yīng)投入必要的人力、物力和財(cái)力,積極在銷售區(qū)域內(nèi)宣傳、推廣和銷售產(chǎn)品,努力完成雙方協(xié)商確定的年度銷售目標(biāo)(如附件三所示,若有)。b)市場(chǎng)信息反饋(MarketInformationFeedback):乙方應(yīng)及時(shí)向甲方反饋銷售區(qū)域內(nèi)的市場(chǎng)動(dòng)態(tài)、客戶需求、競(jìng)爭對(duì)手情況及產(chǎn)品改進(jìn)建議等信息。c)維護(hù)品牌形象(MaintenanceofBrandImage):乙方在銷售和推廣活動(dòng)中,應(yīng)嚴(yán)格遵守甲方的品牌管理規(guī)定,維護(hù)甲方產(chǎn)品及品牌的良好聲譽(yù)和形象。f)客戶資料管理(CustomerDataManagement):乙方應(yīng)建立健全客戶檔案,妥善管理客戶資料,并根據(jù)甲方要求定期或不定期提供客戶名單及銷售數(shù)據(jù)。BasicObligationsofPartyB:a)ActivePromotionandSales:PartyBshallinvestnecessaryhuman,materialandfinancialresourcestoactivelypublicize,promoteandselltheProductswithintheSalesTerritory,andstrivetoachievetheannualsalestargetmutuallyagreedupon(asshowninAppendix3,ifany).c)MaintenanceofBrandImage:Insalesandpromotionactivities,PartyBshallstrictlyabidebythebrandmanagementregulationsofPartyAandmaintainthegoodreputationandimageofPartyA'sProductsandbrand.f)CustomerDataManagement:PartyBshallestablishandimprovecustomerfiles,properlymanagecustomerdata,andprovidecustomerlistsandsalesdataregularlyorirregularlyasrequiredbyPartyA.2.3甲方的基本義務(wù)(BasicObligationsofPartyA):a)保證供應(yīng)(GuaranteeofSupply):在乙方按照本合同約定及時(shí)足額支付貨款的前提下,甲方應(yīng)保證產(chǎn)品的質(zhì)量和按期供應(yīng),不得無故拖延或拒絕發(fā)貨。b)提供資料與支持(ProvisionofMaterialsandSupport):甲方應(yīng)向乙方提供必要的產(chǎn)品技術(shù)資料、使用說明書、宣傳冊(cè)等,并根據(jù)乙方的市場(chǎng)推廣活動(dòng)需要,提供合理的支持與配合。c)技術(shù)培訓(xùn)(TechnicalTraining):甲方應(yīng)根據(jù)乙方的請(qǐng)求,在合理范圍內(nèi)為乙方的銷售人員和技術(shù)服務(wù)人員提供免費(fèi)的產(chǎn)品知識(shí)和技術(shù)操作培訓(xùn)。e)知識(shí)產(chǎn)權(quán)保證(IntellectualPropertyGuarantee):甲方保證其對(duì)所提供的產(chǎn)品擁有合法的知識(shí)產(chǎn)權(quán)或合法的授權(quán),不會(huì)侵犯任何第三方的知識(shí)產(chǎn)權(quán)。如因此產(chǎn)生任何糾紛或索賠,由甲方承擔(dān)全部責(zé)任,并賠償乙方因此遭受的直接損失。BasicObligationsofPartyA:a)GuaranteeofSupply:OnthepremisethatPartyBpaysthepriceforgoodsinfullandontimeinaccordancewiththisContract,PartyAshallguaranteethequalityoftheProductsandtheir按期供應(yīng),andshallnotdelayorrefusedeliverywithoutjustifiablereasons.b)ProvisionofMaterialsandSupport:PartyAshallprovidePartyBwithnecessaryproducttechnicaldata,usermanuals,brochures,etc.,andprovidereasonablesupportandcooperationaccordingtotheneedsofPartyB'smarketpromotionactivities.c)TechnicalTraining:PartyAshall,attherequestofPartyB,providefreeproductknowledgeandtechnicaloperationtrainingforPartyB'ssalespersonnelandtechnicalservicepersonnelwithinareasonablescope.第三條訂單與結(jié)算(Article3OrdersandSettlements)3.1訂單流程(OrderProcess):乙方根據(jù)市場(chǎng)需求向甲方發(fā)出書面訂單,甲方應(yīng)在收到訂單后[例如:五個(gè)工作日]內(nèi)對(duì)訂單進(jìn)行審核,確認(rèn)可執(zhí)行性(包括產(chǎn)品型號(hào)、數(shù)量、交貨期等),并書面通知乙方。經(jīng)雙方確認(rèn)的訂單構(gòu)成本合同不可分割的一部分。OrderProcess:PartyBshallsendawrittenordertoPartyAaccordingtomarketdemand.PartyAshallreviewtheorderwithin[forexample:fiveworkingdays]uponreceiptoftheorder,confirmitsexecutability(includingproductmodel,quantity,deliverydate,etc.),andnotifyPartyBinwriting.TheorderconfirmedbybothpartiesshallformanintegralpartofthisContract.3.2結(jié)算方式(SettlementMethod):雙方同意采用以下第[]種結(jié)算方式:(1)電匯(T/T):乙方在訂單確認(rèn)后[例如:七個(gè)工作日]內(nèi)向甲方支付訂單總金額的[例如:30%]作為預(yù)付款,余款在甲方發(fā)貨前[例如:五個(gè)工作日]內(nèi)付清。(2)信用證(L/C):乙方應(yīng)在訂單確認(rèn)后[例如:十個(gè)工作日]內(nèi)通過甲方認(rèn)可的銀行開出以甲方為受益人的不可撤銷即期信用證,信用證金額為訂單總金額。(3)[其他雙方約定的結(jié)算方式]SettlementMethod:Bothpartiesagreetoadoptthe[]thsettlementmethodasfollows:(1)TelegraphicTransfer(T/T):PartyBshallpay[forexample:30%]ofthetotalorderamounttoPartyAasadvancepaymentwithin[forexample:sevenworkingdays]afterorderconfirmation,andthebalanceshallbepaidwithin[forexample:fiveworkingdays]beforePartyAdeliversthegoods.(2)LetterofCredit(L/C):PartyBshall,within[forexample:tenworkingdays]afterorderconfirmation,openanirrevocablesightletterofcreditinfavorofPartyAthroughabankacceptabletoPartyA,withtheamountbeingthetotalorderamount.(3)[Othersettlementmethodsagreedbybothparties]3.3付款賬戶(PaymentAccount):甲方指定的收款賬戶信息如下:開戶銀行(BankName):________________________銀行賬號(hào)(AccountNumber):________________________賬戶名稱(AccountName):________________________PaymentAccount:TheinformationofthereceivingaccountdesignatedbyPartyAisasfollows:BankName:________________________AccountNumber:________________________AccountName:________________________3.4運(yùn)輸與風(fēng)險(xiǎn)轉(zhuǎn)移(TransportationandRiskTransfer):a)貨物運(yùn)輸方式由[甲方/乙方]負(fù)責(zé)安排,運(yùn)輸費(fèi)用由[甲方/乙方]承擔(dān)。b)貨物毀損、滅失的風(fēng)險(xiǎn),在[貨物裝上運(yùn)輸工具并取得運(yùn)輸單據(jù)時(shí)/貨物運(yùn)抵乙方指定的交貨地點(diǎn)并經(jīng)乙方簽收時(shí)]轉(zhuǎn)移給乙方。TransportationandRiskTransfer:a)Themodeoftransportationofthegoodsshallbearrangedby[PartyA/PartyB],andthetransportationcostsshallbeborneby[PartyA/PartyB].b)TheriskofdamagetoorlossofthegoodsshallpasstoPartyBwhen[thegoodsareloadedonthemeansoftransportandthetransportdocumentsareobtained/thegoodsarriveatthedeliverylocationdesignatedbyPartyBandaresignedforbyPartyB].第四條價(jià)格與市場(chǎng)推廣(Article4PriceandMarketPromotion)4.1產(chǎn)品價(jià)格(ProductPrice):甲方提供的產(chǎn)品價(jià)格詳見本合同附件四《產(chǎn)品價(jià)格表》。該價(jià)格為[出廠價(jià)/FOB價(jià)/CIF價(jià)](請(qǐng)注明)。除非另有書面約定,此價(jià)格不包含運(yùn)雜費(fèi)、保險(xiǎn)費(fèi)及進(jìn)口國關(guān)稅、增值稅等稅費(fèi)(若適用)。ProductPrice:ThepricesoftheProductsprovidedbyPartyAaredetailedinAppendix4"ProductPriceList"tothisContract.Suchpriceis[Ex-factoryPrice/FOBPrice/CIFPrice](pleasespecify).Unlessotherwiseagreedinwriting,suchpricedoesnotincludetransportationandmiscellaneousfees,insurancepremiums,importduties,value-addedtaxesandothertaxes(ifapplicable).4.2價(jià)格調(diào)整(PriceAdjustment):如遇原材料價(jià)格、匯率、國家政策等因素發(fā)生重大變化,導(dǎo)致產(chǎn)品成本變動(dòng)超過[例如:5%]時(shí),任何一方有權(quán)提出價(jià)格調(diào)整要求,雙方應(yīng)友好協(xié)商確定新的價(jià)格。新價(jià)格自雙方書面確認(rèn)之日起生效。PriceAdjustment:Incaseofsignificantchangesinrawmaterialprices,exchangerates,nationalpoliciesandotherfactors,resultinginachangeinproductcostexceeding[forexample:5%],eitherpartyshallhavetherighttoproposeapriceadjustmentrequest,andbothpartiesshallnegotiateingoodfaithtodeterminethenewprice.Thenewpriceshalltakeeffectfromthedateofwrittenconfirmationbybothparties.4.3市場(chǎng)推廣(MarketPromotion):乙方應(yīng)根據(jù)銷售區(qū)域的市場(chǎng)特點(diǎn),制定并執(zhí)行有效的市場(chǎng)推廣計(jì)劃,包括但不限于參加行業(yè)展會(huì)、投放廣告、舉辦產(chǎn)品推介會(huì)等。乙方每年應(yīng)投入不少于其年度產(chǎn)品銷售額[例如:3%]的費(fèi)用用于市場(chǎng)推廣活動(dòng)。甲方有權(quán)對(duì)乙方的市場(chǎng)推廣活動(dòng)進(jìn)行指導(dǎo)和監(jiān)督。MarketPromotion:PartyBshallformulateandimplementeffectivemarketpromotionplansaccordingtothemarketcharacteristicsoftheSalesTerritory,includingbutnotlimitedtoparticipatinginindustryexhibitions,placingadvertisements,holdingproductpromotionmeetings,etc.PartyBshallinvestnolessthan[forexample:3%]ofitsannualproductsalesamountinmarketpromotionactivitieseachyear.PartyAshallhavetherighttoguideandsupervisePartyB'smarketpromotionactivities.第五條合同期限與終止(Article5ContractTermandTer
