模特肖像使用授權(quán)書（中英雙語版）2025ThisAuthorizationLetterforModelPortraitUsage(BilingualVersion2025)ismadeandenteredintoon[DateofSigning],2025,in[PlaceofSigning],byandbetween:[FullNameofAuthorizingParty],havingitsprincipalplaceofbusinessat[AddressofAuthorizingParty],hereinafterreferredtoasthe"AuthorizingParty";And[FullNameofModel],havingID/PassportNumber[ID/PassportNumber],residingat[AddressofModel],hereinafterreferredtoasthe"AuthorizedParty".RecitalsWhereas,theAuthorizingPartydesirestoutilizetheportraitoftheAuthorizedPartyforspecificpurposes;andWhereas,theAuthorizedPartyagreestogranttheAuthorizingPartytherighttouseher/hisportraitunderthetermsandconditionssetforthherein.Now,Therefore,inconsiderationofthemutualcovenantsandpromisescontainedherein,thepartiesagreeasfollows:1.AuthorizationGranted:TheAuthorizedPartyherebygrantstotheAuthorizingParty,anon-exclusive,non-transferable,revocablelicensetousetheportraitoftheAuthorizedParty,specificallya[Describethespecificportrait,e.g.,photographdepictingtheAuthorizedPartywearing[Describeclothing/accessories]ina[Describepose/setting]pose],whichportraitmaybecapturedthrough[Describemethod,e.g.,photography,videography]andmaybeincolororblackandwhite.2.ScopeofUse:TheAuthorizingPartyisauthorizedtousethesaidportraitsolelyforthefollowingpurposes:[Listspecificpurposes,e.g.,advertisingandpromotionalmaterials,includingbutnotlimitedtoprintadvertisements,televisioncommercials,radiospots,onlineadvertisementsonwebsitesandsocialmediaplatforms(specifyplatformsifneeded),productpackaging,brochures,flyers,exhibitions,andinternalcompanycommunications].Theuseshallbelimitedto[Specifygeographicalarea,e.g.,throughoutthePeople'sRepublicofChina/globally/withinspecificregions].3.TermofAuthorization:Thelicensegrantedhereinshallbeeffectivefrom[StartDate,e.g.,May1,2025]to[EndDate,e.g.,April30,2026],oruntilterminatedasprovidedherein.4.Compensation:Inconsiderationfortheauthorizationgrantedherein,theAuthorizingPartyagreestopaytheAuthorizedPartythetotalamountof[SpecifyAmount][SpecifyCurrency,e.g.,RMBYuan(CNY)].Paymentshallbemadeasfollows:[Describepaymentterms,e.g.,50%ofthetotalamountshallbepaiduponsigningthisagreement,withtheremaining50%tobepaidupondeliveryofthefinalapprovedmaterialscontainingtheauthorizedportraiton[DateorCondition]].5.Exhibitions:TheAuthorizingPartyshallhavetherighttoexhibittheauthorizedportraitin[Specifylocations,e.g.,attradeshows,exhibitions,andseminars]relatedtotheauthorizeduses.6.Restrictions:TheAuthorizingPartyagreesnottousetheauthorizedportraitforanypurposewhatsoeverthatisunlawful,offensive,defamatory,libelous,infringesupontherightsofanythirdparty,oriscontrarytopublicorderorgoodmorals.TheAuthorizedPartyfurtheragreesthattheportraitshallnotbeusedinanymannerthatmisrepresentstheAuthorizedPartyorimpliesendorsementbytheAuthorizedPartyofproducts,services,orcausesotherthanthosespecificallyauthorizedinthisagreement.TheAuthorizedPartyshallnotpermitanymodificationoftheportraitthatisdistastefulordamagingtotheAuthorizedParty'sreputationunlessotherwisespecificallyagreedinwritingbytheAuthorizingParty.7.NoAssignment:TherightsandlicensegrantedunderthisagreementshallbeexclusivetotheAuthorizingPartyandshallnotbeassigned,transferred,orsublicensedtoanythirdpartybytheAuthorizedPartywithoutthepriorwrittenconsentoftheAuthorizingParty.8.NoWarranty:TheAuthorizedPartyrepresentsandwarrantsthatshe/heisthelegalowneroftherightsinher/hisportraitandthatthegrantofauthorizationhereindoesnotinfringeuponorviolatetherights,includingbutnotlimitedtothe肖像權(quán)(liàngxiàngquán-rightofportrait)or隱私權(quán)(yǐnsīquán-rightofprivacy),ofanythirdparty.TheAuthorizingPartyassumesallrisksassociatedwiththeuseoftheportrait.9.MoralRights:TheAuthorizedPartyretainsallmoralrightsinconnectionwiththeportrait,includingtherighttobeidentifiedasthecreatoroftheportraitandtherighttoobjecttoanyderogatorytreatmentthatmightbereasonablyconsideredtoharmtheAuthorizingParty'sreputation.TheAuthorizingPartyshallhavetherighttorequiretheAuthorizingPartytoceaseuseoftheportraitandtotakesuchactionsastheAuthorizedPartydeemsnecessarytoprotecther/hisreputationiftheportraitisusedinaninappropriatemanner.10.GoverningLaw:ThisagreementshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina.11.DisputeResolution:Anydispute,controversy,orclaimarisingoutoforrelatingtothisagreement,includingitsbreach,termination,orinvalidity,shallfirstbeattemptedtobesettledamicablythroughnegotiationbetweentheparties.Ifthedisputecannotbesettledthroughnegotiationwithin[Number,e.g.,30]daysfromthedateofthelastcommunicationonthesubject,thedisputeshallbesubmittedtothecompetentpeople'scourtlocatedin[SpecifyCity,e.g.,Beijing]forresolutioninaccordancewiththelawsofthePeople'sRepublicofChina.12.Notices:Allnotices,requests,demands,andothercommunicationsrequiredorpermittedhereundershallbeinwritingandshallbedeemedtohavebeendulygivenwhendeliveredpersonally,sentbyreputableovernightcourier,sentbyregisteredorcertifiedmail,postageprepaid,returnreceiptrequested,orsentbyemail(totheaddressesspecifiedaboveorsuchotheraddressasapartymaydesignatebynotice).13.EntireAgreement:Thisagreement,includinganyattachmentsorexhibits,constitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallpriorandcontemporaneousagreements,understandings,negotiations,anddiscussions,whetheroralorwritten,betweentheparties.14.Amendments:Noamendment,modification,orwaiverofanyprovisionofthisagreementshallbeeffectiveunlessinwritingandsignedbyauthorizedrepresentativesofbothparties.15.Severability:Ifanyprovisionofthisagreementisheldtobeinvalid,illegal,orunenforceablebyacourtofcompetentjurisdiction,suchinvalidity,illegality,orunenforceabilityshallnotaffectanyotherprovisionhereof,andthisagreementshallbeconstruedasiftheinvalid,illegal,orunenforceableprovisionhadneverbeencontainedherein.16.FurtherAssurances:Eachpartyagreestoexecutesuchfurtherdocumentsandtakesuchfurtheractionsasmaybereasonablynecessaryordesirabletocarryouttheprovisionsofthisagreement.17.Confidentiality:Thepartiesagreetokeepthetermsandconditionsofthisagreementconfidentialandnottodisclosethemtoanythirdpartywithoutthepriorwrittenconsentoftheotherparty,exce
