IV.ReasonsforTerminationbytheSeller

1.Buyer'sBreachofContract

TheBuyerhasfailedtoperformitsobligationsundertheOriginalContract.Forexample,theBuyerhasnotpaidthepurchasepricewithintheagreedpaymentperiod.AccordingtotheOriginalContract,theBuyerwasrequiredtopay[amount]within[numberofdays]afterthedeliveryofthegoods/services,butasof[currentdate],theBuyerhasnotmadethepayment.

TheBuyerhasviolatedthequalityinspectionandacceptanceprovisionsintheOriginalContract.TheBuyerhasunreasonablyrefusedtoacceptthegoods/servicesthatmeetthequalityrequirementsagreedinthecontract,withoutprovidingvalidreasons.

2.ForceMajeureorUnforeseeableCircumstances

TheSellerhasencounteredforcemajeureevents,suchasnaturaldisasters,governmentregulations,orotherunforeseeablecircumstancesthatmakeitimpossiblefortheSellertocontinuetoperformtheOriginalContract.Forexample,duetoasuddenearthquake,theSeller'sproductionfacilitieshavebeenseverelydamaged,anditisunabletoproducethegoodsasrequiredintheOriginalContractwithinareasonabletime.

V.RightsandObligationsofBothPartiesafterTermination

1.Seller'sRightsandObligations

Rights

TheSellerhastherighttodemandtheBuyertoreturnthegoodsthathavebeendeliveredbutnotpaidfor,ifapplicable.

TheSellerhastherighttoclaimcompensationfromtheBuyerforanylossessufferedasaresultoftheBuyer'sbreachofcontract,includingbutnotlimitedtodirectlosses,indirectlosses,andlostprofits.

Obligations

TheSellershallrefundtheBuyeranyprepaidamounts,iftheBuyerhasmadeprepaymentsforthegoods/services,within[numberofdays]aftertheterminationoftheOriginalContract.

TheSellershallcooperatewiththeBuyertohandleanyfollowupmattersrelatedtothetermination,suchasprovidingrelevantdocumentationandinformation.

2.Buyer'sRightsandObligations

Rights

IftheterminationisduetotheSeller'sfault(e.g.,forcemajeuredoesnotrelievetheSeller'sliabilityinsomecases),theBuyerhastherighttoclaimcompensationfromtheSellerforanylossessuffered,includingbutnotlimitedtothecostsincurredinpreparingtoreceivethegoods/services,andthelossescausedbythedelayornonperformanceofthecontract.

Obligations

TheBuyershallreturnthegoodsthathavebeendelivered,ifrequiredbytheSeller,inthesameconditionaswhentheywerereceived,exceptfornormalwearandtear.

TheBuyershallpaytheSelleranyoutstandingamountsforthegoods/servicesthathavebeenreceivedandused,ifapplicable,within[numberofdays]aftertheterminationoftheOriginalContract.

VI.LiabilityforBreachoftheTerminationAgreement

1.Seller'sLiabilityforBreach

IftheSellerfailstoperformitsobligationsunderthisterminationagreement,suchasfailingtorefundtheprepaidamountswithintheagreedtime,theSellershallpaytheBuyerliquidateddamagesintheamountof[X%]oftheprepaidamountforeachdayofdelay.

IftheSeller'sbreachoftheterminationagreementcauseslossestotheBuyer,theSellershallcompensatetheBuyerforallthelossessuffered,includingdirectlosses,indirectlosses,andlostprofits.

2.Buyer'sLiabilityforBreach

IftheBuyerfailstoreturnthegoodsorpaytheoutstandingamountsasrequiredbythisterminationagreement,theBuyershallpaytheSellerliquidateddamagesintheamountof[X%]ofthevalueofthegoodsortheoutstandingamountforeachdayofdelay.

IftheBuyer'sbreachoftheterminationagreementcauseslossestotheSeller,theBuyershallcompensatetheSellerforallthelossessuffered,includingdirectlosses,indirectlosses,andlostprofits.

VII.DisputeResolution

1.Negotiation

Incaseofanydisputesarisingfromthisterminationagreement,bothpartiesshallfirstattempttoresolvethedisputesthroughfriendlynegotiationwithin[numberofdays]aftereitherpartynotifiestheotherpartyofthedispute.

2.ArbitrationorLitigation

Ifthenegotiationfails,eitherpartyhastherighttosubmitthedisputetoarbitrationorlitigation.
