2025年倉儲管理系統(tǒng)升級服務合同PartiesThisServiceAgreement(the"Agreement")isenteredintoandeffectiveasof[StartDate],byandbetween:[PartyAName]("PartyA"),havingitsprincipalplaceofbusinessat[PartyAAddress],a[PartyALegalStructure]organizedandexistingunderthelawsof[PartyAJurisdiction],and[PartyBName]("PartyB"),havingitsprincipalplaceofbusinessat[PartyBAddress],a[PartyBLegalStructure]organizedandexistingunderthelawsof[PartyBJurisdiction].DefinitionsandInterpretationsInthisAgreement,unlessthecontextotherwiserequires:1."WMS"meanstheWarehouseManagementSystemsoftwaredevelopedand/ormaintainedbyPartyB,currentlyversion[CurrentVersion],andtheupgradedversionagreeduponbytheParties(the"UpgradedWMS").2."UpgradedVersion"meansthespecificversionoftheWMSagreeduponfordeliveryunderthisAgreement,identifiedas[UpgradedVersionNumber].3."ServicePeriod"meanstheperiodfrom[StartDateofService]to[EndDateofService]duringwhichPartyBprovidestheupgradeservices.4."Agreement"meansthisServiceAgreement,includingallexhibits,attachments,andamendmentsthereto.5."ConfidentialInformation"meansanynon-publicinformation,whethertangibleorintangible,disclosedbyeitherPartytotheother,includingbutnotlimitedtotechnicaldata,businessplans,customerlists,financialinformation,andsoftwaresourcecodeordesigndocumentation.6."Third-PartySystem"meansanysystemexternaltotheWMS,includingbutnotlimitedtoEnterpriseResourcePlanning(ERP)systems,TransportationManagementSystems(TMS),andautomatedmaterialhandlingsystems.7."ServiceLevelAgreement(SLA)"meansanyagreed-uponperformancestandardsfortheUpgradedWMS,ifapplicable.8."AcceptanceCriteria"meansthepredefinedstandardsandteststhattheUpgradedWMSmustmeettobeacceptedbyPartyA.ScopeofWork1.PartyBshallprovideupgradeservicesfortheWMScurrentlyinusebyPartyA,version[CurrentVersion],totheUpgradedVersion[UpgradedVersionNumber],asdescribedherein.2.Theupgradeservicesshallinclude,butnotbelimitedto:a.AssessingthecurrentWMSenvironmentandrequirementsforupgrade.b.Planninganddesigningtheupgradeprocess,includingdatamigrationstrategy(ifapplicable)anddeploymentmethodology.c.Developing,configuring,andintegratingtheUpgradedWMSsoftwareaccordingtothespecificationsagreeduponbytheParties.d.MigratingdatafromthecurrentWMStotheUpgradedWMS,ensuringdataintegrityandaccuracy(ifapplicable),inaccordancewiththeagreed-uponmigrationplan.e.ConductingcomprehensivetestingoftheUpgradedWMS,includingunittesting,integrationtesting,systemtesting,andUserAcceptanceTesting(UAT)underthedirectionofPartyA.f.ProvidingtrainingtoPartyA'sdesignatedpersonnelonthefunctionalitiesandoperationsoftheUpgradedWMS.g.DeployingtheUpgradedWMSintoPartyA'sproductionenvironment.h.Providingnecessarydocumentation,includingupdatedusermanuals,technicalspecifications,andsystemadministrationguides.3.Thespecificmodulestobeupgradedoraddedare[ListofModules],andthedetailedfunctionalrequirementsforeachmoduleareoutlinedintheattachedSchedule(ifany)andformpartofthisAgreement.4.PartyAshallprovidethenecessaryresources,includingaccesstoitsITenvironment,existingWMSdata(ifapplicable),anddesignatedpersonneltocooperatewithPartyBthroughouttheServicePeriod.TermandDuration1.ThisAgreementshallcommenceon[StartDate]andcontinueforthedurationoftheServicePeriod,endingon[EndDateofService].2.TheServicePeriodshallcommenceuponPartyB'sreceiptofPartyA'swrittennoticeconfirmingthereadinessofPartyA'senvironmentfortheupgradeandshallenduponthecompletionofthefinalacceptanceoftheUpgradedWMSbyPartyA,oruponexpirationoftheAgreement,whicheveroccursfirst.FeesandPaymentTerms1.InconsiderationfortheservicesprovidedunderthisAgreement,PartyAshallpayPartyBthefeessetforthbelow:a.Anon-refundablesetupfeeof[Amount]payableuponsigningthisAgreement.b.Anupgradedevelopmentandimplementationfeeof[Amount]payable[PaymentSchedule,e.g.,50%uponcompletionofcoreupgrade,50%uponsuccessfulUATacceptance].c.Trainingfeesof[Amount]payable[PaymentSchedule,e.g.,uponcompletionoftraining].d.Datamigrationservices(ifapplicable),pricedat[AmountorMethod]payable[PaymentSchedule].e.Anyadditionalfeesforcustomizationorservicesoutsidetheinitialscope,agreeduponinwritingbybothParties,payable[PaymentSchedule].2.AllfeesarequotedexclusiveofVAT/GST,ifapplicable,andPartyAshallberesponsibleforpayinganysuchapplicabletaxes.3.Paymentsshallbemadein[Currency]totheaddressspecifiedinPartyB'sofficialcapacityasapartytothisAgreementorasotherwisedirectedinwritingbyPartyB.4.Paymenttermsarenet[Number,e.g.,30]daysfromthedateoftheinvoiceunlessotherwisespecified.ProjectManagementandCoordination1.PartyBshalldesignateaProjectManagerwhoshallbetheprimarypointofcontactforPartyAregardingtheupgradeproject.2.PartyAshalldesignateaProjectCoordinatorwhoshallbetheprimarypointofcontactforPartyBwithinPartyA'sorganization.3.BothPartiesagreetoholdregularprojectmeetings,initiallyscheduledat[Frequency,e.g.,weeklyorbi-weekly],via[Method,e.g.,videoconferenceorin-person]todiscussprojectprogress,addressissues,andmakenecessarydecisions.4.PartyBshallusereasonableeffortstocoordinatewithPartyAtoensurethetimelycompletionoftheupgradeproject,subjecttotheperformanceofPartyA.ImplementationPlan1.PartyBshallprovidePartyAwithadetailedImplementationPlan,includingaprojecttimelinewithkeymilestones,priortocommencingmajordevelopmentorconfigurationwork.2.Theupgradeshallbeimplementedusing[Method,e.g.,blue-greendeployment,phasedrollout]tominimizedisruptiontoPartyA'soperations.3.PartyAshallensureitsITenvironmentmeetstherequirementsspecifiedbyPartyBfortheUpgradedWMSdeployment.PartyBshallprovidenecessarydocumentationandguidanceregardingsystemprerequisites.TestingandAcceptance1.PartyBshallperformrigoroustestingoftheUpgradedWMS,includingbutnotlimitedtounittesting,integrationtesting,andsystemtesting,priortoUAT.2.PartyAshallreviewthetestresultsandparticipateinUAToftheUpgradedWMSbasedontheAcceptanceCriteriaagreeduponbybothParties(asfurtherdetailedintheattacheddocument,ifany).3.PartyAshallprovidewrittenfeedbackontheUATresultswithin[Number,e.g.,5]businessdaysoftesting.AnyidentifieddefectsmustbereportedtoPartyBinwriting,alongwithdetailedstepstoreproducetheissue.4.PartyBshallrectifyanycriticalormajordefectsidentifiedduringUATwithin[Number,e.g.,15]businessdays.Non-criticaldefectsshallbeaddressedwithin[Number,e.g.,30]businessdays.5.TheUpgradedWMSshallbeconsideredacceptedbyPartyAuponPartyA'swrittennoticeofacceptance,confirmingthatitmeetstheAcceptanceCriteriaandisreadyforproductionuse.PartyAshallnotunreasonablydelayinprovidingsuchacceptance.DataMigration(ifapplicable)1.Thedatamigrationshallbeperformedaccordingtotheplanattachedhereto(ifany)oraplanmutuallyagreeduponbybothParties.2.PartyBshallensurethesecurityandintegrityofalldataduringmigration.3.Acomprehensivedatavalidationprocessshallbeconductedpost-migrationtoconfirmdataaccuracy.4.Adetaileddatamigrationschedule,includinganyrequireddowntime,shallbeincludedintheImplementationPlanandagreeduponbyPartyA.Training1.PartyBshallprovidetrainingtoPartyA'spersonnelasfollows:a.[Number]sessionsof[Duration,e.g.,4hourseach]trainingontheUpgradedWMSfunctionalities.b.Trainingmaterialsshallincludeusermanualsandtechnicalguides.c.Thespecifictrainingschedule,topics,andparticipantsshallbemutuallyagreeduponbybothParties.SupportandMaintenance1.FollowingthecompletionoftheServicePeriodandthefinalacceptanceoftheUpgradedWMS,PartyBshallprovide[Duration,e.g.,90days]offreesupportaimedatresolvingcriticalissuesandbugsdiscoveredduringtheinitialoperationalphase.2.Uponexpirationofthefreesupportperiod,PartyAmayopttoenterintoaseparateMaintenanceAgreementwithPartyBforongoingsupportandmaintenanceoftheUpgradedWMSatafeetobemutuallyagreedupon.3.Supportshallbeprovidedduringstandardbusinesshours[e.g.,9:00AMto5:00PM,MondaythroughFriday]via[Channels,e.g.,designatedemailaddressandphonenumber].IntellectualPropertyRights1.TheoriginalWMSsoftwareandallassociateddocumentationremainthepropertyofPartyB.2.PartyBgrantsPartyAanon-exclusive,royalty-freelicensetousetheUpgradedWMSsolelyforPartyA'sinternalbusinesspurposesduringthetermofthisAgreement.3.AnymodificationsmadebyPartyAtotheUpgradedWMSshallremainthepropertyofPartyA,butPartyAagreestograntPartyBtherighttoreviewsuchmodificationsforthepurposeofensuringcompatibilitywithfutureupgrades,subjecttoconfidentialityobligations.4.PartyBretainsallrightsinanycustomizationsordevelopmentsspecificallyrequestedandfundedbyPartyAaspartofthisAgreement,subjecttoseparateagreement.Confidentiality1.EachPartyagreestoholdtheotherParty'sConfidentialInformationinstrictconfidenceandnotusesuchConfidentialInformationforanypurposeotherthanperformingitsobligationsunderthisAgreement.2.EachPartyshallrestrictaccesstotheotherParty'sConfidentialInformationtoonlythoseofitsemployees,contractors,andagentswhohaveastrictneedtoknowandwhoareboundbyconfidentialityobligationsatleastasstringentasthosesetforthinthisAgreement.3.ThisconfidentialityobligationshallsurvivetheterminationorexpirationofthisAgreementforaperiodof[Number,e.g.,three]yearsaftertheendoftheAgreement.DataPrivacyandSecurity1.BothPartiesshallcomplywithallapplicablelawsandregulationsregardingtheprotectionofpersonaldataandprivacy.2.PartyBshallimplementreasonablesecuritymeasurestoprotecttheintegrityandconfidentialityofPartyA'sdataprocessedorstoredaspartoftheWMSsystem.3.PartyAshallensureitprovidesPartyBwithnecessaryaccesstodatarequiredfortheupgradeservicesandthatsuchdatatransfercomplieswithapplicabledataprotectionlaws.LiabilityandIndemnification1.Exceptasexpresslysetforthherein,neitherPartyshallbeliabletotheotherforanyindirect,incidental,consequential,special,orpunitivedamagesarisingoutoforinconnectionwiththisAgreement.2.PartyBshallbeliablefordamagesonlyuptotheaggregateamountof[Amount]paidbyPartyAtoPartyBunderthisAgreementintheeventofPartyB'sbreachofanyrepresentationorwarrantymadeherein.3.EachPartyshallindemnifyandholdharmlesstheotherPartyfromandagainstanyclaims,losses,damages,andexpenses(includingreasonableattorneys'fees)arisingoutoforresultingfromtheotherParty'sbreachofthisAgreement,providedtheindemnifyingPartyshallbepromptlynotifiedofanysuchclaimandshallusereasonableeffortstodefendagainsttheclaimorsettletheclaiminamanneracceptabletotheindemnifiedParty.Warranties1.PartyBwarrantsthattheUpgradedWMS,whenusedinthenormalcourseofbusinessandinaccordancewiththeinstructionsprovidedbyPartyB,willconformtothespecificationsagreeduponbytheParties.2.PartyBmakesnootherwarranties,expressorimplied,includingbutnotlimitedtowarrantiesofmerchantability,fitnessforaparticularpurpose,ornon-infringementofthird-partyrights,regardingtheUpgradedWMSoritsperformance.Termination1.ThisAgreementmaybeterminatedbyeitherPartyupon[Number,e.g.,30]days'writtennoticeiftheotherPartybreachesanymaterialtermorconditionofthisAgreementandfailstocuresuchbreachwithinthenoticeperiod.2.UponterminationorexpirationofthisAgreement,PartyAshallimmediatelyceaseusingtheUpgradedWMSandshalldestroyallcopiesthereof,exceptasnecessarytofulfillcontractualobligationsorfordataarchivalpurposesifagreedinwriting.3.PartyBshallhavetherighttoremoveordisabletheUpgradedWMSfromPartyA'ssystemsupontermination,providedPartyAhaspaidalloutstandingfeesdueunderthisAgreement.GoverningLawandDisputeResolution1.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningJurisdiction],withoutregardtoitsconflictoflawsprinciples.2.Anydispute,controversy,orclaimarisingoutoforrelatingtothisAgreement,includingitsbreach,termination,orinvalidity,shallfirstbeattemptedtoberesolvedthroughgoodfaithnegotiationbetweentheseniormanagementrepresentativesofbothParties.3.Ifthedisputecannotberesolvedthroughnegotiationwithin[Number,e.g.,30]days,thedisputeshallbesubmittedto[ArbitrationInstitution,e.g.,theInternationalChamberofCommerce(ICC)ArbitrationCourt]forarbitration.The仲裁shallbecond
