II.SubjectMatteroftheContract

A.DescriptionoftheServiceorGoods

1.Goods

Ifthisisagoodsrelatedcontract,PartyAshallsupplyPartyBwiththefollowinggoods(the"Goods"):

2.Services

Ifthisisaservicerelatedcontract,PartyAshallprovidePartyBwiththefollowingservices(the"Services"):

III.RightsandObligationsoftheParties

A.RightsandObligationsofPartyA

1.Rights

PartyAhastherighttoreceivetheconsiderationasagreedinthisAgreement.

PartyAhastherighttorequirePartyBtoprovidenecessarycooperationandassistanceduringtheperformanceofthecontract,suchasprovidingrelevantdataandinformationinatimelymannerifitisaservicerelatedcontract.

IfPartyBfailstoperformitsobligationsunderthisAgreement,PartyAhastherighttoclaimcompensationforlossescausedthereby.

2.Obligations

GoodsSupply:Ifsupplyinggoods,PartyAshalldelivertheGoodstotheplacedesignatedbyPartyBinaccordancewiththeagreedtime,quantity,quality,andpackagingrequirements.PartyAshallberesponsibleforthetransportationandinsuranceoftheGoodsuntiltheGoodsaredeliveredtoPartyB.

ServiceProvision:Ifprovidingservices,PartyAshallperformtheServicesinaprofessional,diligent,andtimelymanner.PartyAshallkeepPartyBinformedoftheprogressoftheServicesandshallacceptPartyB'ssupervisionandinspectionwithinareasonablescope.

PartyAshallprovidePartyBwithallnecessarydocumentationandcertificatesrelatedtotheGoodsorServices,suchasqualityinspectionreports,operationmanuals,etc.

PartyAshallensurethattheGoodsorServicesprovideddonotinfringetheintellectualpropertyrightsofanythirdparty.

B.RightsandObligationsofPartyB

1.Rights

PartyBhastherighttoinspecttheGoodsupondeliveryortoevaluatetheServicesduringtheserviceprovisionprocess.IftheGoodsdonotmeetthequalityrequirementsortheServicesdonotmeettheagreedstandards,PartyBhastherighttorequirePartyAtomakecorrectionsorreplacements.

PartyBhastherighttoobtainallrelevantinformationanddocumentationrelatedtotheGoodsorServicesasagreedinthisAgreement.

2.Obligations

PartyBshallpaytheconsiderationtoPartyAinaccordancewiththepaymenttermsagreedinthisAgreement.

PartyBshallprovidePartyAwithnecessarycooperationandassistanceduringtheperformanceofthecontract,suchasprovidingaccesstorelevantfacilities,data,andpersonnelifrequired.

PartyBshallkeepconfidentialanytradesecretsandconfidentialinformationofPartyAobtainedduringtheperformanceofthisAgreement.

IV.ConsiderationandPaymentTerms

A.Consideration

ThetotalconsiderationfortheGoodsorServicesunderthisAgreementis[amountinfiguresandwords,e.g.,"RMB1,000,000(OnemillionChineseYuan)"].

B.PaymentTerms

1.InitialPayment:PartyBshallpay[percentageoramount,e.g.,30%ofthetotalconsideration,i.e.,RMB300,000]toPartyAwithin[numberofdays,e.g.,5]daysafterthesigningofthisAgreementasaninitialpayment.

2.InterimPayment(ifapplicable):Iftheperformanceofthecontractisdividedintoseveralstages,PartyBshallpay[percentageoramount]toPartyAuponthecompletionofeachstage.Thespecificpaymentamountandtimeforeachstageshallbeasfollows:

V.DeliveryandAcceptance

A.Delivery

1.GoodsDelivery:Ifitisagoodsrelatedcontract,PartyAshalldelivertheGoodstothefollowingplace:[Specifythedeliveryaddress].Thedeliverydateshallbe[dateoratimeframe,e.g.,"within30daysafterthesigningofthisAgreement"].PartyAshallbearallrisksandcostsassociatedwiththedeliveryoftheGoodsuntiltheGoodsaredeliveredtoPartyB.

2.ServiceDelivery:Ifitisaservicerelatedcontract,theServicesshallbecompletedby[date].PartyAshallsubmitawrittennoticeofservicecompletiontoPartyB,andPartyBshallhavetherighttoconductanacceptanceinspectionwithin[numberofdays,e.g.,7]daysafterreceivingthenotice.

B.Acceptance

1.GoodsAcceptance:PartyBshallinspecttheGoodswithin[numberofdays,e.g.,5]daysafterthedelivery.IfPartyBfindsthattheGoodsdonotmeetthequalityrequirementsorthequantityisinconsistentwiththecontract,PartyBshallnotifyPartyAinwritingwithin[numberofdays,e.g.,3]daysaftertheinspection.PartyAshalltakenecessarymeasurestomakecorrectionsorreplacementswithin[numberofdays,e.g.,7]daysafterreceivingthenotice.

2.ServiceAcceptance:PartyBshallconductanacceptanceinspectionoftheServiceswithin[numberofdays,e.g.,10]daysafterthecompletionoftheServices.IfPartyBfindsthattheServicesdonotmeettheagreedstandards,PartyBshallnotifyPartyAinwritingwithin[numberofdays,e.g.,5]daysaftertheinspection.PartyAshallmakecorrectionswithin[numberofdays,e.g.,15]daysafterreceivingthenotice.

VI.Warranty

A.GoodsWarranty

Ifthisisagoodsrelatedcontract,PartyAwarrantsthattheGoodsarefreefromdefectsinmaterialandworkmanshipforaperiodof[warrantyperiod,e.g.,12months]fromthedateofdelivery.Duringthewarrantyperiod,PartyAshall,atitsownexpense,repairorreplaceanydefectiveGoodsorparts.

B.ServiceWarranty

Ifthisisaservicerelatedcontract,PartyAwarrantsthattheServicesshallachievetheexpectedresultsandmeettheagreedstandardsforaperiodof[warrantyperiod,e.g.,6months]afterthecompletionoftheServices.Duringthewarrantyperiod,PartyAshallprovidefreecorrectiveservicesiftheServicesfailtomeettheagreedrequirements.

VII.LiabilityforBreachofContract

A.LiabilityofPartyA

IfPartyAfailstodelivertheGoodsorprovidetheServicesinaccordancewiththetermsofthisAgreement,PartyAshallbeliableforbreachofcontract.PartyAshallpayPartyBaliquidateddamagesof[percentageoramount,e.g.,5%ofthetotalconsideration]foreachdayofdelay.Inaddition,ifPartyA'sbreachofcontractcauseslossestoPartyB,PartyAshallcompensatePartyBforalldirectandindirectlossessufferedthereby.

B.LiabilityofPartyB

IfPartyBfailstopaytheconsiderationinaccordancewiththepaymenttermsofthisAgreement,PartyBshallpayPartyAalatepaymentpenaltyof[percentageoramount,e.g.,0.1%oftheoverdueamount]foreachdayofdelay.IfPartyB'sbreachofcontractcauseslossestoPartyA,PartyBshallcompensatePartyAforalldirectandindirectlossessufferedthereby.

VIII.Confidentiality

Bothpartiesshallkeepconfidentialalltradesecrets,businessinformation,andtechnicalinformationobtainedfromtheotherpartyduringtheperformanceofthisAgreement.Withoutthepriorwrittenconsentoftheotherparty,neitherpartyshalldisclose,use,orallowanythirdpartytousesuchconfidentialinformationforanypurposeotherthantheperformanceofthisAgreement.

IX.ForceMajeure

IfeitherpartyisunabletoperformitsobligationsunderthisAgreementduetoforcemajeureevents,suchasnaturaldisasters,wars,governmentregulations,etc.,theaffectedpartyshallimmediatelynotifytheotherpartyinwritingandproviderelevantproofwithin[numberofdays,e.g.,15]days.Theaffectedpartyshallbeexemptedfromliabilityfornonperformanceordelayedperformanceofitsobligationsduringtheperiodofforcemajeure.However,theaffectedpartyshalltakeallreasonablemeasurestominimizethelossescausedbyforcemajeure.

X.DisputeResolution

AnydisputearisingoutoforinconnectionwiththisAgreementshallbefirstresolv
