2025年德國醫(yī)療設(shè)備租賃合同協(xié)議THISLEASINGAGREEMENT(the"Agreement")ismadeandenteredintoasof[InsertDate],in[InsertCity],Germany,byandbetween:[Lessor'sFullLegalName]havingitsregisteredofficeat[Lessor'sFullAddress],Germany(the"Lessor"),and[Lessee'sFullLegalName]havingitsregisteredofficeat[Lessee'sFullAddress],Germany(the"Lessee").WHEREAS,theLessordesirestoleasecertainmedicalequipment(the"Equipment")totheLessee,andtheLesseedesirestoleasesuchEquipmentfromtheLessorforuseinitsmedicalpractice;NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisescontainedherein,thepartiesagreeasfollows:1.EQUIPMENTTheEquipmentsubjectmatterofthisLeaseisa[SpecifyMedicalEquipmentType,e.g.,DiagnosticImagingMachine,SurgicalRobotSystem]model[SpecifyModelNumber],serialnumber[SpecifySerialNumber],manufacturedby[SpecifyManufacturerName],withthetechnicalspecificationsdetailedinExhibitAattachedheretoandforminganintegralpartofthisAgreement.TheEquipment,asdescribedhereinandinExhibitA,shallbelocatedat[SpecifyDeliveryAddress],GermanyatthecommencementoftheLease.2.LEASETERMTheLeaseTermshallcommenceon[InsertStartDate]andendon[InsertEndDate],aperiodof[CalculateNumber]months.TheEquipmentshallremainthepropertyoftheLessorduringtheentireLeaseTermanduntilreturnedtotheLessorinaccordancewiththetermsofthisAgreement.3.RENTALPAYMENTSTheLesseeshallpayamonthlyrentalfeeof[InsertAmount]Euros(€)[SpecifyifGrossorNet]totheLessorfortheuseandpossessionoftheEquipment.Rentshallbedueonthe[SpecifyDay,e.g.,first]dayofeachmonthbeginningwiththefirstmonthandshallbepaidby[SpecifyPaymentMethod,e.g.,banktransfer]tothebankaccountoftheLessoridentifiedasfollows:BankName:[InsertBankName]AccountNumber:[InsertAccountNumber]IBAN:[InsertIBAN]BIC:[InsertBIC]Latepaymentofanyrentdueshallbesubjecttoalatefeeof[InsertPercentage,e.g.,0.5%]permonthontheoutstandingamount.4.SECURITYDEPOSITAspartialsecurityfortheperformanceoftheLessee'sobligationsunderthisAgreement,theLesseeshallpaytotheLessorasecuritydepositintheamountof[InsertAmount,e.g.,three(3)months]monthlyrent,totaling[CalculateTotalAmount]Euros(€),onorbefore[InsertDate].ThisdepositshallbeheldbytheLessorduringtheLeaseTermfreeofinterest.Thedepositshallbeappliedtowardsanyunpaidrent,damages,orotheramountsowedbytheLesseetotheLessorupontheterminationorearlyterminationofthisAgreement,subjecttotheLessorreturningtheEquipmentinacceptableconditionasdefinedherein.Ifthedepositisinsufficienttocoversuchamounts,theLessorshallbeentitledtoseektheremainingbalancefromtheLessee.TheLessorshallrefundtheremainingbalanceofthedeposittotheLesseewithin[InsertNumber,e.g.,thirty(30)]daysaftertheEquipmentisreturnedandallobligationsoftheLesseeunderthisAgreementhavebeensatisfied.5.DELIVERYANDACCEPTANCETheLessorshalldelivertheEquipmenttotheDeliveryAddressspecifiedinSection1.TheLesseeshallinspecttheEquipmentupondeliveryandshallnotacceptitifitdoesnotconformtothespecificationssetforthhereinandinExhibitA.TheLessee'swrittenacceptanceorfailuretoobjectinwritingwithin[InsertNumber,e.g.,three(3)]daysofdeliveryshallconstituteacceptanceoftheEquipmentdelivered.6.USEANDMAINTENANCETheEquipmentshallbeusedbytheLesseeexclusivelyfor[Specifypermitteduse,e.g.,diagnosticpurposesinamedicalpractice]withinGermany.TheLessorshallberesponsiblefortheprovisionofallroutinemaintenance,scheduledservicing,andnecessaryrepairstoensuretheEquipmentremainssuitableforitsintendedusethroughouttheLeaseTerm,basedonthemanufacturer'srecommendations.TheLessorshallhavetherighttoperformmaintenanceandrepairsattheEquipment'slocation,usingqualifiedtechnicians.TheLesseeshallberesponsibleforthecostofanyrepairsresultingfrommisuse,negligence,orfailuretofollowoperatinginstructions.TheLesseeshallperformroutinecleaningandensuretheEquipmentiskeptinacleanandsanitaryconditionsuitableformedicaluse.Neitherpartyshallmodify,alter,orattempttoalterordestroytheEquipmentwithoutthepriorwrittenconsentoftheotherparty.7.INSURANCETheLessorshallmaintaincomprehensiveinsurancecoveragefortheEquipment,includingdamageinsuranceandliabilityinsurancecoveringthird-partyclaimsarisingfromtheEquipment'suse,forthedurationoftheLeaseTermatitsownexpense.TheLessorshallprovideproofofsuchinsurancetotheLesseeuponrequest.TheLesseeshallobtainandmaintainappropriatebusinessinterruptioninsurancetocoverpotentialrevenuelossduetoEquipmentdowntimeresultingfrommaintenanceorrepairsforwhichtheLessorisresponsible.8.RETURNOFEQUIPMENTUpontheexpirationorterminationofthisAgreement,theLesseeshallreturntheEquipmenttotheLessorinpersonattheDeliveryAddressoranotherlocationdesignatedbytheLessor,inacleanandreasonableconditionconsistentwithnormalwearandtear,butinallrespectssubstantiallythesameaswhendelivered,exceptfornormaldepreciation.ThefinalrentalpaymentandanyoutstandingamountsowedbytheLesseeshallbepaidtotheLessorpriortoorconcurrentwiththereturnoftheEquipment.TheLessorshallinspectthereturnedEquipmentandeitheracceptitbackorchargetheLesseeforanydamagesexceedingnormalwearandtear,whichshallbeduepriortoanyrefundofthesecuritydeposit.TheLesseeshallberesponsibleforallcostsassociatedwiththereturntransportationoftheEquipment.9.RESTRICTIONONASSIGNMENTTheLesseeshallnotassign,transfer,sublease,orotherwisetransferitsrightsorobligationsunderthisAgreementtoanythirdpartywithoutthepriorwrittenconsentoftheLessor.Anyattemptedassignmentwithoutsuchconsentshallbenullandvoid.10.INDEMNIFICATIONEachpartyshallindemnifyandholdharmlesstheotherpartyfromandagainstanyandallclaims,losses,liabilities,damages,andexpenses(includingreasonableattorneys'fees)arisingoutoforrelatedtoanybreachofthisAgreementbytheindemnifyingparty.11.APPLICABLELAWANDDISPUTERESOLUTIONThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheFederalRepublicofGermany,withoutregardtoitsconflictoflawsprinciples.TheUnitedNationsConventiononContractsfortheInternationalSaleofGoods(CISG)shallnotapply.Anydispute,controversy,orclaimarisingoutoforrelatingtothisAgreement,includingitsbreach,termination,orvalidity,shallbefinallysettledbyarbitrationadministeredbythe[SpecifyArbitrationInstitution,e.g.,DeutscheArbitrationAcademy]pursuanttotheRulesofArbitrationofthe[SpecifyInstitution]forarbitrationin[SpecifyCity,e.g.,FrankfurtamMain],Germany.TheTribunalshallconsistof[SpecifyNumber,e.g.,one(1)orthree(3)]arbitrators.ThelanguageofthearbitrationshallbeGerman.ThearbitralawardshallbefinalandbindingonbothpartiesandshallbeexecutedinaccordancewiththelawsofGermany.ThecostsofarbitrationshallbesharedequallybythepartiesunlesstheTribunaldecidesotherwise.12.ENTIREAGREEMENTThisAgreement,includingExhibitA,constitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten.13.AMENDMENTSNoamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbyauthorizedrepresentativesofbothparties.14.NOTICESAllnotices,requests,demands,andothercommunicationshereundershallbeinwritingandshallbedeemedgiven(a)whendeliveredpersonally,(b)uponconfirmationofreceiptwhensentbyemail,or(c)one(1)businessdayafterdepositwithanationallyrecognized
