2025供應(yīng)商合同(中英文)2025SupplierContract(SimplifiedChineseVersion)正文ThisSupplierContract(hereinafterreferredtoasthe"Contract")isenteredintoonthisdayof,2025,byandbetween(hereinafterreferredtoasthe"Supplier"),acompanyincorporatedandregisteredin,withitsprincipalplaceofbusinessat,and(hereinafterreferredtoasthe"Customer"),acompanyincorporatedandregisteredin,withitsprincipalplaceofbusinessat,collectivelyreferredtoasthe"Parties"orindividuallyasa"Party".WHEREAStheSupplierwishestosupplygoods/servicestotheCustomerunderthetermsandconditionssetforthherein;andWHEREAStheCustomerrequiressuchgoods/servicesfromtheSupplieronthetermsandconditionsoutlinedbelow;NOW,THEREFORE,inconsiderationofthemutualcovenantscontainedherein,thePartiesagreeasfollows:第一條定義(Definitions)ForthepurposesofthisContract,thefollowingtermsshallhavethemeaningssetforthbelow:"Goods/Services"referstotheproductsand/orservicestobesuppliedbytheSuppliertotheCustomerasdetailedinExhibitAattachedhereto."PurchaseOrder"meansawrittenorelectronicorderissuedbytheCustomertotheSupplierfortheprocurementofGoods/Services,whichshallbedeemedanintegralpartofthisContractuponmutualexecution."Term"referstotheperiodduringwhichthisContractisvalidandbindingonbothPartiesasspecifiedinArticle2hereof."ConfidentialInformation"meansanynon-public,proprietaryinformationdisclosedbyonePartytotheother,includingbutnotlimitedtobusinessplans,technicaldata,customerlists,financialfigures,andtradesecrets.第二條合同期限(TermofContract)ThisContractshallbeeffectivefromthedateofsignaturebybothPartiesandcontinueforaperiodofyears,unlessterminatedearlierinaccordancewiththetermshereof.UponexpirationofthisContract,thePartiesmayagreetorenewitinwriting;providedthatnorenewalshallexceedtheoriginalscopeormodifytheessentialtermswithoutmutualconsent.第三條采購訂單流程(ProcurementOrderProcess)TheCustomershallissuePurchaseOrdersfromtimetotimeviawritten,electronic,ortelephonicmeans.AllsuchordersshallbedeemedbindinguponbothPartiesonceacceptedbytheSupplier.TheSuppliershallacknowledgereceiptofeachPurchaseOrderwithinbusinessdaysofreceiptandconfirmtheabilitytofulfilltheorderasperthespecifiedterms.第四條交貨與驗收(DeliveryandAcceptance)AllGoods/ServicesshallbedeliveredtotheaddressspecifiedinthisContractorsuchotherlocationasdirectedbytheCustomerinwriting.Deliverytimesareapproximateunlessotherwiseagreeduponinwriting.Upondelivery,theCustomershallinspecttheGoods/ServicesandnotifytheSupplierofanydiscrepancieswithinbusinessdays.FailuretoprovidetimelynoticeshallconstituteacceptanceoftheGoods/Servicesasdelivered.第五條價格與支付方式(PriceandPaymentTerms)ThepricesfortheGoods/ServicesshallbeasspecifiedinExhibitA,subjecttoadjustmentasmutuallyagreeduponbybothPartiesinwriting.InvoicesshallbesubmittedbytheSuppliertotheCustomerwithindaysofdelivery,withpaymentduewithindaysfromthedateofinvoice,unlessotherwisestipulatedinthisContract.第六條質(zhì)量保證(QualityAssurance)TheSupplierwarrantsthatallGoods/ServicesprovidedunderthisContractshallmeetapplicableindustrystandardsandbefreefromdefectsinmaterialandworkmanshipforaperiodofmonthsfromthedateofdelivery.Shouldanydefectariseduringthewarrantyperiod,theSuppliershallpromptlyreplaceorrepairsuchGoods/Servicesatitsownexpense.第七條知識產(chǎn)權(quán)(IntellectualPropertyRights)Allintellectualpropertyrights,includingbutnotlimitedtotrademarks,patents,copyrights,andtradesecrets,relatingtotheGoods/Servicesshallremainwiththerespectiveownerunlessotherwiseagreeduponinwriting.TheCustomerisgrantedanon-exclusive,royalty-freelicensetouseanyproprietaryinformationortechnologyprovidedbytheSuppliersolelyforthepurposesofthisContract.第八條保密條款(Confidentiality)BothPartiesagreetomaintaintheconfidentialityofallConfidentialInformationdisclosedduringthetermanddurationofthisContract.NeitherPartyshalldisclosesuchinformationtoanythirdpartywithoutpriorwrittenconsentfromtheotherParty,exceptasrequiredbyapplicablelawsorregulations.TheobligationsunderthisArticleshallsurvivetheterminationofthisContract.第九條不可抗力(ForceMajeure)NeitherPartyshallbeliableforanyfailureordelayinperformanceduetoeventsbeyonditsreasonablecontrol,includingbutnotlimitedtonaturaldisasters,war,governmentactions,orpandemics.TheaffectedPartyshallpromptlynotifytheotheroftheoccurrenceofaForceMajeureeventandmakereasonableeffortstomitigateitseffects.第十條違約責(zé)任(LiabilityforBreach)ShouldeitherPartyfailtoperformitsobligationsunderthisContract,thenon-breachingPartymayterminatethisContractorseekappropriateremedies,includingbutnotlimitedtodamagesorspecificperformance.InnoeventshalleitherPartybeliableforanyincidental,indirect,special,orconsequentialdamagesarisingoutoforinconnectionwiththisContract.第十一條爭議解決(DisputeResolution)AnydisputesarisingfromorrelatedtothisContractshallfirstberesolvedthrough友好協(xié)商withinthirty(30)daysoftheoccurrenceofthedispute.ShouldthePartiesfailtoresolvethedisputeamicably,itmaybesubmittedtoarbitrationininaccordancewiththeRulesoftheChinaInternationalEconomicandTradeArbitrationCommission(CIETAC),ordirectlybroughtbeforeacompetentcourtoflawasperapplicablejurisdiction.第十二條其他條款(MiscellaneousProvisions)ThisContractconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,representations,orunderstandings,whetheroralorwritten,unlessotherwiseprovidedherein.AnyamendmentsormodificationstothisContractshallbeinwritingandsignedbybothPartiestobeeffective.IfanyprovisionofthisContractisfoundtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.第十三條生效與終止(GoverningLawandTermination)ThisContractshallbegove
