2025年房地產(chǎn)租賃合同范本中英文版ThisLeaseAgreement(以下簡稱“本合同”)ismadeandenteredintoon[Date],[Year],in[Place],byandbetween:Lessor:[FullLegalNameofLessor],withitsregisteredaddressat[RegisteredAddressofLessor]("Landlord"),andTenant:[FullLegalNameofTenant],withitsregisteredaddressat[RegisteredAddressofTenant]("Tenant").1.SubjectMatterofLease1.1TheLandlordherebyleasestotheTenant,andtheTenantherebyrentsfromtheLandlord,thepropertylocatedat[DetailedStreetAddressoftheLeasedProperty],[City],[Province/State],[PostalCode]("theLeasedPremises").1.2TheLeasedPremisesshallincludethebuilding(s),structure(s),land,andallfixtures,fittings,andequipment(ifany)situatedtherein,asmoreparticularlydescribedintheattachedPlan(ifany)andasgenerallyobservedbytheTenantatthetimeofsigningthisAgreement.ThetotalareaoftheLeasedPremisesisapproximately[AreainSquareMeters/SquareFeet][UnitofMeasurement].1.3TheconditionoftheLeasedPremisesatthecommencementoftheLeaseisdescribedas"[DescribeCondition,e.g.,goodcondition,includingexisting裝修andfittings/vacantcondition,Tenanttoberesponsibleforinitialsetupanddecoration]",unlessotherwiseagreedinwriting.1.4TheLandlordrepresentsandwarrantsthatithasgoodandmarketabletitletotheLeasedPremises,andthattheLeasedPremisesarelegallysuitablefortheintendedusebytheTenantunderthisAgreement.TheLandlordshall,upontheTenant'sreasonablerequest,providecopiesofrelevantpropertyownershipdocuments(如房產(chǎn)證/PropertyCertificate).2.LeaseTerm2.1ThisLeaseshallcommenceon[StartDate]andendon[EndDate],inclusive,constitutingatermof[TotalNumberofMonths/Years].2.2SubjecttotheprovisionsofClause6.2,theTenantshallhavetheoptiontorenewthisLeaseforafurthertermof[NumberofMonths/Years]uponexpirationoftheinitialLeaseTerm,providedthattheTenantgivestheLandlordwrittennoticeofitsintentiontorenewnotlaterthan[Number]monthspriortotheexpirationoftheinitialLeaseTerm.Thetermsandconditionsforsuchrenewal,includinganyrevisedrent,shallbemutuallyagreeduponbythepartiesinaseparateRenewalAgreement.3.RentandPayment3.1TheTenantshallpaytotheLandlordamonthlyrentof[AmountinRMB/Currency][CurrencyUnit](the"Rent")fortheuseandpossessionoftheLeasedPremises.3.2TheRentshallbepayableinadvanceonthe[Number,e.g.,first]dayofeachmonthinarrears.Paymentshallbemadeby[PaymentMethod,e.g.,banktransfertotheLandlord'sdesignatedbankaccount].3.3Allpaymentsshallbemadewithoutdeductionorset-offexceptasexpresslyprovidedinthisAgreement.3.4IntheeventofanylatepaymentoftheRent,theTenantshallbeliabletopayalatefeeof[Percentage,e.g.,0.1%]permonthontheoverdueamountuntilpaymentismade.3.5TheLandlordreservestherighttoincreasetheRentuponexpirationofeach[Period,e.g.,one]yeartermoftheLease,providedthattheLandlordgivestheTenantwrittennoticeoftheintendedincreasenotlaterthan[Number]monthspriortotheexpirationoftheterm.Anysuchincreaseshallbereasonableandbasedon[Basis,e.g.,marketrates,inflation].4.SecurityDeposit4.1AspartialsecurityfortheperformanceoftheTenant'sobligationsunderthisAgreement,theTenantshallpaytotheLandlordasecuritydepositintheamountof[AmountinRMB/Currency][CurrencyUnit](the"Deposit")uponsigningthisAgreement.4.2TheDepositshallbeheldbytheLandlordduringthetermoftheLeaseandshallbeusedtooffsetanydamagestotheLeasedPremisescausedbytheTenant,anyunpaidrentorothercharges(includingutilities,propertymanagementfees,etc.)owedbytheTenanttotheLandlord,oranyotheramountsowingunderthisAgreement.4.3UponexpirationofthisLease,providedthattheTenanthaspaidallrentandchargesdueunderthisAgreement,hasreturnedtheLeasedPremisesingoodcondition(reasonablewearandtearexcepted),andhasfulfilledallotherobligations,theLandlordshallrefundthefullDeposittotheTenantwithin[Number,e.g.,30]daysaftertheterminationoftheLease.TheLandlordmaydeductfromtheDepositanyamountsduetoitunderthisAgreement.4.4IftheDepositisheldformorethan[Number,e.g.,60]daysaftertheterminationoftheLease,interestshallbepaidontheoutstandingbalanceatarateof[InterestRate,e.g.,0.5%]perannum.5.UseoftheLeasedPremises5.1TheTenantshallusetheLeasedPremisessolelyfor[IntendedUse,e.g.,residentialpurposes/officepurposes/commercialtrading],andshallnotusethesameforanypurposeinconsistentwithsuchuseorwhichisunlawfuloranuisancetoothers.5.2TheTenantshallnot,withoutthepriorwrittenconsentoftheLandlord,subletalloranypartoftheLeasedPremises(the"Subletting").TheLandlordshallhavetherighttorefuseanyrequestforSublettinginitsabsolutediscretion.IftheLandlordconsentstoSubletting,theoriginalLeaseshallcontinueinfullforceandeffectbetweentheLandlordandtheTenant,andtheTenantshallbefullyresponsibletotheLandlordfortheactionsandobligationsoftheSubtenant.TheTenantshallalsoberesponsibleforensuringtheSubtenantcomplieswiththetermsofthisAgreement.5.3TheTenantshallnotmakeanyalterations,additions,orimprovementstotheLeasedPremiseswithoutthepriorwrittenconsentoftheLandlord.Anysuchalterations,additions,orimprovementsshallbeattheTenant'sownexpenseandshallnotconstituteanypartofthisAgreementunlessexpresslyincludedinaseparatewrittenagreement.6.ResponsibilitiesandExpenses6.1DuringthetermofthisLease,theTenantshallberesponsibleforthefollowingexpensesincurredinconnectionwiththeLeasedPremises:(a)Utilities:Allchargesforelectricity,water,gas,heating,cooling,sewage,wastedisposal,internet,andcabletelevisionservicesusedintheLeasedPremises.(b)PropertyManagementFees:[AmountorBasis]per[Period,e.g.,month]forthemanagementandmaintenanceofthecommonareas(ifapplicable).(c)Taxes:Alltaxesandduties(excludingPropertyTaxpayablebytheLandlord)directlyattributabletotheuseandoccupationoftheLeasedPremises.6.2TheLandlordshallberesponsibleforthepaymentofPropertyTaxrelatedtotheLeasedPremisesandforthemaintenanceandrepairofthestructuralcomponentsandsystemsofthebuilding(s)andthecommonareas(ifany).6.3TheTenantshallberesponsibleforthemaintenanceandrepairofallfixtures,fittings,andequipmentwithintheLeasedPremisesthatareprovidedbytheLandlordorinstalledbytheTenant,andforanydamagecausedtotheLeasedPremisesbytheTenantoritsguests.7.RepairsandMaintenance7.1TheTenantshallkeeptheLeasedPremisescleanandingoodrepair,exceptfornormalwearandtear.7.2TheTenantshallpromptlyreporttotheLandlordanydefectsordamagesintheLeasedPremisesthatariseduringthetermoftheLease,whethercausedbytheLandlordorothers.7.3TheLandlordshall,withinareasonabletimeafterbeingnotifiedbytheTenant,makegoodanynecessaryrepairstotheLeasedPremisescausedbytheLandlord'sdefaultornegligence.TheLandlordshallnotbeliablefornormalwearandtearorfordamagecausedbytheTenantorothers.8.Insurance8.1TheTenantshallobtainandmaintainduringthetermofthisLeasefireinsuranceandliabilityinsurancecoveringitsoperationsandactivitiesintheLeasedPremisesinamountsreasonablysufficienttoprotecttheLandlordandothersfromanylossordamagearisingfromtheTenant'sactivities.8.2TheLandlordshallobtainandmaintainduringthetermofthisLeaseinsurancetocoveritsliabilityfordamagetotheLeasedPremisescausedbyeventsbeyondtheTenant'scontrol.9.DefaultandTermination9.1IfeitherpartycommitsanybreachofthisAgreementwhichisnotcuredwithin[Number,e.g.,30]daysafterreceiptofawrittennoticedemandingperformancefromthedefaultingparty,thenon-breachingpartyshallhavetherighttoterminatethisAgreementbygivingwrittennoticetothedefaultingparty.Upontermination,thedefaultingpartyshallbeliableforalldamagesandlossesincurredbythenon-breachingparty.9.2TheLandlordmayterminatethisAgreementandevicttheTenantiftheTenantfailstopaytheRentoranyotheramountdueunderthisAgreementforaperiodof[Number,e.g.,60]days.9.3TheTenantmayterminatethisAgreementbygiving[Number,e.g.,60]days'writtennoticetotheLandlordiftheLandlordfailstodelivertheLeasedPremisesasagreedoriftheLeasedPremisesbecomesubjecttocompulsoryacquisitionorrequisitionbyagovernmentauthority.9.4NotwithstandinganyotherprovisionofthisAgreement,thisLeasemaybeterminatedbyeitherpartyupontheoccurrenceofForceMajeureasdefinedinClause11.10.Notices10.1Allnotices,requests,demands,andothercommunicationsrequiredorpermittedunderthisAgreementshallbeinwritingandshallbedeemedtohavebeendulygivenwhendeliveredpersonally,sentbyregisteredpost,orsentbyemail(ifbothpartieshaveprovidedavalidemailaddress)totheaddressesspecifiedintheintroductoryclausesofthisAgreementortosuchotheraddressoremailaddressaseitherpartymaydesignateinwriting.11.ForceMajeure11.1"ForceMajeure"meansanyeventbeyondthereasonablecontroloftheparties,includingbutnotlimitedtofire,flood,explosion,earthquake,storm,war,terrorism,riot,civilcommotion,insurrection,strike,lockout,actsofgovernmentorregulatoryagencies,orepidemicdiseases,whichmakesperformanceunderthisAgreementimpossibleorimpracticable.11.2IfanydelayorfailureinperformanceofthisAgreementiscausedbyForceMajeure,theaffectedpartyshallnotbeliableforsuchdelayorfailureandshallpromptlynotifytheotherpartyoftheoccurrenceofForceMajeure.ThetermoftheLeaseshallbeextendedbythedurationoftheForceMajeureevent.IftheForceMajeureconditioncontinuesforacontinuousperiodofmorethan[Number,e.g.,180]days,eitherpartyshallhavetherighttoterminatethisAgreementbygiving[Number,e.g.,30]days'writtennoticetotheotherparty.12.GoverningLawandDisputeResolution12.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina.12.2Anydispute,controversy,orclaimarisingoutoforrelatingtothisAgreement,includingitsbreach,termination,orinvalidity,shallfirstbeattemptedtobesettledamicablythroughnegotiationbetweentheparties.12.3Ifthedisputecannotbesettledthroughnegotiationwithin[Number,e.g.,30]daysfromthedateofthelastattemptatnegotiation,thenon-breachingpartymaysubmitthedisputetothePeople'sCourthavingjurisdictionovertheLeasedPremisesforlitigation.13.EntireAgreement13.1ThisAgreement,includingtheattachments(ifany
