2025年企業(yè)碳認(rèn)證協(xié)議書PartiesThisAgreementisenteredintoon[Date](the"EffectiveDate"),byandbetween:[FullLegalNameofClient],acompanyincorporatedunderthelawsof[Country/Region]withitsprincipalplaceofbusinessat[Address]("Client"),and[FullLegalNameofCertifier],acompanyincorporatedunderthelawsof[Country/Region]withitsprincipalplaceofbusinessat[Address]andcertifiedby[CertificationBodyName]underapprovalnumber[ApprovalNumber]("Certifier").Background/RecitalsWHEREAS,Clientdesirestohaveitsgreenhousegas(GHG)emissionsmeasured,verified,andcertifiedinaccordancewith[SpecifyStandard(s),e.g.,ISO14064-3],andWHEREAS,CertifierisqualifiedandauthorizedtoprovideGHGemissioncertificationservicesinaccordancewith[SpecifyStandard(s)].NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementssetforthherein,thePartiesagreeasfollows:1.ScopeofCertification1.1ClientScope:ThisAgreementcoversthelegalentity[FullLegalNameofClient]operatingat[SpecifyLocation(s),e.g.,Address1,Address2]duringthecalendaryear[SpecifyYear,e.g.,2024].1.2EmissionScope:ThecertificationshallcovergreenhousegasemissionsfromtheClient'sactivitiesincludedwithinthedefinedscope,specifically:1.2.1Scope1:Directemissions(Scope1)arisingfromthecombustionoffuelsownedorcontrolledbyClientatthecoveredlocations,including,butnotlimitedto,emissionsfromboilers,engines,andcompanyvehicles.1.2.2Scope2:Indirectemissions(Scope2)arisingfromtheconsumptionofpurchasedelectricity,steam,heating,andcoolingatthecoveredlocations.1.2.3[Optional]Scope3:Indirectemissions(Scope3)fromselectedvaluechaincategoriesasspecifiedinAppendixA[Ifapplicable,otherwisestate"Scope3emissionsarenotincludedinthiscertification"].1.3TimePeriod:Theemissionscoveredbythiscertificationshallbefortheperiodfrom[StartDateofYear,e.g.,January1,2024]to[EndDateofYear,e.g.,December31,2024](the"CertificationPeriod").1.4SubjectMatter:ThesubjectmatterofthisAgreementistheverificationoftheGHGemissionsdatasubmittedbyClientfortheactivitiesandlocationsspecifiedinClauses1.1to1.3,andtheissuanceofacertificationstatementbyCertifierconfirmingcompliancewith[SpecifyStandard(s)].2.ResponsibilitiesandObligations2.1Client'sResponsibilitiesandObligations:2.1.1ProvideCertifierwithallnecessarydata,information,records,anddocumentsrelatedtothecoveredactivitiesandemissions,including,butnotlimitedto,activitydata(e.g.,fuelconsumption,electricityconsumption),emissionfactors,calculationmethodologies,andmanagementsystemdocumentation,inatimely,accurate,complete,andverifiablemannerasrequestedbyCertifierundertheagreedmethodology[SpecifyStandard(s)].2.1.2CooperatefullywithCertifier'sverificationactivities,includinggrantingaccesstorelevantfacilities,personnel,andrecords,andrespondingpromptlytoCertifier'sinquiries.2.1.3Ensuretheaccuracy,reliability,andcompletenessofallinformationprovidedtoCertifier,andconfirmthatClienthasthenecessaryrightsandpermissionstoprovidesuchinformation.2.1.4Maintaintheconfidentialityofallnon-publicinformationreceivedfromCertifierinconnectionwiththisAgreement.2.1.5PayallfeesandchargesdueunderthisAgreementpromptlyandinaccordancewithClause5.2.1.6NotifyCertifierpromptlyofanysignificantchangesinoperationsoractivitiesthatcouldimpacttheemissionscoveredbythisAgreementafterthestartoftheCertificationPeriod.2.2Certifier'sResponsibilitiesandObligations:2.2.1ConducttheverificationoftheClient'sGHGemissiondatainaccordancewiththerequirementsof[SpecifyStandard(s)]andtheagreedmethodology,applyingprofessionaljudgmentandmaintainingobjectivityandindependence.2.2.2Ensurethecompetenceofpersonnelinvolvedintheverificationprocess.2.2.3Maintainindependenceandavoidanyconflictsofinterestthatmightcompromisetheobjectivityoftheverificationprocess.2.2.4Maintaintheconfidentialityofallnon-publicinformationreceivedfromClientinconnectionwiththisAgreement.2.2.5Prepareaverificationreportincluding,butnotlimitedto,adescriptionoftheverificationmethodology,anevaluationoftheClient'sdataandcalculations,theverificationstatement,andconclusions.2.2.6IssuethefinalverificationreporttoClientaftercompletionoftheverificationprocess,subjecttoClient'sreviewandapprovalofthereportdraft.3.VerificationProcessandMethodology3.1Process:Theverificationprocessshallgenerallyincludethefollowingstages:3.1.1Kick-offmeetingandinformationgathering.3.1.2ReviewofClient'ssubmitteddataanddocumentation.3.1.3Sitevisit(s)foron-siteverification[Ifapplicable].3.1.4Analysisofdataandapplicationofverificationprocedures.3.1.5DraftingoftheverificationreportandsubmissiontoClientforcomments.3.1.6RevisedreportissuanceafterClient'sfeedback[Ifapplicable].3.1.7Finalreportapprovalandsign-off.3.2Methodology:Theverificationshallbeconductedinaccordancewith[SpecifyStandard(s),e.g.,ISO14064-3],usingapplicableemissionfactorsandmethodologies.Thespecificapproachfordatacollection,calculation,uncertaintyanalysis,andverificationtaskswillbedetailedintheverificationreport.4.FeesandPayment4.1Fees:ThetotalfeesfortheverificationservicesprovidedunderthisAgreementshallbe[SpecifyTotalFeeAmount][SpecifyCurrency,e.g.,USD],whichincludes[SpecifyBreakdownifapplicable,e.g.,datareview,sitevisit(s),reportpreparationandissuance].Thisfeeisexclusiveofapplicabletaxesandduties.4.2PaymentTerms:Feesshallbepaidasfollows:4.2.1Aninitialfeeof[SpecifyPercentageorAmount]shallbedueuponexecutionofthisAgreement.4.2.2Theremainingbalanceof[SpecifyPercentageorAmount]shallbeduewithin[SpecifyNumber,e.g.,30]daysaftertheissuanceofthefinalverificationreportbyCertifier.4.3PaymentMethod:PaymentsshallbemadebybanktransfertotheCertifier'sbankaccountdetailsasfollows:[BankName][AccountNumber][AccountHolderName][BankAddress]4.4Taxes:ClientshallberesponsibleforanytaxesanddutiesassociatedwiththefeespaidunderthisAgreement,unlessotherwisespecified.5.VerificationReportandUsage5.1ReportContent:Theverificationreportshallbeissuedin[SpecifyFormat,e.g.,electronicorhardcopy]andshallinclude,butnotbelimitedto,thescopeofverification,thecertificationperiod,thestandard(s)applied,themethodologyused,adescriptionoftheverificationproceduresperformed,anevaluationofthedataandcalculations,theverificationstatement,andconclusions.5.2ReportUsage:TheverificationreportandtheattachedverificationstatementaretheexclusivepropertyofCertifier.Clientisgrantedanon-exclusive,royalty-freelicensetousethereportandstatementsolelyforthepurposeofdemonstratingthecertifiedGHGperformancetothirdparties,providedthatthereportandstatementareusedinwholeandwithoutmodification,andthatCertifier'slogo,name,andapprovalnumberarenotmisrepresented.ClientshallnotusethereportorstatementinanywaythatimpliesadirectorindirectendorsementbyCertifierofanyproducts,services,orclaimsotherthanthespecificverificationofthecoveredemissions.ClientagreesnottoreproduceordistributethereportorstatementinamannerthatcompeteswithornegativelyimpactsCertifier.6.Confidentiality6.1Definition:"ConfidentialInformation"meansanynon-publicinformation,whethertangibleorintangible,disclosedbyonePartytotheotherPartyinwriting,orally,orbyinspectionoftangibleobjects,including,butnotlimitedto,technicaldata,businessplans,financialinformation,clientdata,andCertifier'sproprietarymethodologiesandprocesses,duringthetermofthisAgreementandforaperiodof[SpecifyNumber,e.g.,five]yearsthereafter.6.2Obligations:EachPartyagreestoholdtheConfidentialInformationoftheotherPartyinstrictconfidenceandnottousesuchConfidentialInformationforanypurposeotherthanperformingitsobligationsunderthisAgreement.EachPartyshallrestrictaccesstotheotherParty'sConfidentialInformationtoitsemployees,consultants,andsubcontractorswhohaveaneedtoknowsuchinformationandwhoareboundbyconfidentialityobligationsatleastasstringentasthosesetforthinthisClause6.6.3Exceptions:Theobligationsofconfidentialityshallnotapplytoinformationthat:(a)waspubliclyknownandmadegenerallyavailableinthepublicdomainpriortodisclosurebytheDisclosingParty;(b)becomespubliclyknownandmadegenerallyavailableafterdisclosurebytheDisclosingPartythroughnoactoromissionoftheReceivingParty;(c)isindependentlydevelopedbytheReceivingPartywithoutaccesstotheDisclosingParty'sConfidentialInformation;(d)isobtainedfromathirdpartywithoutbreachofsuchthirdparty'sobligationsofconfidentiality;or(e)isrequiredtobedisclosedbylaworregulationtoagovernmentalauthority.7.Liability7.1LimitationofLiability:Exceptasexpresslysetforthherein,neitherPartyshallbeliabletotheotherPartyforanyindirect,incidental,consequential,special,orpunitivedamages,whetherincontract,tort,orotherwise,arisingoutoforinconnectionwiththisAgreement,includingbutnotlimitedtolossofprofits,lossofdata,orlossofuse,evenifadvisedofthepossibilityofsuchdamages.7.2Certifier'sLiability:Certifier'stotalliabilitytoClientforanybreachofthisAgreementshallbelimitedtothefeespaidbyClientunderthisAgreementforthespecificservice(s)thatwerebreached.7.3Exclusions:ThelimitationssetforthinthisClause7shallnotapplyifaParty'sliabilityiscausedbyitswillfulmisconduct,grossnegligence,orviolationofanyobligationthatismaterialtotheperformanceofthisAgreement.8.GoverningLawandDisputeResolution8.1GoverningLaw:ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina,withoutregardtoitsconflictoflawprinciples.8.2DisputeResolution:Anydispute,controversy,orclaimarisingoutoforrelatingtothisAgreement,includingitsbreach,termination,orinvalidity,shallfirstbeattemptedtobesettledamicablythroughfriendlynegotiationbetweentheParties.Ifthedisputecannotbesettledthroughnegotiationwithin[SpecifyNumber,e.g.,thirty]daysfromthedateofthelatestproposalforsettlement,thedisputeshallbesubmittedtothe[SpecifyArbitrationInstitution,e.g.,ChinaInternationalEconomicandTradeArbitrationCommission(CIETAC)]forarbitration.Thearbitrationshallbeconductedin[SpecifyCity,e.g.,Beijing]inaccordancewiththethen-currentRulesofArbitrationofthe[SpecifyArbitrationInstitution].The仲裁awardshallbefinalandbindinguponbothParties.ThePartiesagreetocomplywithandexecutetheawardinaccordancewiththerelevantlawsofthePeople'sRepublicofChinaandtheNewYorkConventionontheRecognitionandEnforcementofForeignArbitralAwards,ifapplicable.9.TermandTermination9.1Term:ThisAgreementshallcommenceontheEffectiveDateandshallcontinueforthedurationoftheverificationservicesdescribedherein,endingupontheissuanceofthefinalverificationreportforthe[SpecifyYear,e.g.,2024]CertificationPeriod.9.2Termination:ThisAgreementmaybeterminatedbyeitherPartyupon[SpecifyNumber,e.g.,thirty]days'writtennoticetotheotherPartyiftheotherPartybreachesanymaterialtermorconditionofthisAgreementandfailstocuresuchbreachwithinthenotifiedperiod.Upontermination,ClientshallpayalloutstandingfeesandexpensesdueunderthisAgreement,andtheconfidentialityobligationsandanyotherobligationsthatbytheirnaturecontinuebeyondterminationshallremaininfullforceandeffect.10.EntireAgreement10.1MergerClause:ThisAgreement,includingtheSchedule[Ifany],constitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal,betweentheParties.10.2Amendments:Noamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessmadeinwritingandsignedbyauthorizedrepresentativesofbothParties.11.NoticesAllnotices,requests,demands,andothercommunicationsrequiredorpermittedunderthisAgreementshallbeinwritingandshallbedeemedgiven(a)whendeliveredpersonally;(b)uponconfirmationofreceiptwhensentbyemail;or(c)onebusinessdayafterdepositwithanationallyrecognizedovernightcourierserviceordeliverytoaUnitedStatesMailcertifiedorregisteredmailservice,addressedasfollows:ToClient:[LegalAddressofClient]ToCertifier:[LegalAddressofCertifier]12.AssignmentNeitherPartymayassignortransferanyrightsorobligationsunderthisAgreement,inwholeorinpart,withoutthepriorwrittenconsentoftheotherParty.Anyattemptedassignmentwithoutsuchconsentshallbenullandvoid.13.SeverabilityIfanyprovisionofthisAgreementisheldbyacourtofcompetentjurisdictiontobeinvalid,illegal,orunenforceable,suchprovisionshallbeeliminatedorlimitedtotheminimumextentsuchthattheremainingprovisionsoftheAgreementwillcontinueinfullforceandeffect.14.ForceMajeureNeitherPa
