船舶租賃協(xié)議英文范本ThisCharterPartyTime("theCharter")madeon[Date]between[Shipowner'sFullLegalName],of[Shipowner'sRegisteredAddress],MasterandOwnerofthevesselnamed[VesselName](hereinaftercalledthe"Vessel")of[Vessel'sFlagState],and[Charterer'sFullLegalName],of[Charterer'sRegisteredAddress](hereinaftercalledthe"Charterer").1.VesselTheShipownerherebyundertakestoletandhire,andtheChartererherebyundertakestotakeandhire,theVesseldescribedabove,ofwhichtheMasteristhelegalownerandtheShipownertheregisteredowner,tobeusedbytheChartererforthecarriageofgoods(hereinaftercalled"Cargo")betweenanyportorplaceintheworld(beingLawfulPortsandPlaces)designatedbytheChartererinthemannerandonthetermsandconditionssetoutinthisCharter.2.CharterPeriodTheVesselshallbedeliveredtotheChartererat[PortofDelivery],[Country],loadedwithCargoorreadytoloadCargothereon,onorabout[DeliveryDate],andshallremainatthedisposaloftheChartererforthepurposeofthevoyageorvoyageshereinaftersetoutforaperiodof[Number]consecutivedaysfromthetimeofdelivery,oruntil[TerminationCondition,ifapplicable],whicheveroccursfirst(hereinaftercalledthe"CharterPeriod").3.BaseFare/CharterHireTheCharterershallpaytotheShipownerCharterHireattherateof[Amount]perdayper[UnitofMeasurement,e.g.,deadweightton(DWT)]fortheentireCharterPeriod,calculatedonthebasisoftheVessel'sactualnettonnageof[Number]nettons,basedonthelatestvalidclassificationcertificate(s).CharterHireshallbepayablein[Currency]withoutdeductionorset-offofanysumswhatsover.4.BunkerAdjustmentFactor(BAF)TheCharterHireshallbeadjustedbyaBunkerAdjustmentFactor(BAF)basedonthe[SpecifyBAFMethod,e.g.,dailyassessmentbasedontherelevantBDOIndex]asmaybedeterminedbytheShipownerfromtimetotimeduringtheCharterPeriod.5.RunningExpensesTheCharterershallbesolelyresponsibleforallrunningexpensesofeverykindandnatureconnectedwiththeoperation,keeping,repair,andmaintenanceoftheVesselandherCrewduringtheCharterPeriod,includingbutnotlimitedto:a)AllfuelconsumedbytheVessel'smainandauxiliaryengines(Bunkers),irrespectiveofthesourcefromwhichthesameisprocured,whetherpaidforbytheShipownerortheCharterer;b)Allwharfage,portdues,pilotage,lightdues,canaltolls,andotherchargespayableatanyportorplacewheretheVesselisberthed,lyingatanchor,orengagedinloadingordischargingCargo;c)Allchargesincurredinconnectionwiththeloading,discharging,andstowageofCargo;d)Crewwages,salaries,allowances,andalllivingexpensesfortheCrew,includingprovisions,clothing,andmedicalexpenses;e)InsurancefortheVessel'sHull,Machinery,andEquipment,includingbutnotlimitedtothecostofinsuranceagainstperilsoftheseas,碰撞險(xiǎn)(CollisionRisk),P&Iinsuranceasper[SpecifyInstituteClubsandConditions],andanyotherinsurancerequiredbytheclassificationsocietyorlawsandregulationsoftheportstates;f)ClassificationSocietyfeesandsurveyfees;g)Allcommunicationcharges,radioandtelegraphservices;h)Salariesandwagesofanysurveyors,agents,orsuperintendentsengagedbytheCharterer;i)Tonnagedues,lightshipdues,andotherlikepayments;j)Allcostsandexpensesincurredinconnectionwithanysalvageoperation;k)RepairstotheVessel'shull,machinery,andequipment,notincludingrepairsnecessitatedbynormalwearandtearorneglectonthepartoftheChartererorhisagents;l)Portreceptionfacilitiescharges;m)AnyadditionalexpensesreasonablyincurredbytheShipownerforthepurposeofperforminghisobligationsunderthisCharter.TheShipownershallberesponsibleforallfixedrunningexpenses,includingbutnotlimitedto:Master'sandOfficers'wagesandallowances;insuranceforliabilityinrespectoftheVessel'soperation(otherthanHullandMachineryasmentionedabove);shipowner'sshareofportreceptionfacilitiescharges;feesforship'sagents;classificationsocietyfeesrelatedtomaintenance;andanyotherexpensesagreedtobebornebytheShipowner.6.DemurrageandDetentionDemurrageshallbechargedattherateof[Amount]perdayforeachcalendardaythattheVesselremainsloadedattheplaceofloading,orunladenattheplaceofdischarge,beyondthefreetimeallowedunderthisCharter.Detentionshallbechargedattherateof[Amount]perdayforeachcalendardaythattheVesselremainsattheplaceofdischarge,withintheportlimits,beyondthefreetimeallowedunderthisCharter.Freetimeshallbe[Number,e.g.,60]calendardaysattheplaceofloadingand[Number,e.g.,40]calendardaysattheplaceofdischarge,calculatedfromthetimetheVesselisreadytoloadordischargerespectively.DemurrageandDetentionshallbepayablebytheCharterer.7.CrewTheVesselshallbecrewedbyaproperandsufficientnumberofqualifiedSeamenaspertherequirementsofthehighestapplicableclassificationcertificate(s).TheShipownershallberesponsibleforpayingallwages,salaries,allowances,andlivingexpenses(includingprovisions,clothing,andmedicalexpenses)duetotheCrewduringtheCharterPeriod.TheCharterershallberesponsibleforprovidingallprovisionsfortheCrewatstandardqualityandquantityattheCharterer'sexpense.TheCharterershallbesolelyresponsibleforthedisciplineandcontroloftheCrewduringtheCharterPeriod.8.CareandMaintenanceTheVesselshallbekeptattheCharterer'sriskandexpenseduringtheCharterPeriodinthesamegoodstateandcondition,fairwearandtearexcepted,inwhichsheisdelivered.TheCharterershallensuretheVesselremainsfullycompliantwithallapplicableinternationalandlocallawsandregulationsatalltimes.9.WarandStrikesThisChartershallbedeemedtoincludetheWarandStrikesClausesintheLondonMaritimeAssembly'sStandardFormofCharterPartyTime,dated[Date],asamendedfromtimetotime(the"WASClauses"),unlessotherwiseexplicitlyagreedinwriting.TheWASClausesgoverntherightsandobligationsofthePartiesintheeventofwar,civilwar,rebellion,revolution,insurrection,terrorism,actofnuclearweapons,embargoes,expropriationorrequisitionbygovernment,orstrikes(includinglockouts).10.MutualityofObligationsTheobligationsimposedupontheChartererbythisCharteraremutualandcoextensivewiththeobligationsimposedupontheShipowner.EachParty'sobligationsariseconcurrentlyandarebindingupontheotherPartysimultaneously.11.CollisionLiabilityEachPartyshallbeentirelyresponsibleforanyloss,damage,orliabilityincurredbytheotherPartyresultingfromthecollisionoftheVesselwithanyothervesselorobject,unlesssuchloss,damage,orliabilityisattributabletothenegligenceorotherwrongfulactofthePartyagainstwhomtheclaimismade.EachPartyshallberesponsibleforsecuringandmaintainingadequateinsurancecoverage(suchasP&Iinsurance)tocoveritsrespectiveliabilitiesunderthisprovision.12.SalvageAnysalvagerecoveriesarisingfromsalvagingtheVesselorhercargoshallbedistributedinaccordancewiththerelevantinternationalsalvagelawsandconventions,afterdeductingsalvagecharges.13.IndemnityTheCharterershallindemnifyandholdharmlesstheShipowner,itsemployees,agents,andservantsfromandagainstalllosses,damages,liabilities,costs,andexpenses(includingreasonablelegalfees)incurredbytheShipownerarisingfromorinconnectionwith:a)Anyclaim,demand,suit,action,orproceedingbroughtbyanythirdpartyagainsttheShipownerinrespectofanyloss,damage,orinjurytothethirdpartyortheirpropertyarisingfromtheCharterer'suseoroperationoftheVessel;b)Thenegligence,misconduct,orwilfulactoftheChartereroritsemployees,agents,orservantsinconnectionwiththeloading,discharging,orhandlingofCargoortheoperationoftheVessel;c)AnybreachbytheChartererofanyprovisionofthisCharter.TheShipownershallsimilarlyindemnifyandholdharmlesstheChartereragainstsimilarlosses,damages,liabilities,costs,andexpensesincurredbytheChartererarisingfromorinconnectionwiththeVessel'sconditionorthenegligenceormisconductoftheShipowner'semployees,agents,orservants.14.BailmentTheVesselishiredbytheChartererforthepurposeoftheCharter.TheCharterershallbedeemedthebaileeoftheVesselforthedurationoftheCharterPeriodandshallexercisereasonablecareforthesafecustodyandkeepingoftheVesselandshallnotdoanythingwhichshallormaytendtoprejudicetheShipowner'stitleoranyrightortitlewhichtheShipownermayhaveinortotheVessel.15.ContractofAffreightment(ifapplicable)[InsertspecificVGForNVGFtermsifapplicable,detailingthevoyage(s)tobeperformed,thecargodescription,loadinganddischargeports,freightpaymentterms,etc.]16.WarrantyTheShipownerwarrantsthatitisthelegalowneroftheVesselandhasthefullrightandauthoritytoletandhiretheVesselunderthisCharter.TheVesselisatthetimeofdeliveryfitandsuitableforthepurposeforwhichitisletorhired,beingofthecharacterandqualitydescribed,andpossessesavalidclassificationcertificate(s)inrespectofherhullandmachineryasper[SpecifyClassandSurveyor].TheChartererwarrantsithasthefullrightandauthoritytotakeandhiretheVesselandtoperformitsobligationsunderthisCharter.17.NoticesAllnotices,requests,demands,andothercommunicationsrequiredorpermittedhereundershallbeinwritingandshallbedeemedtohavebeendulygivenwhendeliveredpersonally,sentbyregisteredpost,airmail,courier,oremailtotheaddressspecifiedintheParties'namesatthebeginningofthisCharterortosuchotheraddressaseitherPartymaydesignateinwriting.18.LawandJurisdictionThisChartershallbegovernedbyandconstruedinaccordancewiththelawsof[SpecifyJurisdiction,e.g.,EnglandandWales]withoutregardtoitsconflictoflawsprinciples.Anydispute,controversy,orclaimarisingoutoforrelatingtothisCharter,includinganyquestionregardingitsexistence,validity,ortermination,shallbereferredtoandfinallyresolvedbyarbitrationadministeredbytheLondonMaritimeArbitratorsAssociation("LMA")inaccordancewiththeLMAArbitrationRulesinforceatthetimeoftheinstitutionoftheproceedings.TheplaceofarbitrationshallbeLondon,UK.TheTribunalshallconsistof[Specifynumber,e.g.,oneorthree]arbitrator(s)appointedinaccordancewiththeLMARules.19.SeverabilityIfanyprovisionofthisCharterisheldbyacourtorarbitrationtribunaltobeinvalid,illegal,orunenforceable,suchinvalidity,illegality,orunenforceabilityshallnotaffectanyotherprovisionhereof,andthisChartershallbeconstruedasifsuchinvalid,illegal,orunenforceableprovisionhadneverbeenincludedherein.20.EntireAgreementThisCharterconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings,whetheroralorwritten,betweenthePartiesrelatingtothesubjectmatterofthisCh
