1、派遣員工勞務(wù)合同OUTSOURCING CONTRACT OF EMPLOYMENT()字第號甲方:Party A:法定代表人:Legal Represe ntative:地址:Address乙方:Party B:法定代表人:Legal Represe ntative:地址:Address :甲乙雙方按照中華人民共和國有關(guān)法律,根據(jù)平等互利原則,經(jīng)友好協(xié) 商,就甲方向乙方派遣員工事宜達成如下協(xié)議:Accord ing to Chin ese releva nt laws, and in con sideratio n of the mutual cove nants and agreeme n

2、ts contained here in, the parties hereby reachthe following contract concerning outsourced employee:第一章 派遣與借用CHAPTERONEOUTRESORCING AND BORROWING第一條 派遣系指甲方按照本合同約定,將與甲方建立勞動關(guān)系的人員派 往乙方工 作的行為。Article 1 For the purpose of this Contract, Outsourcing means Party A dispatchesits employee who has employment

3、relation with itself to work for Party B. 第二條 借用系指乙方按照本合同約定,從甲方借調(diào)人員到乙方工作的行 為。Article 2For the purpose of this Contract, Borrowing means Party B borrows, subject to the terms and conditions contained herein,the employeewho hasemployment relation with Party A to work for Party B.第三條 甲方根據(jù)乙方的要求向乙方派遣員工,乙

4、方須按照約定向甲方支 付借用費。Article 3 At the request of Party B, Party A dispatches its employees towork for Party B; and, Party B shall pay Party A the relevant borrowing feesaccordingly.第四條 員工與甲方為勞動關(guān)系,與乙方為勞務(wù)關(guān)系。員工的工作地點、 崗位、方式由乙方根據(jù)業(yè)務(wù)需要確定。Article 4 The relation between the Employee who is concerned in thisContra

5、ct and Party A belongs to employment relation; and the relation betweenthe aforementioned Employee and Party B belongs to labor service relation.The working venue, position and working method of the Employee will bedetermined by Party B based on its business.第五條 借用費系指乙方借用甲方員工的費用,包括:Article 5 The“ Bo

6、rrowing Fees ” means the payment that Party Bshall maketo Party A, which includes:(一) 支付員工的工資。(1) The wages of the Employee.(二) 支付員工的社會保險、住房公積金費用。(2) The social insurance premiums and housing fund of the Employee.(三) 甲方為派遣員工提供商業(yè)保險、福利的費用。(3) Other commercial insurance and welfares that Party A offers

7、 to theEmployee.。5% (四)甲方對派遣員工的管理、經(jīng)營成本,該費用所占比例不少于借用費的(4) The man ageme nt cost and operati on cost of the outsourcedEmployeethat Party A spends, which is not less than 5%of the total Borrowing Fees.(五)承擔企業(yè)稅收等費用。(5) Taxes and other expe nses that Party A bears.甲方派遣人員的姓名;第六條.聘用職務(wù)及工作內(nèi)容借用期限年,自2012年 月曰至2

8、0 年 月曰止;.借用工作地占八、Article 6 The Name of the outsourcedEmployee;Worki ng Positi on & Worki ngConten ts;toBorrow ing Period,Comme ncing fromWorki ngVenue第二章 甲方的義務(wù)與權(quán)利CHAPTERTWORIGHTS AND OBLIGATIONS OF PARTY A第七條甲方承擔下列義務(wù):Article 7 Party A shall assume the following obligations:(一)根據(jù)乙方的要求推薦人選,與乙方?jīng)Q定借用

9、的人員或乙方直接選 定的人員簽訂派遣員工勞動合同。 to recomme ndthe can didates at the request of Party B, and signsemployme nt con tract with the pers on who Party B decides to borrowor directly chooses.(二)教育派遣員工遵守中華人民共和國法律、法規(guī)和規(guī)章。(2)to educate the outsourced employee to observe the laws, decrees and releva nt regulati ons

10、en acted by the Chin ese gover nment.(三)教育派遣員工遵守乙方的工作制度,保守乙方的商業(yè)秘密。(3)to educate the outsourced employee to observe the work ing systemand policies of Party B, and keep the bus in ess secrets of PartyB in con fide ntial.(四)從借用費中支付派遣員工的工資和應(yīng)得收入(4) to pay the Employee wages and other remunerations he de

11、serves from the borrowing fees.(五) 在乙方支付借用費后,依法承擔派遣員工的社會保險、住房公積金 及福利費用,其中福利及醫(yī)療保險部分內(nèi)容的具體實施按照本合同及其附 件條款、甲方有關(guān)派遣員工福利待遇、醫(yī)療費用報銷的規(guī)定執(zhí)行。(5) Shall pay the social insurance, housing fund and other welfares for the Employee according to the relevant laws after it receives the borrowing fees from Party B. The st

12、andards of the aforementioned contents will be subject to the terms and conditions of this contract and its appendixes, as well as the relevant rules and policies of Party A in relation with the welfares and reimbursement of medical treatment fees.(六) 為派遣員工提供雙方確定的服務(wù)內(nèi)容。(6) to provide other services w

13、hich are agreed by two parties.(七) 聽取乙方意見和建議,不斷改進工作。(7) to accept the advices and suggestions provided by Party B, and improve its work accordingly.第八條 甲方享有如下權(quán)利:Article 8 Party A shall enjoy the following rights:(一) 如遇特殊情況,甲乙雙方不能達成一致意見時,甲方有權(quán)撤回派遣 員工和解除本合同,但應(yīng)提前 30 天以書面形式通知乙方和派遣員工(派遣員工在試用期內(nèi)除外) ,同時甲方按下列

14、方式向乙方一次性支付補償費:派遣員工被派遣時間每滿一年,補償費為一個月的借用費,不足一年 的部分按一年計算。補償費以派遣員工被撤回當月的借用費為計算標準。(1) In case in some special situations when two parties cannot reachan agreement, Party A shall have the right to recall its outsourced employee, but a 30 days' prior written notice shall be made by Party A (except the

15、outsourced employee is in the probation period), and shall be sent to Party B and the outsourced employee. Besides, Party A shall pay Party B compensation according to the following way.The compensation payment shall be made based on the working time of the outsourced employee, which shall be one mo

16、nth's borrowing fee for each full year worked. Any period of not less than one year shall be counted as one year. The standard of compensation fee shall be the borrowing fee of the same month when the outsourced employee is recalled.(二) 甲方有權(quán)對乙方違反本合同有關(guān)條款或損害派遣員工合法權(quán)益的 行為提出書面意見,進行交涉。乙方應(yīng)在收到甲方書面意見后六個工

17、作日 內(nèi),以書面形式回復甲方。(2) Party A is entitled to bring forward its opinions in written whenParty B violates this Con tract or damages the legal rights of the outsourced employee. And Party B shall reply in written withinsix (6) working days after it receives the aforeme nti oned writte n no tice made by Pa

18、rty A.(三) 乙方若無故拖欠派遣員工的工資或借用費,甲方可隨時無條件解除 本合同,并向乙方追索所欠費用。(3) Party A is en titled to termi nate this con tract at any time forno reason, and claim for compensation from Party B, if Party B fails to pay the outsourced employee's wages, or fails to pay the borrow ing fees.(四) 派遣員工若侵害了乙方的合法權(quán)益,甲方可協(xié)助乙方

19、追究員工的相 關(guān)責任。(4) Party A may offer assistance to Party B in asking the outsourced employee to take his liabilities, if the outsourced employee damages the legal rights of Party B.乙方的義務(wù)與權(quán)利第三章CHAPTER THREE THE OBLIGATIONS AND RIGHTS OF PARTY B第九條乙方承擔下列義務(wù):Article 9 Party B shall assume the following obli

20、gations:一)尊重派遣員工不同的民族習慣和宗教信抑,不歧視派遣員工(1) to respect the custom, religion and belief of the outsourced employee, and not to make any discrimination.(二)為派遣員工提供符合中國政府有關(guān)勞動保護規(guī)定的工作場所和條 件,確定其工作崗位和工作內(nèi)容,并依法為派遣員工提供各項社會保險及 住房公積金費用。否則,產(chǎn)生的后果由乙方自行承擔。(2) shall provide the outsourced Employee with necessary working

21、condition which is in accordance with the relevant statutes in relate to labor protection, and clarify the working position and job description to the outsourced employee. Also, Party B shall pay the social insurance premiumsand housing fund for the outsourced employee. Otherwise, Party B will be re

22、sponsible for the results arising therefrom.(三)實行每天工作不超過 8 小時,每周工作不超過 40 小時的標準 工時制, 如遇特殊情況需派遣員工延長工作時間, 乙方須依法支付加班費。(3) Party B practices the standard working hour system under which the employees shall work for no more than eight hours a day and no more than 40 hours a week. In case of special situat

23、ion when Party B has to extend working hour, it shall pay the outsourced employee overtime pay.(四) 為派遣員工提供差旅等補貼,具體數(shù)額由乙方?jīng)Q定。(4) shall provide the outsourced employee travelling allowance and other benefits, the amount of the aforementioned allowance and benefits will be determined by Party B.(五) 保證派遣員

24、工的法定節(jié)假日休息。為借用滿一年以上(含一年) 的員工每年安排一次帶薪休假,具體休假天數(shù)按乙方的規(guī)定執(zhí)行。(5) Shall guarantee that the outsourced employee can get rest and leave during the legal holidays. Shall also arrange one paid holiday for the outsourced employee whose borrowing period is on and over one year. How long the leave with pay of the o

25、utsourced employee is will be based on the regulations of Party B.(六) 按照國家標準享受醫(yī)療期及醫(yī)療期內(nèi)的病假工資和疾病救濟費。 (6) shall guarantee that the outsourced employee is entitled to have medical treatment period, and to receive sick wages and disease remedy during his medical treatment period.本條所列第(三) 、(四)、(五)項內(nèi)容,乙方可以

26、規(guī)章制度的形式作具體 規(guī)定,也可與派遣員工以協(xié)議的形式作具體約定。只要不違反國家法律、 法規(guī),且送甲方備案,應(yīng)以規(guī)章制度和協(xié)議為準。The contents stipulated in Clause (3), (4) and (5) contained in this Article,can be determined by Party B and embodied in its Rules and Regulations of the Company, or is formed by another agreement reached and signedbetwee n the outso

27、urced Employee and Part B. Such Rules and Regulatio ns ofPartyB or agreeme nt shall prevail, as long as they do not violate any laws,decrees or regulati ons of the state, and, has bee n already sent toPartyA for record.乙方享有如下權(quán)利:第十條Article 10 Party B shall have the followi ng rights:(一)對決定借用的員工可以規(guī)定試用

28、期,試用期限應(yīng)根據(jù)借用期限確定:1 借用期在6個月以下的,試用期不超過15日;2 借用期在6個月以上1年以下的,試用期不超過 30日;3 借用期在1年以上3年以下的,試用期不超過 60日;4 借用期在3年以上的,試用期最長不超過6個月。試用期內(nèi),乙方對不符合要求者,有權(quán)終止試用,但應(yīng)支付試用期的借用費(含社會保險及住房公積金費用)。試用期滿,所派遣員工自動轉(zhuǎn)為 正式派遣員工,其借用期自試用之日起計算。(1)may decide the probation period of the outsourced employee based on the borrowing period:a. Whe

29、re the borrowing period of the outsourced employee islessthan six (6) months, the probation period may not exceed 15 daysb. Where the borrowing period of the outsourced employee is morethan six (6) months but less than one year, the probation periodmay not exceed 30 days;c. Where the borrowing perio

30、d of the outsourced employee is morethan one year but less than three years, the probation period maynot exceed 60 days;d. Where the borrowing period of the outsourced employee is more than three years, the probation period may not exceed six months. 試用期內(nèi),乙方對不符合要求者,有權(quán)終止試用,但應(yīng)支付試用期的借用 費(含社會保險及住房公積金費用)

31、 。試用期滿,所派遣員工自動轉(zhuǎn)為正 式派遣員工,其借用期自試用之日起計算。Party B may terminate this contract during the probation period, howeverit shall pay the borrowing fees during the probation period(including socialinsurance premiums and housing fund). The outsourced employee will automatically become regular outsourced employee

32、 after his probation is over, and The start time of the borrowing period shall be the start timeof theprobation period.(二)在借用期內(nèi),有解除派遣員工和解除本合同的權(quán)利,但應(yīng)提前 30 天以書面形式通知甲方和派遣員工(派遣員工在試用期內(nèi)除外) ,同時按 下列方式向甲方一次性支付補償費:派遣員工借用時間每滿一年,補償費為一個月的借用費,不足一年的部分按一年計算。補償費以派遣員工被退回甲方當月的借用費為計算標準。 補償費中包含派遣員工被解除勞動合同的經(jīng)濟補償金。(2)during

33、 the borrowing period, Party B is entitled to dismisstheoutsourced employee and terminate this contract, however, it shall makea 30 days' prior written notice to inform Party A and the outsourced employee, except otherwise the outsourced employee is in his probationperiod. In the meanwhile, Part

34、y B shall pay Party A the compensation feein one lump sum according to the following ways:The compensation fee shall be paid based on borrowing time at therate ofone month's wage for each full year. Any period of not less thanone year shall be counted as one year. The standard of compensation fe

35、e shall be theborrowing fee of the same month when the outsourced employee is returnedto Party A. The compensation fee shall includes the severance payof the outsourced employee who is sent back by Party B.(三) 如派遣員工因違反中國法律、法規(guī)和嚴重違反乙方規(guī)定(此規(guī)定對 派遣員工和甲方應(yīng)該是公開的)被解除借用,乙方經(jīng)征求甲方意見后可隨 時通知甲方和派遣員工,并可不支付補償費。(3) If

36、the outsourced employee is returned by Party B, by virtue ofviolating the Chinese laws, decrees and seriously violating the rules and regulations (which shall be public for the employee himself and Party A), after checks the opinion of Party A, Party B may inform the employee himself and Party A abo

37、ut its decision at anytime and without any compensation.(四) 可與派遣員工另行簽訂個人協(xié)議作為甲方與派遣員工勞動合同的 附件送甲方備案,但該協(xié)議不得違反中華人民共和國的有關(guān)法律、法規(guī)和 本合同內(nèi)容。(4) May sign the individual agreement with the outsourced employee ,and send one copy to Party A for record. However, such agreeme ntshall not violate a man datory provisi

38、ons of any law,administrative regulation, or terms and conditions of this con tract.(五) 乙方有權(quán)對甲方違反本合同有關(guān)條款的行為提出書面意見,并進 行交涉。甲方應(yīng)在收到乙方書面意見后六個工作日內(nèi),以書面形式回復乙 方。(5) Party B is entitled to make written advices when Party A violatesthe terms and con diti ons of this con tract, and make furthern egotiati ons.Pa

39、rty A shall reply Party B in writte n within six (6) work ing daysafterit receives the no tice made by Party B.第四章費用及其結(jié)算CHAPTER FOUR THE EXPENSES AND TERM OF PAY MENT借用費為每月人民幣第十條元。Article 11 Borrow ing Fees is RMB乙方須于當月 20 第十二條日前向甲方支付月借用費、補償費和年終附加 的工資(乙方直接支付派遣員工工資的,須于當月底前向甲方支付借用費 的其它部分),加付滯付 1%天按 10

40、 日支付派遣員工工資。 以上費用每逾期 6 甲方收到后,于次月金。逾期 30 天的,甲方可視情況提出索要違約金 元,并解除或終止本合同,且不屬違約行為,雙方辦理相應(yīng)手續(xù)。Article 12 Party B shall pay the monthly borrowing fee, compensation feeth and additional year-end bonus before 20 of each month (if theoutsourcedemployees is paid by Party B directly, then Party B just needs payPar

41、tyA the balance amount of the borrowing fees). After receiving the payment,th of the before 6following month. outsourced Party A shall pay the employeeIn case that Party B delays payment, Party A is entitled to collect thesurcharge at the rate of 1% of the amount due for every 10 days delayed.When t

42、he days overdue exceeds 30 days, then Party A is entitled to claimfor RMBas breach of con tracts from Party B based on the specificsituatio n, and term in ates this con tract or can cels this con tractin themean time. And such acti ons shall not be con strued as breach ofcon tracts.Besides, two part

44、ays: Mon thly wage寧 21.75 days 寧 8 hrs Xactual overtimeX 200%法定節(jié)假日加班費二月工資+ 21.75天+ 8小時X實際加班時間X 300%Overtime on legal public holidays: Mon thly wage寧 21.75 days 寧8 hrs X actual overtime X 300%第五章 爭議與仲裁CHAPTER FIVE DISPUTES AND ARBITRATION第十四條 在本合同履行過程中,甲乙雙方如發(fā)生爭議,應(yīng)通過友好協(xié)商 解決。經(jīng) 協(xié)商后仍不能解決的,可提交有管轄權(quán)的人民法院處理。

45、 Article 14 Any disputesin connection with this Contract or theexecutionthereof shall be amicably settled through negotiations In case no settlementcan be reached between the two Parties,it shall be submitted tothe courtwhich has the jurisdiction to file a litigation.第十五條 甲方(或乙方)與派遣員工因本合同中有關(guān)勞動紀律約定、員

46、 工工資、保險等勞動權(quán)利和義務(wù)的內(nèi)容發(fā)生勞動爭議,并提起勞動爭議仲 裁時,如爭議的處理結(jié)果與乙方(或甲方)有利害關(guān)系,乙方有參加仲裁 活動的權(quán)利和義務(wù)。Article 15 If there is any dispute happens between the outsourced employee andParty A (or Party B) in relate to the provisions stated in this contractconcerning employment disciplines, wages, social insurance, the rights and

47、obligations of the outsourced employee, and results in laborarbitrationfin ally .In case that the outcome of such arbitratio n may havein terests withano ther party, ano ther party shall have the right and obligati onto participatein the aforementioned arbitration.第六章其它CHAPTER SIXMISCELLANEOUS甲方為派遣員工提供的服務(wù)內(nèi)容在附件2第十六條中約定,附件2為本合同不可分割的組成部分。Article 16 The services that Party A provides to outsourcedemployee arestipulated in Appe ndix 2, which is an in tegral part of this Con tract.第十七條 本合同未盡事宜,國家有規(guī)定的按國家規(guī)定辦理,國家無規(guī)定 的由甲乙雙方
