-10-AircraftTime-ShareAgreement飛機(jī)時(shí)間共享協(xié)議核心提示：THISAIRCRAFTTIMESHAREAGREEMENTismadeandenteredasof_________,_________(M,Y),betweenAAA,LLC,a_________limitedliabilitycompany(Operator),withofficesat_________(ADDRESS)and_________(ADDRESS)(User),withanaddressof_________THISAIRCRAFTTIMESHAREAGREEMENTismadeandenteredasof_________,_________(M,Y),betweenAAA,LLC,a_________limitedliabilitycompany(Operator),withofficesat_________(ADDRESS)and_________(ADDRESS)(User),withanaddressof_________.PRELIMINARYSTATEMENT.OperatoragreestoprovideaircrafttoUseronatimesharingbasisunderFederalAviationRegulation(FAR)sections91.501(b)(6)and(c)(1)(theAircraft)andUseragreestopayforsuchusageuponthetermsherein.TheAircraftpresentlyownedorleasedbyOperatorandavailableforUser’susearelistedontheattachedScheduleA.ThisAgreementdoesnotprohibitOperator,initsdiscretion,fromincreasingordecreasingthenumberortypeofAircraftsubjecttothisAgreement.NOW,THEREFORE,inconsiderationofthepromises,andforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,OperatorandUseragreeasfollows:1.Consideration.OperatorshallincurandpayallcostsandexpensesassociatedwithoperationoftheAircraft,includingallfuel,oilandothersuppliesnecessaryforAircraftuseandmaintenance,allairportcharges,landingandtiedownfees,andallpilots’livingexpenses,foodandtransportationwhenanAircraftisrequiredbyUsertobeawayfromitshomebaseofoperation.UsershallreimburseOperatorforthecostsoffuelandpilotexpensesatafixedratedeterminedbyOperatortobereasonablyallocabletoUser’suseoftheAircraftpursuanthereto.However,suchshareofallocablecostsshallnotinanyeventexceedthecostspermittedtobechargedbyOperatortoUserpursuanttoSection91.501(d)oftheFederalAviationRegulations,oranysuccessororreplacementregulations.OperatorwillinvoiceUserforexpensesasincurredandpermissibleunderFARSEC.91.501whichwillbedueuponreceipt.PaymentofreimbursementshallbemadeinfulltoOperatorat_________(ADDRESS),orasotherwiseagreedbytheparties.2.Taxes.TheamountspaidbyUserunderSection91.501(d)forTime-SharingagreementsaresubjecttoaFederalExcisetaxasimposedunderI.R.C.SEC.4261.ItistheresponsibilityofOperatortocollectandremitthetaxontheamountspaid.TheOperatorisresponsibleforthecollectionandpaymentofallotherStateorFederaltaxesthatmayariseunderthisagreement.3.OperationalControl.OperatorshallatalltimesduringtheuseoftheAircraftbytheUserberesponsibleforandretainfullandcompleteoperationalcontroloftheAircraft.Operatorisresponsibleforprovidingthecrew,thephysicalandtechnicaloperationoftheAircraft,andthesafeperformanceofallflights.OperatorwillfurnishtwoexperiencedandcompetentpilotssatisfactorytotheUseronalloccasionswhenanyAircraftisinuse.SuchpilotsshallbeunderthedirectionandcontrolofOperatoratalltimes.OneofsuchpilotsshallbethecaptainoftheAircraftandatalltimesshallhavefullcontrolofitsoperations,andthejudgmentofsuchpilotastothesuitabilityoftheweather,terrain,mechanicalconditionorcapacityoftheAircraftandothersimilardecisionsshallbeconclusive.TheAircraftshallbeoperatedincompliancewiththeOperator’scurrentaircraftoperatingmanual.4.AircraftUse.OperatorandUseragreetousetheAircraftcoveredbythisAgreementinaccordancewiththetime-shareprovisionscontainedin91.501oftheFederalAviationRegulations,aswellasanyotherapplicableportionsofFARPart91.5.Maintenance.Operator,atitsowncostandexpense,willservice,maintain,andrepairtheAircraftincompliancewillallmaintenancestandardsoftheAircraftandallrequirementsofFARPart91.OperatorwillalsoprovidesuitablehangarandstoragefacilitiesfortheAircraftatitsownexpense.AircraftmaintenanceandinspectiontakesprecedenceoverAircraftschedulingunlesssuchmaintenanceorinspectionscanbesafelydeferredinaccordancewithapplicablelawsandregulationsandwithinthesounddiscretionofthecaptain.6.Insurance.Operator,atitsownexpense,shallcausetobekeptinfullforceandeffectwithregardtoitsAircraft,liabilityinsuranceupontheAircraftwithlimitsforbodilyinjuryandforpropertydamage,whicharesatisfactorytotheUser.7.Indemnification.Operatoragreestoindemnify,defend,andholdtheUserharmlessfromanyclaims,suits,liabilities,losses,costsorexpenseforinjurytopersons,ordamagetopropertyinanywayarisingoutoftheoperationoftheAircraft.8.Term.Thisagreementshallbeeffectiveasof_________,_________(M,Y),shallcontinueinfullforceandeffectforatermofoneyear,andshallbeautomaticallyrenewedforcontinuousperiodsofoneyearwithoutre-execution.AnypartymayterminatethisAgreementatanytimeforanyornoreasonbygivingthirty(30)days’priorwrittennoticetotheotherpartyofitsintentiontoterminate.ThisAgreementsupersedesanyprioragreementsbetweenthepartiesrelatingtoAircraftoperationsanduse.9.Assignment.Nopartyshallhavetherighttoassignitsinterestorrightshereunder,inwholeorpart,withoutthepriorwrittenconsentoftheotherparty,exceptthattheOperatormayassignitsinteresthereundertoawholly-ownedaffiliatewithouttheconsentoftheUser.10.Notice.Anystatement,consent,ornoticerequiredorpermittedbythisAgreementshallbegivenbymailtothepartyconcernedattheaddresseslistedaboveexceptthatnoticewithrespecttotheoperationoruseoftheAircraftmaybegivenbytelephone.11.Warranties.UserwarrantstoOperatorthatduringtheuseoftheAircraftsaidAircraftshallnotbeusedoremployed,exceptasauthorizedbytheFederalAviationRegulations.OperatorwarrantsthateachoftheAircraftlistedhereinhavebeenmaintainedunderPart91oftheFederalAviationRegulationsforthetwelve(12)monthperiodimmediatelyprecedingthedateofthisAgreement.12.NoCarriageForCompensationorHire.ItisunderstoodandagreedthatOperatorandUsershallneithersellseatstopassengersorspaceforcargo,norinanymannerotherwiseuseanyoftheAircraftlistedhereinforthecarriageofgoodsorpassengersforcompensationorhire,andthattheAircraftisoperatedwithintheapplicablerulesofSubpartDofPart91oftheFederalAviationRegulationsduringtheoperationofthisagreement.13.Counterparts.ThisAgreementmaybeexecutedincounterparts,allofwhichwhenexecutedshallconstituteanoriginal.14.Truth-In-LeasingStatementUnderFAR91.23.ANEXECUTEDCOPYOFTHISAGREEMENTWILLBEMAILEDTOTHEFEDERALAVIATIONADMINISTRATION,FLIGHTSTATNDARDSTECHNICALDIVISION,POSTOFFICEBOX25724,_________(ADDREESS),WITHIN24HOURSOFTHETIMEOFEXECUTIONHEREOF.THEAIRCRAFTLISTEDANDREFERENCEDHEREINHAVEBEENMAINTAINEDANDINSPECTEDUNDERFARPART91FORTHE12MONTHPERIODPRECEDINGTHEDATEHEREOF.SAIDAIRCRAFTWILLBEMAINTAINEDANDINSPECTEDUNDERPART91OFTHEFEDERALAVIATIONREGULATIONSFOROPERATIONSTOBECONDUCTEDUNDERTHISAGREEMENTDURINGTHEDURATIONOFTHISAGREEMENT.OPERATOR,LOCATEDATTHEABOVELISTEDADDRESS,ISCONSIDEREDTOBEINOPERATIONALCONTROLOFTHEAIRCRAFTANDUNDERSTANDSANDISFAMILIARWITHITSRESPONSIBILITIESWITHREGARDTOTHEOPERATIONOFAIRCRAFTUNDERTHEFERDERALAVIATIONREGULATIONS.ACOPYOFTHISAGREEMENTSHALLBECARRIEDONEACHAIRCRA
