-8-StrategicPartnershipAgreement戰(zhàn)略性合作協(xié)議核心提示：AAA,Ltd.andBBBLtd.THISAGREEMENTismadeandenteredintothis_________,_________,_________(M,D,Y),byandbetweenAAA,Ltd.(thePartyA)andBBBLtd.(thePartyB)in_________(CITY).PartyA’sRegisteredAddressis:_________PartyB’sRegiAAA,Ltd.andBBBLtd.THISAGREEMENTismadeandenteredintothis_________,_________,_________(M,D,Y),byandbetweenAAA,Ltd.(thePartyA)andBBBLtd.(thePartyB)in_________(CITY).PartyA’sRegisteredAddressis:_________PartyB’sRegisteredAddressis:_________WHEREAS:1.PartyAisacompanydulyregisteredunderthelawsof_________City,_________Province,the_________(COUNTRY).ThePartyA’sbusinessscopeanditsbusinessactivitiesaretobuildinformationnetworkinfrastructure,todevelopinformationindustryandtoproviderelatedservices.2.PartyAhasbuiltaHFCnetworkwhichhas_________subscribers.ThePartyAiscurrentlybuildingaCity-wideintegratedbroadbandinformationnetwork,basedonitsexistingHFCnetwork,intheGreater_________(CITY)AreatoprovidehighspeedInternetaccess,datatransmissionandvalue-addedbusinessonthenetworkforits_________cableanddatanetworksubscribers.ThePartyAintentstobuildaProvince-wideintegratedbroadbandnetworkinthree(3)years.Thisnetworkcouldbringtheabove-mentionedservicestothe_________potentialcustomers(includingcablesubscribersanddatanetworksubscribers).3.PartyBisacorporationdulyregisteredunderthelawsofBritishVirginIslandanditsheadquarterislocatedatCalgary,Canada.PartyB’smainbusinessesaretoinvestinthebroadbandnetworkinfrastructure,developmentandconstructionofbroadbandnetworks.ThePartyBintendstodeveloptheCity-Wide-Areanetworksin_________Provincetodeliverbroadbandservicestomorethan_________cablesubscribers.PartyBdesirestojointwithPartyAtobuildaGreater-_________(CITY)-AreaandaProvince-Wide-AreaIntegratedInformationNetworkandtoprovidethehighspeedInternetaccess,datatransmissionandvalue-addedbusinesstocustomers.4.Onthe_________,_________,_________(M,D,Y),thePartiessignedtheContractualJointVentureContractforAAAandBBB(theContract)anditsArticlesofAssociation.ThePartiesagreedtoupgradetheexistingHFCnetworktodeliverbroadbandoverthecableservices.Basedontheprincipalofequality,mutualbenefitsandthespiritoffriendshipandcooperation,afterafulldiscussion,thePartiesagreethattheabovementionedbusinessdevelopmentshaveenormouspotentialandhugemarket.ThePartiesfullyagreetocontinuethecooperationbetweentheParties,and,therefore,thePartiesfurtheragreeasfollows:GeneralPrinciple1.PartiesfullyagreethatthepriorityshouldbegiventotheupgradingoftheHFCnetworkinaccordancewiththeContractsignedonthe_________,_________,_________(M,D,Y)andtodeliverqualityhighspeedbroadbandtoitscustomers.Atthesametime,thePartiesagreetodevclopaGreater-_________(CITY)-Areaintegratedhighspeedbroadbandnetwork(theData-Over-HFCSystem)utilizing_________(CITY)’sexistingEducationNetwork,GovernmentNetwork,CableTVBroadcastingNetworkandTeleCommunicationNetworktoprovidehighspeedInternetaccess,datatransmissionandvalue-addedbusinessfor_________potentialcustomers.2.UponcompletionoftheGreater-_________(CITY)-Areaintegratedhigh-speedbroadbandnetworkanditsserviceplatformandbeingprovidedwithqualityInternetandotherrelatedservicestocustomers,thePartiesshallbegintoinvestjointlyinthedevelopmentoftheProvince-Wide-Areaintegratedbroadbandnetworktodeliverbroadbandservicestomorethan_________customers(includingdatanetworksubscribersandcablesubscribers).3.PartiesshalljointlydeveloptheGreater-_________(CITY)-AreaandtheProvince-Wide-Areaintegratedbroadbandnetworks(theProject).ThePartiesshallinvestthefunds,equipments,technologyandprofessionalpersonneltotheProjects.TheestimateinvestmentfortheProjectscouldreachfiftymillion($,_________)toonehundredmillion($,_________)USDollars.TheResponsibilityofFachParty1.PartyA(1)ToobtainofficialapprovalandgovernmentpolicysupportfortheProject.(2)ToseekintegrationofrelevantnetworkresourcesofGreater_________(CITY)Areaand_________Provincewithinthelimitsofthegovernmentpolicy;toco-operatewitheachotherinordertomaximizetheParties’benefits;toobtainthelegalrightstouseandcommerciallyoperatetheTelecommunicationbackbonesin_________Province.(3)Toapplyandtoobtainallrelevantgovcrnmentalapprovalandoperatingpermits.(4)Tocoordinatewithallrelevantgovernmentauthoritiesinordertoachievethemaximumefficiencyinbuildingandoperatingthenetworks.(5)ToinvesttheexistingfiberopticalnetworkandrelevantequipmentsfortheProject.2.PartyB(1)ToinvestcashandequipmentstotheProject.(2)TodevelopinternationalstrategicpartnershipfortheProject.(3)Toseekadvancedtechnologyandscientificmanagementmethodology.(4)TodevelopindividualCity-Wide-AreaNetwork(theCityLAN)inthecitiesofthe_________Province,thattobeusedforhighspeedInternetaccess,datatransmission,value-addednetworkrelatedbusinessandtoconnecttheindividualcitiestotheProvince-Wide-Areaintegratedbroadbandnetwork.(5)ToassistinthemarketdevelopmentandtoprovidetrainingtothetechnicalpersonneloftheProject.(6)ToassistPartyAinapplyingandobtainingallrelevantgovernmentapprovalsandpermitsforthejointoperationoftheParties.TheMutualResponsibilitiesoftheParties1.ToseekeffectivecooperationwiththeprovidersofTelecommunication(suchasChinaJitongTelcom).ThroughPartyA’snetworksandPartyB’sCityLANsoftheProvince,thePartiesandtheTelecommunic
