atetheactuallosses.Theactuallossesarecountedas30%ofannualsalesplan.四、合同的終止、解除與變更Termination,RelieveorChangeofthecontract合同到期后自動(dòng)終止。Thecontractwillbeterminatedautomaticallyattheexpirationofthecontract.一方違反合同之任意條款，經(jīng)勸告不改，另一方可以解除合同。Onepartygoesagainstanytermofthecontract,anddoesn'tcorrectafteradvice,anotherpartycouldterminatethecontract.一方有破產(chǎn)、清算、解散或被銀行列為拒絕往來戶者，另一方可解除本合同。Anypartywhichisinbankruptcy,disbandorrefusedbythebank,anotherpartycouldterminatethecontract.五、權(quán)利義務(wù)的轉(zhuǎn)移與轉(zhuǎn)讓Transferofrightandobligation本合同未經(jīng)雙方書面同意，乙方不得擅自轉(zhuǎn)移或轉(zhuǎn)讓本合同權(quán)利與義務(wù)。PartyBshouldnotmakeanyunauthorizedtransfertherightandobligationofthecontractwithoutanywrittenagreementbybothsides.六、人力不可抗拒因素：由于水災(zāi)、火災(zāi)、地震、干旱、戰(zhàn)爭(zhēng)或合同一方無法預(yù)見、控制、防止和克服的其他事件導(dǎo)致不能或暫時(shí)不能全部或局部履行本合同，該方不負(fù)責(zé)任。但是，受不可抗力事件影響的一方須盡快將發(fā)生的事件通知另一方，并在不可抗力事件發(fā)生15天內(nèi)將有關(guān)機(jī)構(gòu)出具的不可抗力事件的證明寄交對(duì)方。即使在此情況下，甲方仍有責(zé)任采取必要措施促使盡快交貨。不可抗力事故發(fā)生后超過10個(gè)星期而合同尚未履行完畢，乙方有權(quán)撤銷合同。ForceMajeure：Eitherpartyshallnotbeheldresponsibleforfailureordelaytoperformalloranypartofthisagreementduetoflood,fire,earthquake,draught,waroranyothereventswhichcouldnotbepredicted,controlled,avoidedorovercomebytherelativeparty.However,thepartyaffectedbytheeventofForceMajeureshallinformtheotherpartyofitsoccurrenceinwritingassoonaspossibleandthereaftersendsacertificateoftheeventissuedbytherelevantauthoritiestotheotherpartywithin15daysafteritsoccurrence.Eventhough,PartyAshoulddeliverthegoodswithnecessarymeasuresassoonaspossible.IfPartyAcouldnotcarryoutthecontractwithin10weeks,PartyBcouldremovethecontract.七、仲裁：在履行合同過程中，如產(chǎn)生爭(zhēng)議，雙方應(yīng)友好協(xié)商解決。假設(shè)通過友好協(xié)商未能達(dá)成協(xié)議，那么提交中國(guó)國(guó)際貿(mào)易促進(jìn)委員會(huì)對(duì)外貿(mào)易仲裁委員會(huì),根據(jù)該會(huì)仲裁程序暫行規(guī)定進(jìn)行仲裁。該委員會(huì)決定是終局的，對(duì)雙方均有約束力。仲裁費(fèi)用，除另有規(guī)定外，由敗訴一方負(fù)擔(dān)。仲裁也可在雙方均能接受的第三國(guó)進(jìn)行。Arbitration:Alldisputesarisingfromtheexecutionofthisagreementshallbesettledthroughfriendlyconsultations.Incasenosettlementcanbereached,thecaseindisputeshallthenbesubmittedtotheForeignTradArbitrationCommissionoftheChinaCouncilforthePromotionofInternationalTradeforArbitrationinaccordancewithitsProvisionalRulesofProcedure.Thedecesionmadebythiscommissionshal
