二、根本約定

ii．principalclauses

1．甲方負(fù)責(zé)將乙方合法商品通過甲方向中國進(jìn)行銷售，商品銷售價(jià)格見?進(jìn)口商品報(bào)價(jià)單》〔見附件1〕；乙方通過甲方向中國銷售的商品必須附有中文表明〔包括商品包裝表明和商品表明書〕。

〔6〕如乙方委托甲方在中國所銷售的商品需要向中國有關(guān)部門申請辦理銷售許可證，乙方可以委托甲方辦理有關(guān)手續(xù)，但應(yīng)向甲方提交所需文件、商品樣品，并承當(dāng)有關(guān)費(fèi)用。

3．乙方可以修改商品信息，但應(yīng)將修改的內(nèi)容傳真至公證處備案前方可向甲方提交修改申請。甲方只接受乙方向公證處傳真?zhèn)浒傅?進(jìn)口商品報(bào)價(jià)單》的全部內(nèi)容和乙方向公證處傳真?zhèn)浒傅男薷膬?nèi)容，乙方還應(yīng)通過互聯(lián)網(wǎng)向甲方經(jīng)營的_________〔http：//www._________〕提交該內(nèi)容，甲方在使用或頒布該內(nèi)容時(shí)，不得對(duì)乙方提交的內(nèi)容進(jìn)行任何修改加工〔甲方只使用乙方提交的經(jīng)公證處公證備案的最新內(nèi)容〕。

〔2〕甲方將?購貨清單》在公證處備案后以傳真方式提交給乙方，乙方應(yīng)在24小時(shí)內(nèi)以傳真方式確認(rèn)是否收妥?購貨清單》傳真函。如果乙方在48小時(shí)內(nèi)仍然沒有以傳真方式對(duì)是否收妥?購貨清單》向甲方進(jìn)行確認(rèn)，視為乙方違約，甲方有權(quán)獨(dú)自向?yàn)橐曳介_具交易保證金付款保函的銀行發(fā)出?違約通知單》〔見附件3〕，并按本協(xié)議第十條之規(guī)定處理。

〔3〕甲方收到乙方確認(rèn)收妥?購貨清單》的傳真函7日內(nèi)向乙方開具以乙方為受益人的100％不可撤銷即期跟單信用證，信用證規(guī)定的可議付金額為乙方向甲方開具銷售發(fā)票金額的95％。

6．?_________商品進(jìn)口交易效勞協(xié)議》與其關(guān)聯(lián)的?進(jìn)口商品報(bào)價(jià)單》、?購貨清單》等法律文件不可分割并具有同等的法律效力。

7．甲方優(yōu)先擁有乙方商品在中國市場銷售的獨(dú)家代理權(quán)，具體方式雙方另行協(xié)商并簽訂合同。

三、交易保證金條款

2．如乙方未按?購貨清單》約定的期限、地點(diǎn)、品種或數(shù)量向甲方供貨，甲方有權(quán)以傳真方式向?yàn)橐曳介_具?付款保函》的銀行直接扣收?購貨清單》中違約貨物金額的4％的違約金。

四、音視頻信息發(fā)布

iv．declarationofaudio&videoinformation

1．甲方獨(dú)家代理乙方在“_________〞中播發(fā)乙方的企業(yè)和商品音視頻信息〔簡稱商品信息〕的業(yè)務(wù)。

2．乙方應(yīng)_________公司頒布的寬帶數(shù)據(jù)播送網(wǎng)進(jìn)口交易信息播發(fā)表明的要求提交文件和載有音視頻信息的光盤〔avi格式〕。

3．通過_________公司的審核后，乙方應(yīng)按播發(fā)表明的要求支付商品信息播發(fā)費(fèi)。

4．本協(xié)議簽訂之日起30日內(nèi)，如果乙方提交的文件和音視頻信息的內(nèi)容沒有通過_________公司的審核，乙方應(yīng)在本協(xié)議簽訂之日起40日內(nèi)向甲方支付800美元的商品信息播發(fā)業(yè)務(wù)代辦效勞費(fèi)，并按中視公司的要求修改相關(guān)信息重新提交。

5．本協(xié)議簽訂之日起90日內(nèi)，如果乙方提交的文件和音視頻信息的內(nèi)容仍沒有通過中視公司的審核，甲方有權(quán)獨(dú)自終止執(zhí)行本協(xié)議，已收取的商品信息播發(fā)業(yè)務(wù)代辦效勞費(fèi)不予退回。

五、產(chǎn)品責(zé)任條款

v．productliabilityclauses

1．乙方應(yīng)委托甲方在甲方指定的保險(xiǎn)公司對(duì)其通過甲方銷售至中國的所有產(chǎn)品投保產(chǎn)品責(zé)任險(xiǎn)。

2．乙方需向_________集團(tuán)下屬_________公司〔簡稱：_________〕提供用于檢測的樣品〔數(shù)量要滿足_________對(duì)檢測數(shù)量的要求〕，并委托_________對(duì)樣品鉛封保留半年〔乙方承當(dāng)相應(yīng)費(fèi)用〕，期滿后乙方應(yīng)重新提供用于檢測的樣品；發(fā)生質(zhì)量糾紛時(shí)，雙方同意由_________對(duì)該樣品進(jìn)行檢測，該檢測結(jié)果作為質(zhì)量規(guī)范，檢測費(fèi)用由甲方先行墊付，最終由責(zé)任方承當(dāng)。

3．乙方應(yīng)承當(dāng)由于其產(chǎn)品質(zhì)量問題給甲方所造成的全部損失。甲方有義務(wù)轉(zhuǎn)交乙方相關(guān)中國買方索賠憑證，主要包括：索賠書、中國商檢機(jī)構(gòu)出具的相關(guān)證明等文件。

六、商品檢測和貨物交割

vi．inspectionandtransaction

1．乙方在每批貨物裝運(yùn)前應(yīng)委托乙方所在地的_________對(duì)裝運(yùn)的貨物進(jìn)行商品品種和數(shù)量檢測〔乙方承當(dāng)檢測費(fèi)用〕，并由_________出具品種和數(shù)量正本檢測報(bào)告〔簡稱?檢測報(bào)告》〕，該檢測報(bào)告內(nèi)容必須與?購貨清單》中載明的品種和數(shù)量描述內(nèi)容完全相符。

〔1〕甲乙雙方指定_________公司為?購貨清單》中貨物的承運(yùn)人，該承運(yùn)人出具的正本貨物提單中載明的內(nèi)容〔時(shí)間、地點(diǎn)等〕須與?購貨清單》中載明的內(nèi)容〔時(shí)間、地點(diǎn)等〕相符。承運(yùn)人聯(lián)系方式如下：

〔2〕甲乙雙方以承運(yùn)人簽發(fā)的正本提單中載明的交貨時(shí)間和交貨地點(diǎn)為貨物實(shí)際交貨時(shí)間和交貨地點(diǎn)，該實(shí)際交貨時(shí)間應(yīng)在?購貨清單》中規(guī)定的最遲一批貨物交貨期限內(nèi)。

〔3〕如因甲方或承運(yùn)人的原因造成交貨時(shí)間和交貨地點(diǎn)的變化，甲方應(yīng)以書面方式通知乙方變更后的貨物交貨時(shí)間和交貨地點(diǎn)。

3．乙方將對(duì)?購貨清單》所售貨物進(jìn)行適當(dāng)完全的包裝，以適于長距離的遠(yuǎn)洋或內(nèi)陸運(yùn)輸，能夠很好地愛護(hù)貨物，避免潮濕、濕氣、震動(dòng)、生銹、粗獷處理。特殊貨物包裝要求另議。乙方對(duì)由于其不適當(dāng)和不良的包裝所導(dǎo)致的任何破壞和損失負(fù)責(zé)。

4．乙方必須在每個(gè)運(yùn)輸包裝物上標(biāo)明合同編號(hào)、包裝號(hào)碼、體積、毛重、凈重，以及“本面向上〞、“小心輕放〞、“切勿受潮〞等裝運(yùn)標(biāo)志。

七、交易費(fèi)用

乙方同意向甲方支付?購貨清單》貨款總額5％的金額作為交易費(fèi)用，甲方向乙方開具同等金額的商業(yè)發(fā)票。

八、付款條款〔即期信用證開證條款〕

乙方按甲方?購貨清單》約定的期限、地點(diǎn)、品種和數(shù)量交給承運(yùn)人后，憑下列單據(jù)向銀行議付信用證，信用證規(guī)定的可議付金額為乙方向甲方開具銷售發(fā)票金額的95％：

九、樣品采購條款

ix．purchaseofsamples

1．采購方式：

3．乙方在?購貨清單》約定的交貨期限之后交貨，仍然視為違約，如果?購貨清單》項(xiàng)下的中國買方不接收乙方貨物，乙方無權(quán)獲得相應(yīng)的貨款，并應(yīng)自行處理貨物，產(chǎn)生的費(fèi)用由乙方承當(dāng)；如果?購貨清單》項(xiàng)下的中國買方同意接受乙方貨物，乙方仍可獲得?購貨清單》一定比例的貨款，乙方可獲得貨款的支付比例、時(shí)間由甲方確定。
