(1)VOLKSWAGENGROUPIMPORTCO.,LTD.(companynameinChinese:(formerlyknownasVolkswagenImportCo.,Ltd),awhollyforeignownedlimitedliabilitycompanyincorporatedunderthelawsofPRCwhoseregisteredaddressisatRoom519-3TengdaBuilding,No.18,InternationalTradeRoad,TianjinPortFreeTradeZone(the“VGIC”);and

大眾汽車（中國）銷售有限公司（以前叫做“大眾汽車銷售有限公司”），該公司為外商獨(dú)資有限公司，依據(jù)中華人民共和國的法律組建而成，注冊地址為：

大眾公司和經(jīng)銷商在本協(xié)議中單獨(dú)稱為“一方”，集體稱為“雙方”。

WHEREAS:鑒于：

A.ThepartiesenteredintoaContractwithAuthorizedPurchaser(Dealer)ofLamborghiniImport“DealerContract”).

協(xié)議雙方于日簽署了一份蘭博基尼授權(quán)買家（經(jīng)銷商）合同（下文中稱為“經(jīng)銷商合同”）。

B.ThepartiesagreetoterminatetheDealerContractinaccordancewith,andsubjectto,thetermsandconditionsofthisAgreement.

協(xié)議雙方同意根據(jù)本協(xié)議的條款和條件終止所述經(jīng)銷商合同。

THEREFOREthepartiesherebyagreeasfollows:故此，本協(xié)議雙方現(xiàn)此約定如下：

1.Termination第一條協(xié)議的終止“EffectiveDate”).本協(xié)議雙方約定從日起終止所述經(jīng)銷商合同（生效日期）。

1.2Eachparty’srightsandobligationsundertheDealerContractshallceaseimmediatelyontermination,exceptfortheclauseswhichareexpressedtosurvivetermination.TheDealerherebyrenouncesandsurrendersanyandallrightsgrantedpursuanttoorinrelationtoDealerContract.

所述經(jīng)銷商合同終止時(shí)，本協(xié)議各方在該合同項(xiàng)下的權(quán)利和義務(wù)立即終止，除非該合同中明確規(guī)定某權(quán)利和/或義務(wù)應(yīng)當(dāng)在合同終止后繼續(xù)生效。經(jīng)銷商現(xiàn)此放棄并讓出自己和所述經(jīng)銷商合同相關(guān)的所有權(quán)利。

1.3TheterminationoftheDealerContractdoesnotofitselfgiverisetoanyliabilityonthepartofVGICtopayanycompensationtotheDealer,includingbutnotlimitedto,forlossofprofitsorgoodwill.

所述經(jīng)銷商合同的終止不會產(chǎn)生大眾公司向經(jīng)銷商給予任何補(bǔ)償?shù)牧x務(wù)，包括但不限于利潤和商譽(yù)的損失。

1.4TheDealerherebywaives,releasesandforeverdischargesVGIC,VGIC’semployeesandaffiliates,andanyreplacingdealershipappointedbyVGICagainstanyactions,proceedings,claims,demands,costsandexpenseswhichtheDealermaynowhaveorwouldhavehadfortheterminationoftheDealerContract,includingbutnotlimitedtoanyapplicablerightsuponterminationofagreementsithasmayhavehadundertheDealerContractoranyapplicablelaw.經(jīng)銷商現(xiàn)此放棄、免除并永遠(yuǎn)解除大眾公司、大眾公司的雇員和附屬公司、大眾公司指定的任何替代經(jīng)銷商就經(jīng)銷商針對所述經(jīng)銷商合同的終止可能享有的、將會享有的任何起訴、訴訟程序、索賠、權(quán)利主張、花費(fèi)和開支而應(yīng)當(dāng)承擔(dān)的責(zé)任，包括但不限于所述經(jīng)銷商合同終止時(shí)經(jīng)銷商依據(jù)任何適用的法律而享有的、可能享有的任何適用權(quán)利。

1.5TheDealerbyexecutingthisAgreement,forandonbehalfofDealerandallpersonsandentitieswhoatpresent,inthepastorinthefuturemayhave,havehadormayhereafterhavealegalorbeneficialownershiporotherinterestinDealer,andtheirrespectiveheirs,executors,administrators,successorsandassigns(collectivelythe“Releasors”),herebyagreestoanddoesherebyunconditionally,irrevocablyandforevervoluntarilyterminateandsurrendertoVGIC,asoftheEffectiveDate,theDealerContractandanyotheragreementsrelatingtothesaleoftheLamborghinibrandproductsandwaives,terminatesandsurrenderstoVGICanyandrightsarisingoutorrelatingtotheDealerContractorinconnectionwiththeDealerContract,including,withoutlimitation,anyandallrights,ifany,toacontinuation,extensionorrenewaloftheDealerContractoranyrelatedbusinessrelationshipsbetweenVGICandtheDealeroranyoftheotherReleasorsaftertheEffectiveDate,whichthey,oranyofthem,maynoworhereafterhaveoracquire.

通過本協(xié)議的簽署，經(jīng)銷商代表經(jīng)銷商、以及過去、現(xiàn)在和將來和經(jīng)銷商可能有、已經(jīng)有、之后可能有法律關(guān)系、受益所有權(quán)或者其它利益關(guān)系的任何人員和實(shí)體、其各自的繼承人、執(zhí)行人、管理人、繼任人和受讓人（總體稱為“放棄權(quán)利人”），現(xiàn)此同意為了大眾公司并無條件地、不可撤銷地且永遠(yuǎn)自愿地從生效日期起終止并讓出所述經(jīng)銷商合同以及和所述蘭博基尼品牌產(chǎn)品的銷售相關(guān)的其它任何協(xié)議，為了大眾公司放棄、終止和讓出因?yàn)樗鼋?jīng)銷商合同引起的或者與之相關(guān)的任何權(quán)利，包括但不限于延續(xù)、續(xù)展、續(xù)訂所述經(jīng)銷商合同或者大眾公司和經(jīng)銷商或者其它任何放棄權(quán)利人之間在生效日期后的任何相關(guān)業(yè)務(wù)關(guān)系的任何權(quán)利（如果有的話），因?yàn)榇蟊姽竞徒?jīng)銷商或者其它任何放棄權(quán)利人（或者其中的部分人員）在當(dāng)前或者今后可能具有或者取得該種業(yè)務(wù)關(guān)系。

1.6ThepartiesheretointendthatthisAgreementconstituteageneralreleaseofallclaims,demands,actions,causesofaction,whetherknownorunknown,suspectedorunsuspected,thattheDealerand/oranyoftheotherReleasorshad,mayhaveormayclaimtohavetotheEffectiveDate.

本協(xié)議雙方約定：本協(xié)議構(gòu)成了全面免除，免除了生效日期之前經(jīng)銷商和/或其它任何權(quán)利放棄人享有的、可能享有的或者可能會聲稱享有的任何索賠、權(quán)利主張、起訴和訴因，無論是明確的還是不明確的，無論是疑似的還是非疑似的。

2.ObligationsFollowingSigningofThisAgreement第二條簽署本協(xié)議產(chǎn)生的義務(wù)

2.1FollowingthesigningofthisAgreement,bothpartiesshallmakebesteffortstocooperatewitheachother,includingprovidingandexecutingallnecessarydocumentsandmaterialsand

takingallnecessaryactions,toensureanuninterruptedsupplyofpartsandaftersalesservicesasrequiredbycustomersafterthedateofterminationoftheDealerContract.

本協(xié)議簽署后，協(xié)議雙方應(yīng)當(dāng)盡最大努力展開合作，包括但不限于提供并簽署所有必要的文件和材料并采取必要的措施，確保所述經(jīng)銷商合同終止后，能夠按照客戶的要求不間斷地提供零部件和售后服務(wù)。

2.2FollowingthesigningofthisAgreement,theDealerundertakestoVGICthatitshall:本協(xié)議一經(jīng)簽署，經(jīng)銷商即向大眾公司保證：經(jīng)銷商應(yīng)當(dāng)

(a)Immediatelyinformitscustomers(especiallyownersofvehiclessoldbytheDealer)oftheDealer’sclosureusingthemutuallyagreedtemplateattachedtothisAgreement,andobtainthecustomers’consenttothetransferofthecustomer’sinformationtoVGICandVGIC’suseofsuchinformationsubjecttotheapplicablelawsandregulationsofPRC;

使用本協(xié)議隨附的且雙方一致同意的方式，把經(jīng)銷商和大眾公司之間簽訂的所述經(jīng)銷商合同的終止情況立即告知經(jīng)銷商自己的客戶（特別是從經(jīng)銷商處購買了汽車的車主），取得客戶同意后，把客戶信息移交給大眾公司，大眾公司應(yīng)當(dāng)按照適用的中華人民共和國的法律和法規(guī)來使用該種信息。

(b)Immediatelyexecutethenecessarycontractsforthetransferofitsrepair,returnandreplacementobligationspursuanttotheapplicablelawsandregulationsandtheDealer’ssalescontractsforvehiclessoldbytheDealertoamutuallyagreedaffiliate;

立即根據(jù)適用的法律和法規(guī)以及經(jīng)銷商就銷售給雙方一致同意的附屬公司的車輛而簽訂的銷售合同，為維修義務(wù)、產(chǎn)品退回義務(wù)和替換義務(wù)的讓與而簽署必要的合同。

(c)immediatelytransfer,andensureitsaffiliatedcompaniestransfer,toVGICorotherVolkswagenGroupcompaniesrespectively,withoutanyconsideration,thetrademarksregisteredinthePRCand/ortrademarkregistrationappliedinthePRC,whichbelongtoVGICorotherVolkswagenGroupcompanies,andanydomainnamesregisteredinthePRC,whichcontaintheLamborghinitrademarksornameofVGICorotherVolkswagenGroupcompanies;

立即向大眾公司或者大眾集團(tuán)的其它公司讓與全部歸大眾公司所有的或者大眾集團(tuán)其它公司所有的、在中華人民共和國注冊的商標(biāo)和/或在中華人民共和國申請的`商標(biāo)注冊，以及包含蘭博基尼商標(biāo)或者大眾公司名稱或者其它大眾集團(tuán)公司名稱的任何域名，不得收取任何對價(jià)，并確保經(jīng)銷商自己的附屬公司也這樣做。

(d)immediatelyceaseusing,andensureitssubsidiariesandbranches(ifany)toceaseusing,theLamborghinitrademarksand“Lamborghini”oritsChinesetranslationsinitscorporatename;立即停止使用并確保其子公司和分公司（如果有的話）停止在其公司名稱中使用蘭博基尼商標(biāo)、“Lamborghini”和Lamborghini的漢語譯文“蘭博基尼”;

(e)notapply,andensureitsaffiliatedcompaniesnotapply,directlyorindirectly,forregistrationofanytrademarksornames(includinganyChinesetranslations)belongingtoVGICorotherVolkswagenGroupcompanies.Otherwise,VGICorotherVolkswagenGroupcompaniesareentitledtorequestsuchtrademarksand/ornamestransferredtoVGICorotherVolkswagenGroupcompanies,freeofcharge,atanytime;

不得直接或者間接地申請注冊屬于大眾公司或者大眾集團(tuán)其它公司的任何商標(biāo)或名稱（包括漢語譯名），并確保其附屬公司也這樣做。否則，大眾公司或者大眾集團(tuán)其它公司有權(quán)在任何時(shí)間要求把該等商標(biāo)和/或名稱讓與給大眾公司或者大眾集團(tuán)的其它公司。

(f)immediatelyremoveandreturntoVGIC(orotherwisedisposeofasVGICmayinstruct)allsignboardandsymbolscontainingtheLamborghinitrademarks;and

立即移除包含蘭博基尼商標(biāo)的任何招牌和標(biāo)識并歸還給大眾公司（或者按照大眾公司的指示處理這些招牌和標(biāo)識）；以及

(g)immediatelyreturntoVGICorotherwisedisposeofasVGICmayinstructallequipmentandtools,samples,instructionbooks,technicalpamphlets,catalogues,advertisingmaterials,specificationsandothermaterials,documentsorpaperswhatsoeverprovidedbyVGICtotheDealerandrelatingtoVGIC’sbusiness(otherthancorrespondencewhichhaspassedbetweentheparties)whichtheDealermayhaveinitspossessionorunderitscontrol.

立即把經(jīng)銷商可能會擁有的或者控制的、大眾公司提供給經(jīng)銷商的且和大眾公司的業(yè)務(wù)有關(guān)的任何設(shè)備、工具、樣品、說明書、技術(shù)手冊、目錄、廣告材料、技術(shù)規(guī)范和其它材料、文件和文據(jù)返還給大眾公司，或者按照大眾公司的指示加以處理。

大眾公司同意把元人民幣歸還給經(jīng)銷商，這個(gè)金額包括：

’sdealershipaccount;and元人民幣的經(jīng)銷商經(jīng)銷賬戶余額；以及
