中外合資企業(yè)股東協(xié)議中英文版中外合資企業(yè)股東協(xié)議JointVentureShareholdersAgreement本協(xié)議由以下各方簽訂，即中華人民共和國法律下的_____公司（以下簡稱“中方股東”）和_____公司（以下簡稱“外方股東”）（中方股東和外方股東合稱為"股東"，單指股東可視為中方股東或外方股東）。ThisAgreementisenteredintobyandamong_____(hereinafterreferredtoas"ChineseInvestor")and_____(hereinafterreferredtoas"ForeignInvestor"),collectivelyreferredtoasthe“Shareholders”(andaShareholderindividuallyreferredtoaseithertheChineseInvestorortheForeignInvestor).1.基本信息BasicInformation中方股東BasicInformationoftheChineseInvestor名稱：_____Name:_____注冊地址：_____RegisteredAddress:_____法定代表人：_____LegalRepresentative:_____組織形式：_____OrganizationalForm:_____外方股東BasicInformationoftheForeignInvestor名稱：_____Name:_____注冊地址：_____RegisteredAddress:_____法律地位以及主體資格等應(yīng)由具備外商投資權(quán)證的主管機(jī)關(guān)或政府部門加以確認(rèn)。Legalstatus,qualificationandotherrelatedmattersshallbeconfirmedbyrelevantadministrativeauthoritiesorgovernmentdepartmentswiththeauthorityoverforeigninvestment.2.各方身份、權(quán)利和義務(wù)、履行方式、期限、違約責(zé)任Responsibilities,Obligations,Performance,TermandDefault2.1股份持有ProportionofHoldings中方股東和外方股東以現(xiàn)金及實(shí)物的出資額測算相匹配的股份比例，共同出資設(shè)立_____%的中外合資公司，并在公司成立之日起各自持有其出資額的____%的股份，中外合資公司注冊資本為_______萬元。TheChineseInvestorandtheForeignInvestorshallsubscribetothetotalregisteredcapitalof_______RMB,andhold______%ofthesharesrespectively,accordingtothepercentageoftheircapitalcontributionincashandin-kind.TheregisteredcapitaloftheJointVentureshallbe_____millionRMB.2.2財務(wù)管理FinancialManagement2.2.1管理MeetingandManagement中外合資公司設(shè)董事會、監(jiān)事會和經(jīng)理人三級管理制度，各項管理規(guī)定將另行規(guī)定于公司章程、工作規(guī)則等文件。TheJointVentureshallbemanagedbyathree-tiersystem,withaboardofdirectors,aboardofsupervisorsandamanager.ThespecificmanagementregulationsshallbestipulatedintheArticlesofAssociationandotherinternaldocuments.2.2.2財務(wù)制度FinancialSystem中外合資公司應(yīng)根據(jù)中華人民共和國法律，制定財務(wù)管理制度，并按照中華人民共和國法規(guī)進(jìn)行會計核算。所有會計資料應(yīng)妥善保存。TheJointVentureshall,inaccordancewiththelawsofthePeople'sRepublicofChina,establishafinancialmanagementsystemandperformaccountingundertherelevantlawsandregulationsofthePRC.Allaccountingrecordsshallbeproperlykept.2.3違約責(zé)任LiabilityforBreachofContract任何一方不履行或違反本協(xié)議，應(yīng)承擔(dān)賠償責(zé)任，另外，雙方也可以協(xié)商解決方式，包括采取妥善的措施使恢復(fù)原有的權(quán)利和利益，同時應(yīng)采取適當(dāng)?shù)拇胧┓乐惯M(jìn)一步的損害。如無法達(dá)成協(xié)議，任何一方均可以向具有管轄權(quán)的法院提起訴訟。IfeitherpartyfailstofulfillorviolatesanyprovisionofthisAgreement,suchpartyshallberesponsiblefordamagesincurred,andthepartiesmayalsoconsultwitheachothertotakeappropriatemeasurestorestoretheiroriginalrightsandinterests,aswellastopreventfurtherdamage.Ifmutualagreementcannotbereached,eitherpartymaybringalawsuittothecompetentcourt.3.合同效力和可執(zhí)行性LegalValidityandEnforceability本協(xié)議是在中華人民共和國法律規(guī)范下簽署的。如本協(xié)議的任何條款在買賣雙方的條款約定下或根據(jù)買賣雙方的意思執(zhí)行下，違抗任何現(xiàn)行或未來頒布的法規(guī)或其任何單獨(dú)性條款，相關(guān)條款將聲明無效，但該無效并不影響本協(xié)議的有效性和可執(zhí)行性。ThisAgreementissignedundertheregulationsofthelawsofthePeople'sRepublicofChina.IfanyprovisionofthisAgreementviolatesanyexistingorfutureregulationsoranyindividualprovisionsthereof,therelevantprovisionshallbedeclaredinvalid,butsuchinvalidityshallnotaffectthevalidityandenforceabilityofthisAgreement.4.其他事項Miscellaneous4.1適用法律法規(guī)ApplicableLawandRegulations本協(xié)議的訂立、履行和解釋應(yīng)適用中華人民共和國法律和仲裁規(guī)則。Theconclusion,performanceandinterpretationofthisAgreementshallbegovernedbythelawsandarbitrationrulesofthePeople'sRepublicofChina.4.2處理糾紛ResolutionofDisputes本協(xié)議發(fā)生爭議時，應(yīng)提起仲裁。仲裁委員會將根據(jù)中華人民共和國的相關(guān)仲裁規(guī)定進(jìn)行仲裁。WhendisputesariseunderthisAgreement,arbitrationshallbebrought.Thearbitrationcommissionshallarbitrateaccordingtotherelevantarbitrationreg
