新房銷售合作協(xié)議合同編號：__________Parties：Address:____________________________ContactPerson:______________________Tel:____________________________Address:____________________________ContactPerson:______________________Tel:____________________________鑒于甲方為房屋的開發(fā)商或所有權(quán)人，乙方為房地產(chǎn)銷售代理商，雙方為了共同發(fā)展，實(shí)現(xiàn)互利共贏，根據(jù)《中華人民共和國合同法》等相關(guān)法律法規(guī)的規(guī)定，經(jīng)甲乙雙方友好協(xié)商，就甲方房屋的銷售事宜達(dá)成如下合作協(xié)議：Article1:CooperationScope1.1PartyAauthorizesPartyBtoactasitsexclusivesalesagentforthesaleofthehousingprojectsownedPartyA(hereinafterreferredtoasthe"Project").1.2ThesalesareacoveredthisAgreementshallbelimitedtotheterritoryspecifiedinAppendix1hereto.Article2:CooperationTermArticle3:SalesTarget3.1PartyBshall,withinthetermofthisAgreement,achieveasalestargetofnotlessthan____________unitsoftheProject.3.2PartyBshall,withinthetermofthisAgreement,achieveasalesrevenueofnotlessthan____________millionYuanfortheProject.Article4:CommissionandPaymentArticle5:ResponsibilitiesandObligationsofPartyA5.1PartyAshallprovidePartyBwithallnecessarysalesmaterials,suchaspromotionalmaterials,projectinformation,andpricelists.5.2PartyAshallensurethattheProjectmeetstherelevantnationalregulationsandstandardsforconstructionandsafety.5.3PartyAshall,inaccordancewiththelawsandregulationsofthePRCandthetermsofthisAgreement,providePartyBwiththenecessarysupportandassistanceforthesalesactivitiesoftheProject.Article6:ResponsibilitiesandObligationsofPartyB6.1PartyBshall,withintheterritorycoveredthisAgreement,activelypromotethesaleoftheProjectandsparenoefforttoachievethesalestargetsetoutinArticle3ofthisAgreement.6.2PartyBshall,inaccordancewiththelawsandregulationsofthePRCandthetermsofthisAgreement,handleallthesalesrelatedmattersoftheProject,includingbutnotlimitedtocustomerinquiries,reservations,salescontracts,andaftersalesservices.6.3PartyBshall,withintheterritorycoveredthisAgreement,maintainthegoodreputationandbrandimageoftheProject,andshallnotengageinanyactivitiesthatmaydamagetheinterestsofPartyA.Article7:Confidentiality7.1BothPartiesshallkeepsecretallthebusinessinformationoftheotherPartythatisnotpubliclyknown,exceptfortheinformationthatisalreadypubliclyknownorshallbeknowntheotherPartyinthenormalcourseofbusiness.7.2TheconfidentialityobligationsetoutinArticle7.1ofthisAgreementshallcontinuetoapplyaftertheexpirationorterminationofthisAgreement.Article8:TerminationandDisputeResolution8.1ThisAgreementmaybeterminatedeitherPartyinwritingintheeventofamaterialbreachtheotherPartythatisnotcuredwithinareasonableperiodoftimeafterwrittennotice.8.2IntheeventofanydisputesarisingoutoforinconnectionwiththisAgreement,bothPartiesshallfirsttrytoresolvethedisputesthroughfriendlynegotiations.Ifthenegotiationsfailtoresolvethedisputes,eitherPartymaysubmitthedisputestothePeople'sCourtwithjurisdictionovertheplacewherePartyAislocated.Article9:Miscellaneous9.1ThisAgreementmaybeamendedorsupplementedmutualagreementofbothPartiesinwriting.9.2ThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreementsandunderstandings,whetherwrittenororal,betweenthePartieswithrespecttothesubjectmatterhereof.9.3ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsofthePRC.INWITNESSWHEREOF,the一、附件列表：1.Appendix1:SalesTerritory2.Appendix2:SalesTarget3.Appendix3:CommissionStructure4.Appendix4:PaymentTerms5.Appendix5:SalesMaterials二、違約行為及認(rèn)定：1.甲方未按約定提供銷售材料或支持與協(xié)助。2.甲方未能確保項(xiàng)目符合相關(guān)法規(guī)與標(biāo)準(zhǔn)。3.乙方未達(dá)到銷售目標(biāo)或收入要求。4.乙方在合同區(qū)域內(nèi)未能維護(hù)甲方項(xiàng)目聲譽(yù)與品牌形象。5.任何一方未履行保密義務(wù)。6.任何一方未經(jīng)書面同意變更或終止合同。三、法律名詞及解釋：1.甲方：指房屋的開發(fā)商或所有權(quán)人。2.乙方：指房地產(chǎn)銷售代理商。3.銷售代理：指乙方在甲方授權(quán)范圍內(nèi)代理銷售甲方房屋。4.銷售目標(biāo)：指乙方在合同期限內(nèi)需實(shí)現(xiàn)的銷售單元數(shù)量和銷售收入。5.傭金：指乙方實(shí)際銷售產(chǎn)生的收入中，甲方支付給乙方的比例。四、執(zhí)行中遇到的問題及解決辦法：1.銷售材料不足甲方應(yīng)提前準(zhǔn)備并提供充足的銷售材料。2.銷售目標(biāo)未達(dá)成乙方
