第七條若發(fā)生第六條的情形，雖經(jīng)甲方修復(fù)，而機(jī)器仍然無法操縱，或其性能降低長達(dá)一個(gè)月時(shí)，乙方可依據(jù)下列方式選擇其一，向甲方提出要求。

（1）換取同種類機(jī)器。其條件為乙方須就已使用該機(jī)器的時(shí)間長短支付貨款，每一年乙方應(yīng)支付甲方相當(dāng)于第二條總金額五分之一款項(xiàng)。

（2）退還機(jī)器。但甲方得扣除乙方使用機(jī)器所應(yīng)付如前（1）之款項(xiàng)，其余定金退還予乙方。有關(guān)使用機(jī)器的時(shí)間，其計(jì)算方法則無論乙方是否使用，規(guī)定從第三條甲方交付機(jī)器日始至乙方提出退還機(jī)器要求之日止，為使用時(shí)間。

第八條乙方若未能在第二條日期前支付余額以交換機(jī)器，則甲方毋需催告，本合同視同作廢，甲方得將該機(jī)器搬回。

煤炭由賣方選擇于年五月或六月裝運(yùn)，視乎船只供應(yīng)情況。

IfaworkableletterofcreditisnotreceivedbySeller’sbankinaccordancewiththeclause8.PAYMENT,Sellershallhavetherightbutnottheobligationtodelayorsuspendperformanceofanyofitsobligationsunderthiscontractand/orterminatethiscontract.AnylossesarisingoutofBuyer’sfailuretoopenaworkableletterofcreditintimeshallbeforBuyer’saccount.

假如賣方未能按照第八條?付款所示如期收到可操作的信用證，賣方有權(quán)推延或擱置其供貨責(zé)任以及/或終止本合同。

7.DELIVERY運(yùn)送

Buyershallprovideatdischargeportasafeberthreachableonarrivalwherethevesselshallalwaysbeabletoenter,discharge,lieandleaveafloat.

買方須于卸貨港提供一安全泊位，讓船只到達(dá)時(shí)可以隨時(shí)進(jìn)入、卸貨、?？亢碗x開。

VesselNomination船只通報(bào)

SellershallnotifytheBuyerofthefollowingdetailsinwriting:

TheSellershallgivewrittennoticetotheBuyeroftheprogressofthevesselfive(5)days,three(3)days,two(2)daysandtwentyfour(24)hoursbeforetheETAofthevesselattheportofdischarge.TheSellershallinformtheBuyerofanydeviationinexcessoftwenty-four(24)hourstotheaforementionedETA.

賣方將于預(yù)計(jì)船只抵達(dá)卸貨港前五天、三天、兩天和二十四小時(shí)以書面通知買方船只的進(jìn)度。

買家須保證每一可卸載工作天最少卸載25,000公噸，包括星期天和公眾假期。

Agency,portcharges,duesandtaxes

Atthedischargeport,theSellerisonlyaccountableforportchargesassociatedwithbringingthevesselalongsidethedischargeberth.Anytaxes,duesorotherchargesleviedagainstthecargoshallbefortheBuyer’saccount.AllsuchchargesshallbepaidpromptlybytheBuyersuchthattheBuyerisinapositiontotakedeliveryofthecargowithoutdelay.

在卸貨港賣方只負(fù)責(zé)牽涉引領(lǐng)船只停靠泊位的碼頭費(fèi)用，買方須負(fù)責(zé)其他所有費(fèi)用。

Stevedores裝卸工

ThestevedoresshallbeappointedbytheBuyer.ThestevedoresandanyoneemployedbythestevedoresshallbeunderthesupervisionoftheMaster.Lossand/ordamagecausedbyStevedoreactoromission,ifany,tobesettleddirectlybetweenstevedores/BuyerandMaster/owners.

NoticeofReadinessandLaytime準(zhǔn)備就緒通知與卸貨時(shí)間

Afterarrivalattheportofdischarge,NoticeofReadinessmaybetenderedbythevesselduringoroutsideofofficehoursatanytimeofdayornight,Saturdays,Sundaysandholidaysincluded,whetherinportornot,whetherinberthornot,whetherinfreepratiqueornot,whethercustomsclearedornot.

船只抵達(dá)卸貨港后，將隨時(shí)發(fā)出準(zhǔn)備就緒通知，無論是辦公或非辦公時(shí)間，日與夜，包括星期六，星期天與公眾假期，無論在港口與否，在泊位與否，入港與否以及清關(guān)與否。

Laytimeshallcommenceattheearlierof:卸貨時(shí)間將隨下開情況開始，以先發(fā)生著為準(zhǔn)：

TimeandcostsofshiftingdirectlybetweenberthsattheBuyer’sorPortAuthority’srequestshallcountasLaytimeandallindoingsoshallbefortheBuyer’saccount.

Intheeventofweatherconditionswhich,intheopinionofeitherthePortAuthorityortheMastermakedischargingperilous,andalldischargingoperationsaresuspendedthenallsuchtimelostshallnotcountasLaytime,unlessvesselisalreadyondemurrage,andtheMastermayclosehatchesincaseofheavyrain,heavysnow,orhail.Incaseofrain,allholdswhichhavenotbeenfullydischargedshouldbeclosedinordertoavoidwettingtheCoal.

IftotalLaytimeusedexceedstotalLaytimeallowed,BuyershallpaySellerdemurrageperdayorproratafortheexcesstime.IfthetotalLaytimeusedislessthanthetotalLaytimeallowed,theSellershallpaydespatchtotheBuyerforthetimesavedattherateequaltofiftypercent(50%)ofthedemurragerateperdayorproratapartthereof.

如果所用卸貨時(shí)間超出可允許的卸貨時(shí)間，買方將付與賣方按日計(jì)算的滯期費(fèi)或按比例計(jì)算的超時(shí)費(fèi)。

如果所用卸貨時(shí)間少于可允許的卸貨時(shí)間，則賣方將付與買方按節(jié)省了的時(shí)間計(jì)算的速遣費(fèi)，費(fèi)率是滯期費(fèi)或超時(shí)費(fèi)的50%。

LaytimecalculationsshallbepresentedbytheBuyerwithin30(thirty)calendardaysofthecompletionofdischarge.Demurrage/despatchshallbepaidbythepartysoowingwithin3(three)BusinessDaysofagreementofLaytimecalculationsagainstpresentationoftheowedparty’sinvoice.

卸貨時(shí)間總計(jì)將于卸貨完畢后三十個(gè)日歷日內(nèi)由買方出具。

8.PAYMENT付款

LetterofCredit信用證

PaymentshallbemadebyBuyerinUS$withoutanydeduction,withholding,offsetorcounterclaimwhatsoeverbymeansofafullyworkableirrevocabledocumentaryletterofcredit,tobeopenedbyabankandinaformfullyacceptabletoSellercovering100%(onehundredpercent)ofthecargovaluebasedonSeller’sproformainvoicevalueofquantityof165,000mtandallowingatoleranceof+/-10%inquantity.

付款以美元結(jié)算，不得扣減，留存，抵消或反訴，付款工具使用由銀行開出的按賣方備考發(fā)票貨物總值的100%不可撤銷、賣方接受的信用證，貨物數(shù)量165,000公噸，容許正負(fù)10%數(shù)量差異。

1.Theletterofcreditmustbeopenedwithin3(three)BusinessDaysafterthiscontractsigned.

信用證必須于簽署本合同后三個(gè)營業(yè)天內(nèi)開出。

2.Timeisoftheessencefortheopeningoftheletterofcredit.TheopeningoftheletterofcreditshallbeaconditionprecedenttotheSeller’sobligationtodelivertheCoal.

開出信用證的時(shí)間極為重要。

開出信用證是賣方履行供煤責(zé)任的先決條件。

3.Theletterofcreditshallbeavailableandnegotiableatthecountersofanybankandshallprovidethat:

信用證可于任何銀行議付而且：

a)Thirdpartydocumentsareacceptable;第三方文件可接受;

b)Underdrawingsandmultipledrawingsareallowed;可以不足額兌付及多次兌付。

c)Documentstobepresentedwithin42daysofthebillofladingdate;

文件可以于提單日期后42天內(nèi)提交。

d)Thevalueoftheletterofcreditmayescalate/de-escalateinaccordancewiththepriceformulawithoutanyfurtheramendment;

信用證的金額可以按計(jì)價(jià)方程式上浮/下浮，無需改證。

e)Spellingmistakesandothertypographicalerrorsnotaffectingunitprice,quantityand/oramountareacceptable;and

不影響單價(jià)、數(shù)量及/或總額的拼寫錯(cuò)誤可以接受。

質(zhì)量規(guī)格只是典型數(shù)值。

如果該數(shù)值不符裝貨港的檢驗(yàn)報(bào)告，于議付信用證時(shí)不能被視為誤差，除非數(shù)值超過或低于拒收標(biāo)準(zhǔn)。

4.Ifthecertificateofsamplingandanalysisreflectsspecificationswhichareoutsideofthetypicalspecificationsbutwithintherejectionlimitsasstatedinclause4.QUALITY,thebeneficiaryoftheletterofcreditmaynegotiatewithoutdiscrepancy.

如果取樣與檢驗(yàn)報(bào)告的結(jié)果不符典型規(guī)格但仍然在拒收標(biāo)準(zhǔn)內(nèi)(第四條。

受益人證明書證明熱值(收到時(shí)凈值)于裝貨港由國際認(rèn)可的持牌海事督察檢驗(yàn)及于卸貨港由CIQ檢驗(yàn)的結(jié)果都在200大卡/公斤以內(nèi)。

賣方最終商業(yè)發(fā)票，根據(jù)仲裁者的檢驗(yàn)報(bào)告說明應(yīng)付金額的計(jì)算方法，

2.Umpirecertificateofanalysis.仲裁者的檢驗(yàn)報(bào)告。

9.TITLEANDRISK貨物權(quán)與風(fēng)險(xiǎn)

TitleshallpassfromSellertoBuyerwhentheletterofcreditissuingbankhasacceptedthedocumentarypresentationbySeller’sbankundertheletterofcreditand,inthecaseofsightpayment,paymenthasbeenreceivedbytheSeller,orinthecaseofdeferredpayment,theissuingbankhasacceptedthedeferredpaymentobligationtotheSeller.

當(dāng)發(fā)證銀行接受了賣方銀行提交的議付文件，貨物權(quán)即由賣方移至買方，如果是即期付款，即賣方以收取貨款，如果是延期付款，那么發(fā)證銀行已對(duì)賣方承擔(dān)延期付款的責(zé)任。

RiskshallpassfromSellertoBuyerwhentheCoalisdeliveredonboardtheperformingvesselattheportofloading.

當(dāng)煤炭在裝貨港裝船后，風(fēng)險(xiǎn)即由賣方移至買方。

10.WEIGHING,SAMPLINGANDANALYSIS稱重、取樣及分析

Weighing稱重

Theweightshallbedeterminedattheportofloadingbydraftsurveyperformedbyaninternationallyrecognizedlicensedmarineinspector.TheSellershallappointtheinspectorandshallbearthecostoftheseoperations.TheinspectorshallissueaweightcertificatefortheCoalasdeterminedbythedraftsurveyandthisweightshallbeshownonthebilloflading.Theweightthusdeterminedshallbefinalandbindingforsettlementpurposes,saveforfraudormanifesterror.

重量將由國際認(rèn)可的持牌海事稽查于裝貨港執(zhí)行的吃水調(diào)查決定。

賣方負(fù)責(zé)委派稽查并承擔(dān)有關(guān)費(fèi)用。

稽查調(diào)查吃水后將發(fā)出煤炭重量證明并顯示于提單上。

該重量經(jīng)決定后是最終的并作為議付依據(jù)，除非有作弊或明顯錯(cuò)誤。

SamplingandAnalysis取樣和分析

Samplingshallbeconductedattheportofloadingbyaninternationallyrecognisedlicensedmarineinspector.TheSellershallappointtheinspectorandshallbearthecostoftheseoperations.Samplingshallbeconductedusingamechanicalormanualsamplerwhereavailable.Acompositesampleshallbesplitinto3(three)sub-samples,oneforanalysisbytheinspector,oneforBuyer,andonetoberetainedbytheinspectorforumpirepurposes.TheBuyershallhavetherighttoberepresentedduringsamplingoperationsattheportofloadingatitsownexpense.

取樣將由國際認(rèn)可的持牌海事稽查于裝貨港執(zhí)行。

賣方負(fù)責(zé)委派稽查并承擔(dān)有關(guān)費(fèi)用。

取樣將采用機(jī)械或人工采樣。

一份綜合樣本將會(huì)分成三個(gè)子樣本，一個(gè)由稽查化驗(yàn)，一個(gè)給買方，第三份則由稽查保留作仲裁之用。

買方有權(quán)自費(fèi)派遣代表到裝貨港觀看取樣過程。

DeterminationofthequalityoftheCoalshallbedonebyanalysisofthelaboratorysample.ThelaboratoryshallissueacertificateofanalysisinaccordancewithISOtestingandanalysisprocedures.Theseresultsshallbefinalandbinding,savefor(a)fraudormanifesterror;or(b)unlesschallengedasprovidedforbelow:

煤炭品質(zhì)將由化驗(yàn)室經(jīng)分析后決定。

化驗(yàn)室將依據(jù)ISO測試機(jī)分析標(biāo)準(zhǔn)發(fā)出品質(zhì)證明。

分析結(jié)果將是最終的，除非(a)存在作弊或明顯錯(cuò)誤，或(b)以下情況出現(xiàn)：

Ifthedifferencebetweenthecalorificvalue(onaNARbasis)determinedattheportofloadingbyaninternationallyrecognisedlicensedmarineinspectorandtheportofdischargebyCIQisgreaterthan200(twohundred)kcal/kg,thenwithin3(three)BusinessDaysafterthecalorificvaluehasbeendeterminedattheportofdischargebyCIQ,eitherpartyshallhavetherighttocallfortheloadportumpiresampletobeanalysed.TheanalysisofsuchumpiresampleshallbeperformedbySGSNewcastle.Thecalorificvaluedeterminedbytheumpireshallbefinalandbindingonbothparties,saveforfraudormanifesterror.

如果熱值差異(收到時(shí)凈值)-于裝貨港由國際認(rèn)可的持牌海事稽查檢驗(yàn)的以及于卸貨港由CIQ檢驗(yàn)的結(jié)果-大于200大卡/公斤，那么當(dāng)?shù)玫叫敦浉鄣腃IQ的檢驗(yàn)結(jié)果后三個(gè)營業(yè)日內(nèi)，雙方皆有權(quán)要求化驗(yàn)存于裝貨港的仲裁用樣本。

該樣本將由紐卡斯的SGS執(zhí)行化驗(yàn)。

仲裁用樣本的化驗(yàn)結(jié)果將是最終的，對(duì)雙方均有約束力，除非出現(xiàn)作弊或明顯錯(cuò)誤。

TheSellershallhavetherighttoberepresentedduringsamplingoperationsattheportofdischargeatitsownexpenses.

賣方有權(quán)自費(fèi)派遣代表到卸貨港觀看取樣過程。

Sellershallhavetherighttoappointanindependentinspectortoconductsamplingand/oranalysisoperationsattheportofdischarge(the“Seller’sInspector”).Seller’sInspectorshallbepermittedtowitnessoperationsperformedbyCIQattheportofdischargeandtosealsamples.SamplesealsshallonlybebrokeninthepresenceoftheSeller’sInspector.UponcompletionofsamplepreparationtheSeller’sInspectorshallbeprovidedwithanaturalstatesampleforeachsub-lot.ThecostsofSeller’sInspectorshallbeforSeller’saccount.

賣方有權(quán)指派獨(dú)立的稽查在卸貨港進(jìn)行取樣和/或化驗(yàn)(賣方稽查)。

賣方稽查可于卸貨港見證CIQ的工作以及封存樣本。

樣本必須于賣方稽查在場時(shí)才可解封。

取樣完成后賣方稽查可以獲給貨物每一部分的自然狀態(tài)樣本。

派遣賣方稽查的費(fèi)用由賣方負(fù)責(zé)。

AcompositesampletakenattheportofdischargesplitandsealedbyCIQshallbereservedasSeller’ssample.Seller’ssampleshallbedeliveredtotheSeller’sofficeinChina.

一份在卸貨港由CIQ分組和封存的綜合樣本將會(huì)保留給賣方。

該賣方樣本將送至賣方設(shè)于中國的辦事處。

Ifanumpireanalysisisperformedandasaresultapaymentadjustmentistobemade,suchpaymentshallbemadebythepartysoowingbytelegraphictransferwithin3(three)BusinessDaysofthedatetheumpire’scertificateisissuedagainstpresentationofacopyoftheumpirecertificateandtheowedparty’sinvoiceforthesumclaimed.

如果仲裁化驗(yàn)的結(jié)果顯示貨款需要調(diào)整，那么當(dāng)仲裁證明發(fā)出后的三個(gè)營業(yè)日內(nèi)，付款方當(dāng)依據(jù)收款方發(fā)出的發(fā)票隨同仲裁證明以T/T支付調(diào)整金額。

11.FORCEMAJEURE

Ifeitherpartyisprevented,hinderedordelayedfromperforminginwholeorinpartanyobligationorconditionofthiscontractbyreasonofforcemajeure(the“AffectedParty”),theAffectedPartyshallgivewrittennoticetotheotherpartypromptlyandinanyeventwithin3(three)BusinessDaysafterreceivingnoticeoftheoccurrenceofaforcemajeureeventgiving,totheextentreasonablypracticable,thedetailsandexpecteddurationoftheforcemajeureeventandthequantityofCoalaffected(the“ForceMajeureNotice”).

任何一方如果遭遇不可抗力(遭遇方)的妨礙、阻礙或延遲而未能全部或部分履行本合同中任何責(zé)任或條件，那么無論什么情況下，遭遇方須于收到不可抗力事故報(bào)告后三個(gè)營業(yè)日內(nèi)以書面通報(bào)對(duì)方并盡可能實(shí)際說明事故詳情，估計(jì)事故持續(xù)時(shí)間和受影響的煤炭數(shù)量(不可抗力報(bào)告)。

ProvidedthataForceMajeureNoticehasbeengiven,forsolongastheeventofforcemajeureexistsandtotheextentthatperformanceisprevented,hinderedordelayedbytheeventofforcemajeure,neitherpartyshallbeliabletotheotherandtheAffectedPartymaysuspendperformanceofitsobligationsunderthiscontract(a“ForceMajeureSuspension”).DuringtheperiodofaForceMajeureSuspension,theotherpartymaysuspendtheperformanceofallorapartofitsobligationstotheextentthatsuchsuspensioniscommerciallyreasonable.

發(fā)出不可抗力報(bào)告后，在不可抗力事故持續(xù)期間，受不可抗力妨礙、阻礙或延遲的工作，雙方均無需向?qū)Ψ截?fù)責(zé)，遭遇方基于本合同規(guī)定可以暫停執(zhí)行工作(不可抗力暫停)。

在不可抗力暫停期間，另一方可以基于合理商業(yè)考量暫緩執(zhí)行其全部或部分工作。

TheAffectedPartyshallusecommerciallyreasonableeffortstoavoidorremovetheeventofforcemajeureandshallpromptlynotifytheotherpartywhentheeventofforcemajeureisterminated.

遭遇方應(yīng)合理的使用商業(yè)手段防止或清除不可抗力事故，當(dāng)不可抗力事故終止時(shí)馬上通知對(duì)方。

IfaForceMajeureSuspensionoccurs,thetimeforperformanceoftheaffectedobligationsand,ifapplicable,thetermofthiscontractshallbeextendedforaperiodequaltotheperiodofsuspension.

如發(fā)生不可抗力暫停，受影響的責(zé)任完成時(shí)限甚或本合同的有效期將延展至與暫停期同等時(shí)間。

IftheperiodoftheForceMajeureSuspensionisequaltoorexceeds3monthsfromthedateoftheForceMajeureNotice,andsolongastheforcemajeureeventiscontinuing,eitherpartymay,initssolediscretionandbywrittennotice,terminatethiscontractor,inthecaseofmultipledeliveriesunderthiscontract,terminatetheaffecteddeliveries.Uponterminationinaccordancewiththisclause,neitherpartyshallhaveanyfurtherliabilitytotheotherinrespectofthiscontractor,asthecasemaybe,theterminateddeliveriesexceptforanyrightsandremediespreviouslyaccruedundertheContract,includinganypaymentobligations.

如果不可抗力暫停自不可抗力通知日期起計(jì)達(dá)到或超過三個(gè)月而不可抗力事故仍然持續(xù)，則雙方皆有權(quán)決定以書面通知對(duì)方終止本合同或，終止受影響的貨物運(yùn)送航次。

合同根據(jù)本條款終止時(shí)，除了較早前據(jù)本合同累計(jì)的權(quán)利和補(bǔ)救措施外，雙方就終止的航次對(duì)于對(duì)方皆無后續(xù)責(zé)任包括付款責(zé)任。

“ForceMajeure”meansanycauseoreventreasonablybeyondthecontrolofaparty,including,butnotlimitedtofires,earthquakes,lightning,floods,explosions,storms,adverseweather,landslidesandotheractsofnaturalcalamityoractsofgod;navigationalaccidentsormaritimeperil;vesseldamageorloss;strikes,grievances,actionsbyoramongworkersorlock-outs(whetherornotsuchlabourdifficultycouldbesettledbyaccedingtoanydemandsofanysuchlabourgroupofindividuals);accidentsat,closingof,orrestrictionsupontheuseofmooringfacilities,docks,ports,harbours,railroadsorothernavigationalortransportationmechanisms;disruptionorbreakdownof,storageplants,terminals,machineryorotherfacilities;actsofwar,hostilities(whetherdeclaredorundeclared),civilcommotion,arrestand/ordetentionoftheCoaland/orvessel,embargoes,blockades,terrorism,sabotageoractsofthepublicenemy;anyactoromissionofanygovernmentalauthority;goodfaithcompliancewithanyorder,requestordirectiveofanygovernmentalauthority;curtailment,interference,failureorcessationofsuppliesreasonablybeyondthecontrolofaparty;oranyothercausereasonablybeyondthecontrolofaparty,whethersimilarordissimilartothoseaboveandwhetherforeseeableorunforeseeable,which,bytheexerciseofduediligence,suchpartycouldnothavebeenabletoavoidorovercome.Aparty’sinabilityeconomicallytoperformitsobligationsundertheContractshallnotconstituteaneventofforcemajeure.

不可抗力意思是不受一方控制的任何事故或事件，包括但不僅限于火災(zāi)、地震、閃電、水災(zāi)、爆炸、雷暴、惡劣天氣、山泥坍塌及其他自然災(zāi)害或天災(zāi);航行事故或海上災(zāi)害;船只損壞或損失;示威、怨氣、罷工或鎖閉(不管這些勞工問題能否以向訴求讓步解決);于停泊設(shè)施、碼頭、港口、鐵路或其他航行或運(yùn)輸機(jī)制的意外、關(guān)閉或限制;倉儲(chǔ)、機(jī)器或其他設(shè)施中斷、毀壞;戰(zhàn)爭、敵對(duì)(公告或未公告)，動(dòng)亂、逮撲及/或扣留煤炭及/或船只，禁運(yùn)、封鎖、恐襲、破壞或亂民行為、政府機(jī)關(guān)任何舉措或疏漏;遵守政府機(jī)關(guān)的命令、要求或指令;遇事方不能控制的供應(yīng)削減、干擾、事故或斷絕，或任何一方不能控制的，不管與上述的事件相似或不相似，能預(yù)見或不能預(yù)見，是遇事方盡職亦不能避免或解決的事故。

Thisclauseshallnotapplytoanyobligationstopay,indemnifyorprovidesecurityortoanyCoalforwhichvesselspacehasbeenbooked,pricinghasbeenestablishedorpaymenthasbeenmadeunlesstheSellerhasexpresslyconsentedinwriting.

對(duì)于已經(jīng)定好艙位、價(jià)格已經(jīng)確立或貨款已經(jīng)支付的煤炭，此條款不能豁免其付款、賠償或提供保護(hù)措施的責(zé)任，除非賣方以書面同意。

12.DISPUTERESOLUTION解決爭端

Anydisputearisingoutoforinconnectionwiththiscontract,includinganyquestionregardingitsexistence,validityortermination,shallbereferredtoandfinallyresolvedbyarbitrationundertheRulesoftheHongKongInternationalArbitrationCentre(HKIAC),whichRulesaredeemedtobeincorporatedbyreferenceintothisclause.Thetribunalshallconsistofthreearbitrators,onetobenominatedbyBuyer,onebySellerandthethirdtobemutuallyagreedbyBuyerandSeller,failingsuchagreement,theappointingauthorityofHKIACshallappointthethirdarbitrator.However,itisunderstoodthatbothpartiesshallbeentitledtotakeanyreasonablemeasuresfortheprotectionofrightsaccruedtothembythiscontractwithoutprejudicetotheprovisionsofthisclause.ThelanguageofthearbitrationshallbeEnglish.ThearbitrationshallbeheldinHongKongSpecialAdministrativeRegion.TheArbitrationTribunalshallstateinitsawardindetailthefactsofthecaseandreasonsforitsdecision.Theawardshallbefinalandbinding.

任何與本合同有關(guān)的爭議，包括任何關(guān)于本合同的存在、合法性或終止的問題都受香港國際仲裁中心(HKIAC)的法律管束并最終仲裁，是本條款認(rèn)可作為參照的法律。

法庭將由三名仲裁人組成，買方提名一名，賣方提名一名，第三名是買賣雙方都同意的人，如不能一致同意人選，則由HKIAC指派第三名仲裁人。

雙方都明白各自有責(zé)任采取合理措施保護(hù)其于本合同中的權(quán)益但會(huì)不偏不倚地遵守本條款的規(guī)定。

仲裁使用的語言是英文。

仲裁將于香港特別行政區(qū)進(jìn)行。

仲裁庭在其判令中將會(huì)說明詳細(xì)事實(shí)和判令的理據(jù)。

該判令將是最終而且具有約束力的。

13.CHOICEOFLAW適用法律

TheContractshallbegovernedbyandconstruedinaccordancewiththelawsofHongKong,withoutregardtoprinciplesofchoiceoflaw.

本合同服膺并按香港法律解釋，不考慮選擇適用法律的原則。

TheUnitedNationsConventiononContractsfortheInternationalSaleofGoods(1980)shallnotapplytothiscontract.

聯(lián)合國國際貨物銷售合同公約(1980)并不適用于本合同。

14.TAXESANDTARIFFS稅項(xiàng)與關(guān)稅

Anytaxes,tariffsanddutieswhetherexistingornewontheCoaloroncommercialdocumentsrelatingtheretooronthecargoitself,imposedinthecountryoforiginshallbebornebytheSeller.

所有在原產(chǎn)國收取的賣炭稅項(xiàng)與關(guān)稅，無論是原來存在的或新實(shí)行的，或者與貨運(yùn)有關(guān)的商業(yè)文件征稅，都由賣方負(fù)責(zé)。

Anytaxes,tariffsanddutieswhetherexistingornewontheCoaloroncommercialdocumentsrelatingtheretooronthecargoitself,imposedinthecountryofdischargeand/ortheimportingcountryshallbebornebyBuyer.
