股票市場(chǎng)資金監(jiān)控合同編號(hào)：__________stockmarketcapitalmonitoringstockmarketcapitalmonitoringagreementthisagreement(the"agreement")ismadeandenteredintoasof__________(the"effectivedate"),andbetween:__________("investor")__________("monitoringfirm")(eacha"party"andcollectivelythe"parties").referencestoapartyincludeitssuccessorsandassigns.1.purpose1.1theinvestordesirestoengagethemonitoringfirmtoprovidecapitalmonitoringservicesfortheinvestor'sstockinvestments(the"services")inaccordancewiththetermsandconditionssetforthinthisagreement.1.2themonitoringfirmagreestoprovidetheservicestotheinvestorinaccordancewiththetermsandconditionssetforthinthisagreement.2.services(a)thedateuponwhichtheservicesareterminatedinaccordancewithsection10.2;or(b)thedatewhichis__________yearsaftertheeffectivedate(the"term").2.2duringtheterm,themonitoringfirmshallprovidetheservicesinaccordancewiththefollowing:(a)themonitoringfirmshallmonitortheinvestor'sstockinvestmentsonadailybasistoensurethattheinvestor'sexposuretoanysinglestockorgroupofstocksdoesnotexceedtheinvestor'spredeterminedrisklimits;(b)themonitoringfirmshallprovidetheinvestorwithregularreportssettingforththeperformanceoftheinvestor'sstockinvestmentsandthemonitoringfirm'sanalysisofmarketconditions;and(c)themonitoringfirmshallprovidetheinvestorwithsuchotherassistanceandadviceastheinvestormayreasonablyrequestinconnectionwiththeinvestor'sstockinvestments.3.1inconsiderationfortheservicesprovidedunderthisagreement,theinvestorshallpaythemonitoringfirmafee(the"fee")equalto__________%oftheaveragedailyvalueoftheinvestor'sstockinvestmentsduringtheterm,calculatedonamonthlybasisinarrears.3.2theinvestorshallmakeallpaymentsofthefeetothemonitoringfirminaccordancewiththetermsoftheapplicablepaymentinstructionsprovidedthemonitoringfirm.4.termination4.3eitherpartymayterminatethisagreementuponwrittennoticetotheotherpartyiftheotherpartyceasestoengageinthebusinessofprovidingcapitalmonitoringservices.4.4thisagreementmaybeterminatedeitherpartyuponwrittennoticetotheotherpartyiftheotherpartyisindefaultofanyobligationunderthisagreementandsuchdefaultcontinuesforaperiodof__________daysafterreceiptofwrittennoticeofsuchdefaultfromthenonbreachingparty.4.5uponterminationofthisagreementforanyreason,themonitoringfirmshallimmediatelyceaseprovidingtheservicesandshallprovidetheinvestorwithanfinalreportsettingforththeperformanceoftheinvestor'sstockinvestmentsduringthetermandthemonitoringfirm'sanalysisofmarketconditions.5.Confidentiality5.1duringthetermofthisagreementandforaperiodof__________yearsfollowingtheterminationofthisagreement,thepartiesagreetomaintaintheconfidentialityofallconfidentialinformation(asdefinedinsection5.2)disclosedonepartytotheotherparty.5.2"confidentialinformation"meansallinformationdisclosedeitherpartytotheotherpartyunderthisagreement,whichisidentifiedasconfidentialatthetimeofsuchdisclosureorwhichshouldreasonablybeunderstoodtobeconfidentialgiventhenatureoftheinformationandthecircumstancesofsuchdisclosure.5.3thepartiesagreethattheaboveobligationsofconfidentialityshallnotapplytoanyinformationwhich:(b)isrightfullyreceivedthereceivingpartyfromathirdpartywithoutanobligationofconfidentiality;(c)isindependentlydevelopedthereceivingpartywithoutuseofthedisclosingparty'sconfidentialinformation;or一、附件列表：1.投資者股票投資記錄2.監(jiān)控公司資本監(jiān)測(cè)報(bào)告3.投資者風(fēng)險(xiǎn)限制設(shè)定4.監(jiān)控公司服務(wù)記錄5.雙方之間的通信記錄二、違約行為及認(rèn)定：1.監(jiān)控公司未能按照約定提供服務(wù)，或服務(wù)質(zhì)量不符合協(xié)議要求。2.投資者未能按時(shí)支付費(fèi)用。3.任何一方未經(jīng)對(duì)方同意，泄露了保密信息。4.任何一方未能履行合同中的其他義務(wù)。三、法律名詞及解釋：1.違約：違反合同約定的行為。2.保密信息：指在合同過程中，一方披露給另一方的，并且被標(biāo)識(shí)為保密或因其性質(zhì)和披露情境應(yīng)合理理解為保密的信息。3.資本監(jiān)測(cè)服務(wù)：指監(jiān)控公司為投資者提供的，對(duì)其股票投資進(jìn)行日常監(jiān)測(cè)，以確保投資者風(fēng)險(xiǎn)限制得到遵守的服務(wù)。4.有效日期：合同開始執(zhí)行的日期。四、執(zhí)行中遇到的問題及解決辦法：1.監(jiān)控公司未能按時(shí)提供報(bào)告及時(shí)與監(jiān)控公司溝通，要求其提供詳細(xì)情況和解決方案，必要時(shí)根據(jù)合同條款要求賠償。2.投資者未能按時(shí)支付費(fèi)用發(fā)送催款通知，明確逾期支付的違約責(zé)任，并在必要時(shí)
