全英文合同協(xié)議書

ThisContractAgreement(the"Agreement")ismadeandenteredintoonthedatesetforthabovebyandbetweenPartyAandPartyB(eacha"Party"andcollectivelythe"Parties").

Recitals:

WHEREAS,PartyAisengagedinthebusinessof[descriptionofPartyA'sbusiness];

WHEREAS,PartyBdesirestoengageinabusinessrelationshipwithPartyA;

NOW,THEREFORE,inconsiderationofthemutualpromisescontainedherein,thePartiesagreeasfollows:

Article1:ScopeofWork

1.1PartyBagreestoprovidePartyAwith[descriptionofservicesorproductstobeprovidedbyPartyB].

1.2PartyAagreestopayPartyBfortheservicesorproductsprovidedinaccordancewiththetermsandconditionssetforthinthisAgreement.

Article2:PaymentTerms

2.1PartyAshallpayPartyBthetotalamountof[amount](the"TotalPayment")within[timeperiod]afterthereceiptoftheservicesorproductsprovidedbyPartyB.

2.2ThepaymentshallbemadebyPartyAinaccordancewiththepaymentmethodssetforthinthisAgreement.

Article3:Confidentiality

3.1BothPartiesagreetomaintaintheconfidentialityofanyandallconfidentialinformationexchangedbetweenthemduringthecourseofthisAgreement.

3.2Theconfidentialinformationshallinclude,butnotbelimitedto,businessplans,financialstatements,andanyothersensitiveorproprietaryinformation.

Article4:TermandTermination

4.1ThisAgreementshallcommenceonthedatehereofandshallcontinueforaperiodof[duration]unlessearlierterminatedinaccordancewiththetermshereof.

4.2EitherPartymayterminatethisAgreementuponwrittennoticetotheotherPartyintheeventofamaterialbreachofthisAgreementbytheotherPartythatisnotcuredwithin[timeperiod]afterreceiptofwrittennoticethereof.

Article5:DisputeResolution

5.1AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedbynegotiationbetweentheParties.

5.2Ifthedisputescannotberesolvedthroughnegotiation,eitherPartymaysubmitthedisputestotheapplicablecourtsin[jurisdiction].

Article6:EntireAgreement

6.1ThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreementsandunderstandings,bothwrittenandoral,betweenthePartieswithrespecttothesubjectmatterhereof.

6.2ThisAgreementmaybeamendedormodifiedonlybyawritteninstrumentexecutedbybothParties.
