1.LimitationofLiability

TheliabilityofPartyAforanybreachofthisAgreementshallbelimitedtothedirectdamagessufferedPartyB,andshallnotexceedthetotalamountpaidPartyBtoPartyAunderthisAgreementduringthetwelve(12)monthsprecedingthedateonwhichtheclaimarises.

2.Indemnification

PartyBagreestoindemnifyandholdharmlessPartyA,itsofficers,directors,employees,andagentsagainstanyandallclaims,damages,liabilities,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwithanybreachofthisAgreementPartyB.

4.WarrantiesandDisclaimers

PartyAwarrantsthattheservicesprovidedunderthisAgreementshallbeperformedinaprofessionalandworkmanlikemanner.Exceptasexpresslyprovidedherein,PartyAdisclaimsallotherwarranties,expressorimplied,includingbutnotlimitedtowarrantiesofmerchantabilityandfitnessforaparticularpurpose.

5.Confidentiality

BothPartiesagreetomaintaintheconfidentialityofanyproprietaryorconfidentialinformationdisclosedtheotherPartyduringthetermofthisAgreement.SuchinformationshallnotbedisclosedtoanythirdpartywithoutthepriorwrittenconsentofthedisclosingParty,exceptasrequiredlaw.

6.GoverningLawandJurisdiction

ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof[Jurisdiction],excludingitsconflictoflawprinciples.AnydisputesarisingoutoforinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtslocatedin[Jurisdiction].

7.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,understandings,andnegotiations,whetherwrittenororal,withrespecttothesubjectmatterhereof.

8.Assignment

NeitherPartymayassignthisAgreementoranyofitsrightsorobligationshereunderwithoutthepriorwrittenconsentoftheotherParty,exceptinthecaseofamerger,acquisition,orsaleofallorsubstantiallyallofitsassets.

9.Severability

IfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallnotinanywaybeaffectedorimpairedthere.

PartyAretainsallright,,andinterestinandtotheintellectualpropertycreated,developed,orprovidedPartyApursuanttothisAgreement.PartyBacknowledgesandagreesthatitshallnotuseorreproduceanyofPartyA'sintellectualpropertywithouttheexpresswrittenconsentofPartyA.

13.NonTransferableRights

TherightsandlicensesgrantedtoaPartyunderthisAgreementarepersonalandnontransferable,andanyattempttotransfersuchrightsorlicenseswithoutthepriorwrittenconsentoftheotherPartyshallbenullandvoid.

14.NoWaiver

ThefailureofeitherPartytoenforceanyprovisionofthisAgreementshallnotbedeemedawaiverofsuchprovisionoroftherighttoenforcesuchprovisioninthefuture.

15.Amendments

ThisAgreementmaybeamendedormodifiedonlyawritteninstrumentexecutedbothParties.

16.NoThirdPartyBeneficiaries

NothinginthisAgreement,expressorimplied,isintendedtoorshallconferuponanypersonorentityotherthantheParties,theirsuccessorsandassigns,anylegalorequitableright,benefit,orremedyofanynaturewhatsoeverunderorreasonofthisAgreement.

17.Survival

TheprovisionsofSections[listrelevantsections,e.g.,"Confidentiality,""IntellectualProperty,""LimitationofLiability,"etc.]shallsurvivetheterminationorexpirationofthisAgreementforanyreason.

18.DisputeResolution

IntheeventofanydisputearisingoutoforinconnectionwiththisAgreement,thePartiesshallfirstattempttoresolvesuchdisputethroughgoodfaithnegotiations.IfthePartiesareunabletoresolvethedisputewithin[number]days,eitherPartymaysubmitthedisputetobindingarbitrationinaccordancewiththerulesofthe[nameofarbitrationassociation].

ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.

BytheirexecutionofthisAgreement,thePartieshavecausedthisAgreementtobeexecutedtheirdulyauthorizedrepresentativesasoftheEffectiveDate.

NeitherPartyshallissueanypressreleaseormakeanypublicannouncementregardingthisAgreementwithoutthepriorwrittenconsentoftheotherParty,exceptasmayberequiredlaworregulation.

Allrepresentations,warranties,andcovenantsmadethePartiesinthisAgreementshallsurvivetheexecutionanddeliveryofthisAgreementandshallcontinuetobeeffective,infullforce,andoperationforsolongasthisAgreementremainsineffect.

27.Attorneys'Fees

IntheeventthateitherPartybringsanyactiontoenforceorinterpretthisAgreement,theprevailingPartyinsuchactionshallbeendtorecoverfromtheotherPartyitsreasonableattorneys'feesandcostsincurredinconnectionwithsuchaction.
