1.ScopeofWork

2.DurationoftheContract

3.PaymentTerms

3.1Paymentshallbemadeinaccordancewiththefollowingschedule:

3.2Paymentshallbemadein[Currency],within[NumberofDays]daysofthereceiptofavalidinvoiceissuedbyPartyA.

4.WarrantiesandIndemnities

4.1PartyAwarrantsthatithasthenecessarylicenses,permits,andqualificationstoundertaketheconstructionworkasdescribedinthisContract.

4.2PartyAshallindemnifyandholdharmlessPartyBagainstanyclaims,damages,losses,orliabilitiesarisingoutoforinconnectionwiththeconstructionwork,includingbutnotlimitedto,anydefectsornon-compliancewiththeapplicablelawsandregulations.

5.TerminationandLiquidatedDamages

5.1EitherPartymayterminatethisContract,inwholeorinpart,upon[ReasonforTermination],upon[NoticePeriod]priorwrittennoticetotheotherParty.

5.2Intheeventoftermination,PartyAshallbeentitledtoliquidateddamagesequalto[Percentage]ofthetotalcontractpriceforeachdayofdelayinthecompletionoftheconstructionwork.

6.DisputeResolution

6.1AlldisputesarisingoutoforinconnectionwiththisContractshallberesolvedthroughnegotiationbetweentheparties.

6.2Ifthepartiesfailtoreachanamicableresolutionwithin[NumberofDays]daysfromthedateofthedispute,anyunresolveddisputeshallbereferredtoarbitrationinaccordancewiththerulesof[ArbitrationInstitution].

7.GoverningLawandJurisdiction

8.EntireAgreement

4.3PartyAshallhavetherighttorequestinformation,reports,andupdatesfromThirdPartyregardingtheprogressoftheconstructionwork.

4.4PartyAshallhavetherighttoinspecttheconstructionworkatanyreasonabletimetoensurecompliancewiththeagreedspecificationsandqualitystandards.

5.PartyB’sObligationsandLiabilities

5.1PartyBshallcomplywithallapplicablelaws,regulations,andcodesintheperformanceoftheconstructionwork.

5.2PartyBshallprovideallnecessarylabor,materials,andequipmenttocompletetheconstructionworkaspertheagreedschedule.

5.3PartyBshallindemnifyandholdharmlessPartyAagainstanyclaims,damages,losses,orliabilitiesarisingoutoforinconnectionwiththeconstructionwork,includingbutnotlimitedto,anydefectsornon-compliancewiththeapplicablelawsandregulations.

6.ThirdParty’sResponsibilitiesandRights

6.1ThirdPartyshallprovideprofessionalprojectmanagementservicestoensuretheconstructionworkiscompletedontime,withinbudget,andtotheagreedspecificationsandqualitystandards.

6.2ThirdPartyshallhavetherighttorequestinformation,reports,andupdatesfromPartyBregardingtheprogressoftheconstructionwork.

6.3ThirdPartyshallhavetherighttoterminatethisContract,inwholeorinpart,upon[ReasonforTermination],upon[NoticePeriod]priorwrittennoticetoPartyAandPartyB.

7.PartyB’sandThirdParty’sLimitationsonLiability

7.1InnoeventshallPartyBorThirdPartybeliableforanyindirect,special,punitive,orconsequentialdamagesarisingoutoforinconnectionwiththisContract.

7.2PartyB’sandThirdParty’sliabilityforanybreachofthisContractshallbelimitedtothetotalamountofpaymentsmadebyPartyAtoPartyBorThirdPartyunderthisContract.

8.TerminationandLiquidatedDamages

8.1EitherPartymayterminatethisContract,inwholeorinpart,upon[ReasonforTermination],upon[NoticePeriod]priorwrittennoticetotheotherParty.

8.2Intheeventoftermination,PartyBorThirdPartyshallbeentitledtoliquidateddamagesequalto[Percentage]ofthetotalcontractpriceforeachdayofdelayinthecompletionoftheconstructionworkorprovisionofprojectmanagementservices.

9.DisputeResolution

9.1AlldisputesarisingoutoforinconnectionwiththisContractshallberesolvedthroughnegotiationbetweentheparties.

4.3PartyBshallhavetherighttoclaimadditionalcostsandexpensesincurredasaresultofchangestotheprojectscopeordelayscausedbyPartyAorotherparties.

5.ThirdParty’sResponsibilitiesandRights

5.1ThirdPartyshallhavetherighttosuperviseandmanagetheconstructionwork,ensuringthatitisperformedinaccordancewiththeagreedspecifications,qualitystandards,andtimelines.

5.2ThirdPartyshallhavetherighttoapproveorrejectanychangestotheconstructionworkorthehiringofsub-contractorsandsuppliers.

5.3ThirdPartyshallhavetherighttoterminatethisContract,inwholeorinpart,upon[ReasonforTermination],upon[NoticePeriod]priorwrittennoticetoPartyAandPartyB.

6.PartyA’sObligationsandLiabilities
