跨國(guó)公司法人聘用合同英文版合同編號(hào):__________partiesthisagreement(the"agreement")isenteredintoasof__________(the"effectivedate"),andbetween:and[nameofindividual]("employee"),aresidentof__________,withapersonaladdressat__________.referredtoindividuallyasa"party"andcollectivelyasthe"parties".agreement1.employment1.2duties.duringtheemploymentperiod,theemployeeshallperformsuchdutiesasareconsistentwiththeemployee'spositionand,asmaybeassignedtheemployerfromtimetotime.theemployeeshallreportto__________(nameofsupervisor)attheemployer'sprincipalplaceofbusiness.2.1basesalary.theemployeeshallreceiveabasesalaryof__________(amount)peryear,payablein__________(frequency)installments.2.2benefits.theemployeeshallbeendtosuchbenefitsasarecustomarilyprovidedtheemployertoitsfulltimeemployees,including,butnotlimitedto,healthinsurance,retirementbenefitsandpaidtimeoff.thespecifictermsofsuchbenefitsshallbesetforthinaseparatebenefitsplandocument.2.3bonuses.theemployeemaybeeligibleforperformancebasedbonusesasdeterminedtheemployerinitssolediscretion.3.confidentialityandnondisclosure3.1confidentiality.theemployeeagreestomaintaininstrictconfidenceandnotuseordisclosetoanythirdpartyanyconfidentialinformationoftheemployer(the"confidentialinformation"),exceptasrequiredlaworwiththepriorwrittenconsentoftheemployer.theconfidentialinformationincludes,butisnotlimitedto,tradesecrets,customerlists,financialdataandotherbusinessinformation.4.termination4.1terminationeitherparty.eitherpartymayterminatethisagreementuponwrittennoticetotheotherparty,intheeventofamaterialbreachofthisagreementtheotherpartythatisnotcuredwithin__________(duration)afterreceiptofwrittennoticefromthenonbreachingparty.4.2terminationemployer.theemployermayterminatethisagreementimmediatelyuponwrittennoticetotheemployeeintheeventof:(a)theemployee'smaterialbreachofthisagreement;(b)theemployee'sconvictionofafelonyoracrimeinvolvingmoralturpitude;(c)theemployee'sfailuretoperformtheessentialdutiesoftheemployee'sposition;or(d)theemployee'sengagementinconductthatisdetrimentaltotheinterestsoftheemployer.4.3terminationemployee.theemployeemayterminatethisagreementimmediatelyuponwrittennoticetotheemployerintheeventof:(a)amaterialbreachofthisagreementtheemployer;or(b)theemployee'sresignationforgoodreason,asdefinedintheemploymenthandbookoftheemployer.5.indemnification5.1indemnificationemployer.theemployershallindemnifytheemployeeagainstanyandallclaims,losses,damages,expenses(includingattorney'sfees)andliabilitiesarisingoutoforinconnectionwiththeperformanceoftheemployee'sdutiesunderthisagreement,excepttotheextentcausedtheemployee'sgrossnegligenceorwillfulmisconduct.6.miscellaneous6.1assignment.thisagreementmaynotbeassignedeitherpartywithoutthepriorwrittenconsentoftheotherparty.6.3Governinglawandjurisdiction.thisagreementshallbegovernedandconstruedinaccordancewiththelawsof__________,andanydisputesarisingoutoforinconnectionwiththisagreementshallbesubjecttotheexclusivejurisdictionofthecourtsof__________.一、附件列表:?jiǎn)T工手冊(cè)福利計(jì)劃文檔績(jī)效評(píng)估標(biāo)準(zhǔn)保密協(xié)議非競(jìng)爭(zhēng)協(xié)議雇傭證明文件二、違約行為及認(rèn)定:?jiǎn)T工未能履行合同約定的duties為違約行為。雇主未能支付約定的basesalary或未能提供約定的benefits為違約行為。泄露或使用雇主confidentialinformation或違反非競(jìng)爭(zhēng)協(xié)議為違約行為。任何一方未能履行合同中其他條款的行為也可被認(rèn)定為違約行為。三、法律名詞及解釋:違約:違反合同條款的行為。保密信息:包含商業(yè)秘密、客戶列表、財(cái)務(wù)數(shù)據(jù)等不應(yīng)被泄露的商業(yè)信息。非競(jìng)爭(zhēng)協(xié)議:?jiǎn)T工在特定時(shí)間內(nèi)不得在與雇主有競(jìng)爭(zhēng)關(guān)系的企業(yè)工作或?yàn)樵撈髽I(yè)提供服務(wù)。雇傭期:?jiǎn)T工與雇主之間的合同期限。四、執(zhí)行中遇到的問(wèn)題及解決辦法:?jiǎn)T工未按約定履行duties:與員工溝通并給予改正的機(jī)會(huì),如無(wú)法改正則按合同條款進(jìn)行處理。雇主未支付salary或benefits:書(shū)面提醒,如不改正可視為違約并尋
