smaybeadjustedmutualagreementofthePartiesfromtimetotime.9.2獎(jiǎng)勵(lì)政策的制定與執(zhí)行BrandshallestablisharewardpolicyfortheAgentbasedontheachievementoftheSalesTargets.Therewardshallbecalculatedas____________percentageofthenetsalesexceedingtheSalesTargets.TherewardshallbepaidtotheAgentwithin____________daysaftertheendofeachcalendaryear.9.3獎(jiǎng)勵(lì)的支付與核算BrandshallprovidetheAgentwithadetailedstatementofthenetsalesandthecalculationofthereward.TheAgentshallhavetherighttoauditthesalesrecordsandaccountsofBrandtoensuretheaccuracyoftherewardcalculation.第十條知識(shí)產(chǎn)權(quán)保護(hù)10.1品牌方知識(shí)產(chǎn)權(quán)的保護(hù)BrandshallindemnifyandholdharmlesstheAgentagainstanyclaims,damages,lossesorexpensesresultingfromanyactualorallegedinfringementofanypatent,trademark,copyrightorotherintellectualpropertyrightofathirdpartytheProductsoranyactoromissionofBrandinconnectionwiththemarketing,saleordistributionoftheProductsintheTerritory.10.2代理商知識(shí)產(chǎn)權(quán)的保護(hù)TheAgentshallindemnifyandholdharmlessBrandagainstanyclaims,damages,lossesorexpensesresultingfromanyactualorallegedinfringementofanypatent,trademark,copyrightorotherintellectualpropertyrightofathirdpartytheAgentinconnectionwiththemarketing,saleordistributionoftheProductsintheTerritory.10.3侵權(quán)行為的處理Intheeventofanyclaimofinfringementofathirdparty'sintellectualpropertyrightsinrelationtotheProducts,thePartiesshallpromptlyconsultandcooperatewitheachothertotakeappropriateactionstodefendagainstsuchclaimandtominimizeanypotentialliability.第十一條保密條款11.1保密信息的范圍與界定11.2保密信息的保護(hù)與保密義務(wù)EachPartyshallensurethatitsemployees,agentsandrepresentativeswhohaveaccesstoConfidentialInformationareboundconfidentialityobligationsatleastasrestrictiveasthosecontainedinthisAgreement.11.3保密信息泄露的賠償IfeitherPartybreachesitsconfidentialityobligationsunderthisAgreement,theotherPartyshallbeendtoseekinjunctivereliefandrecoverdamagesfromthebreachingPartyforanyloss,damageorinjurysufferedasaresultofsuchbreach.第十二條法律適用與爭(zhēng)議解決12.1合同適用的法律ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof____________(jurisdiction).12.2爭(zhēng)議解決的方式與地點(diǎn)AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedarbitrationinaccordancewiththerulesofthe____________(arbitrationinstitution).Theplaceofarbitrationshallbe____________(location).12.3訴訟與仲裁的選擇ThePartiesagreethatanylegalactionorproceedingsarisingoutoforinconnectionwiththisAgreementshallbebroughtexclusivelyinthecourtsof____________(jurisdiction).第十三條合同的修改與補(bǔ)充13.1合同的修改ThisAgreementmaybeamendedormodifiedonlyawritteninstrument第二部分:其他補(bǔ)充性說(shuō)明和解釋說(shuō)明一:附件列表:1.附件一:《產(chǎn)品清單》描述:詳細(xì)列出所有代理產(chǎn)品的名稱、規(guī)格、型號(hào)等信息。要求:產(chǎn)品清單需經(jīng)過(guò)品牌方確認(rèn),并定期更新。2.附件二:《代理區(qū)域地圖》描述:明確標(biāo)示代理商在合同期限內(nèi)負(fù)責(zé)的銷售區(qū)域。要求:地圖需由品牌方提供,代理商不得擅自更改。3.附件三:《代理期限協(xié)議》描述:具體規(guī)定代理期限的起止日期及續(xù)約條件。要求:代理期限協(xié)議需雙方簽字蓋章,具有法律效力。4.附件四:《代理費(fèi)用支付證明》描述:證明代理商支付代理費(fèi)用的相關(guān)財(cái)務(wù)憑證。要求:支付證明需在每年度結(jié)束后提交給品牌方審核。5.附件五:《銷售指標(biāo)與獎(jiǎng)勵(lì)政策》描述:詳細(xì)說(shuō)明銷售指標(biāo)的設(shè)定、獎(jiǎng)勵(lì)政策的制定及計(jì)算方法。要求:銷售指標(biāo)與獎(jiǎng)勵(lì)政策需雙方共同制定,并書(shū)面
